第六单元:
售货确认书及购货合同
1.〔1包装:
货物须包装于新的适应长途海运〔包裹/空运和天气变化的牢固木箱,并具有防潮防震之功能。
任何商品受损和因包装不当导致的花费及任何因卖方保护措施不足或不当而引起的生锈。
卖方负有完全责任。
应随箱附带全套有关维修及使用说明书。
〔2装运条款:
A.离岸价条款:
a.由买方租定舱位。
按合同规定,货物装运前45日,卖方应传真或电邮通知买方合同号、商品名称、数量、金额、箱号、毛重、体积及起运口岸的装船日期。
b.买方或买方代理人应在货船到达装运口岸前12天,通知卖方船名、合同号及运输代理人名称。
卖方应与运输代理人联系及安排货物装运。
如买方因故需要变更船只或有船只提前或推迟到达情况发生,买方或运输代理人应及时通知卖方。
c.如买方所定船只到达装运港后,卖方不能按时装船,则空仓费及滞期费等均由卖方负担。
d.卖方应承担货物未越过船舷及未脱开吊钩的一切费用及风险。
B.到岸价条款:
卖方应在合同规定的交货期将货物由起运港运抵目的港,并按本合同第〔12条规定通知装船日期以便买方及时洽办保险。
〔3商品检验及索赔:
货物运抵目的口岸后,买方有权申请出入境检验检疫局复检。
货到目的口岸90天,如发现品质、规格或数量或重量与本合同、信用证或发票不符时,除属于保险公司或船运公司负责者外,买方可凭出入境检验检疫局出具的检验检疫证明书向卖方提出索赔〔包括检验检疫费。
2.Quality/Quantity/WeightDiscrepancyandClaim:
IftheBuyersfindthequalityand/orquantity/weightofthegoodsarenotinthecontractafterthearrivalofthegoodsattheportofdestination,asidefromthoselosseswithintheresponsibilityoftheinsurancecompanyand/ortheshippingcompany,theBuyersshallhavetherighttolodgeclaimsagainsttheSellersonthestrengthofinspectioncertificatesissuedbytheinspectionorganizationacceptedbybothparties.IncaseofqualitydiscrepancyclaimshouldbefiledbytheBuyerswithin30daysafterthearrivalofthegoodsatportofdestination,whileofquantity/weightdiscrepancyclaimshouldbefieldbytheBuyerswithin15daysafterthearrivalofthegoodsatportofdestination.TheSellersshouldreplytotheBuyerswithin30daysafterthereceiptofclaims.
3.Arbitration:
Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyamicablenegotiationbetweentwoparties.Ifnosettlementcanbereached,thecaseindisputeshallthenbesubmittedforarbitrationinthecountryofdefendantinaccordancewiththearbitrationregulationsofthearbitrationorganizationofthedefendantcountry.Thedecisionmadebythearbitrationorganizationsha
