Thissectionofthecontractshouldincludebothparties’companynameandaddress,aswellasthedetailsoftheirestablishmentandexistence.
Note:
Itisrecommendedthat“whereas”clausesbeincludedinordertoidentifythecircumstancesleadingtothesigningofthecontract.Besides“whereas”clauses,additionalrepresentationsandwarrantiesbybothpartiesshouldbeincluded.Inparticular,thissectionofthecontractshouldincludedeclarationsandguaranteesbytheLessorregardingtheidentityofthepropertyowner,theexistenceofanyotherobligees,thesafetyofthebuilding,thelegalityoftheleaseasprovidedunderthepresentcontract,andregardinganymortgageorotherrightsthathavebeenestablishedonthebuilding,aswellaswhetherthebuildingisundersequesterorlistedwithinthescopeofanappropriation,andanyothersituationwhichmightinfluencethecontinuityoftheleaseortheinterestsoftheLessee.
1.LeasedPremises
PartyAherebyagreetoleasethepremiseslocatedat___thfloor,buildingNo.___ofOnwardScience&TradeCenterwiththetotalgrossareaof_______squaremeters(detailsareincludedintheredlinedmapattachedasAppendixTwohereof)toPartyBingoodcondition.Thepurposeoftheleasedpremisesshallbeforofficeuse.
2.TermofLease
2.1Thetermofleaseshallbe____years,commenceon___________andexpireon____________.
2.2Uponexpiryofthelease,PartyAhastherighttorepossessalltheleasedpremisesandPartyBshallreturntheleasedpremisesingoodconditionontime.WherePartyBwishestorenewthelease,itshallsubmititsrequestinwritingtoPartyAtwo
(2)monthspriortotheexpirationdate.
3.Rent-FreePeriod
Therent-freeperiodshallbecalculatedcommencingfrom_________,total______days(thedetailsareincludedinthesupplementaryagreement).
4.RentandOtherExpenses
4.1Rent:
(a)TherentoftheleasedpremisesshallbeUS$________/squaremeter(grossarea)/monthduringthetermoflease.ThetotalamountofthemonthlyrentshallbeUS$_____/month.
(b)SuchrentshallremainunchangedduringthetermofthisContractexceptfortheperiodreneweduponexpiryoftheterm.
4.2Propertymanagementfee
(a)PartyBshallpayapropertymanagementfeetothepropertymanagementofficeofthebuildingonamonthlybasisduringthetermofthelease.ThepropertymanagementfeeoftheleasedpremisesforthefirstyearshallbeUS$___/squaremeter/month.ThetotalamountofthestandardpropertymanagementfeeforeachmonthshallbeUS$_____________.Thepropertymanagementfeeforthesecondyearshallbedeterminedbythepropertymanagementofficeofthebuildinginconsiderationofthemarketsituation.PartyBshallpaythepropertymanagementfeeduringtherent-freeperiod.
(b)PartyBshallstarttopaythepropertymanagementfeefromthecommencementdateasstipulatedinClause4.1herein.Only45%ofthestandardpropertymanagementfeeshallbepaidfortheperiodfromcommencementdatetothedatethatPartyBactuallyoccupiestheleasedpremises.PartyBshallpaythefullamountofthepropertymanagementfeestartingfromthedatePartyBactuallyoccupiestheleasedpremisesuntiltheexpiryofthetermoflease.
4.3Parkinglot
PartyAagreestoleaseapproximately30parkinglotstoPartyBduringthetermoflease(thepartieswillnegotiatetodeterminetheexactnumberofparkinglots).ThemonthlyrentforeachundergroundparkinglotshallbeRenminbi_______Yuan.PartyBshallstarttopaytherentfortheparkinglotafterittakespossessionoftheleasedpremises.
4.4Telephonelines:
PartyBwillpurchase_________internationaldirectdialtelephonelinesfromPartyAduringthetermofthisContractatthepriceofRenminbi_____Yuan/line.ThefeefortransferringthetitleofthetelephonelineshallbeRenminbi_____Yuan.PartyBshallbearthetelephoneexpenses.
4.5Otherexpenses:
(a)Thepropertymanagementofficeofthebuildingwillprovideairconditioningservicesforthebuildingandtheleasedpremisesfrom7:

00pm,MondaytoFriday.WherePartyBrequiresadditionalairconditioningservicesotherthantheaboveperiod,itshallpaytothepropertymanagementofficeaccordingtoitschargestandard.
(b)ThepropertymanagementofficeshallsettletheelectricitycostconsumedbyPartyBinitsleasedpremisesbasedonactualconsumptionandPartyBshallmakepaymentaccordingtothebillsissued.PartyBshallpaytheelectricitycostoccurredintheleasedpremisesduringtherent-freeperiod.
(c)Thepropertymanagementofficeofthebuildingshallsettlethetelephonebillsaccordingtothefeestandardpublishedbythetelecommunicationbureaubasedonactualin/outtraffic.PartyBshallmakepaymentaccordingtothebillsissued.
5.DateofPayment
5.1Therentshallbepaidonamonthlybasisinadvance.Thefirstinstalmentoftherentshallbepaidonthecommencementdate.Commencingfromtheexpiryoftherent-freeperiod,eachinstalmentshallbepaidonthe5thofeachmonth.
5.2WherethetermofleaseisextendedaccordingtoClause4.2herein,PartyAandPartyBshalladjusttherentbasedonthemarketpriceatthetimeandsignanewleasecontract.
6.CurrencyandAccount
PartyBshallpayalltheamountsdueunderthisContracttotheaccountdesignatedbyPartyA.AllthepaymentshallbecalculatedinUSdollarsandbemadein__________.TheexchangerateshallbetheUSDollarmid-pricepublishedbytheBankofChinaonthedateofexchange.
7.SecurityDeposit
7.1Withinten(10)daysofsigningthisContract,PartyBshallpayadepositequivalenttoone
(1)monthrentaswellasone
(1)monthpropertymanagementfeetotalUS$_______toPartyAasthesecurityforthelease.ThetotalamountofthedepositshallbeUS$_____.
7.2UponexpiryofthisContractandprovidedPartyBdonotwishtorenewthelease,PartyAshallrefundthedepositoritsbalancetoPartyBwithoutinterestwithinthirty(30)daysofexpiryoftheContract,exceptthatPartyAfilesanyclaimagainstPartyBregardinganydamage,compensation,penalty,PartyB’sbreachoftheContract,PartyB’sfailuretoobservetheContractorPartyB’sfailuretoperformitsobligationsunderthisContract.WherePartyAfilesanyofaforesaidclaims,thedepositoritsbalanceshallberefundedonlyaftersuchclaimisresolved.
7.3PartyAmaydeductanyorallofthedepositasthecompensationforanydamagesthatmaybecausedbyPartyBduringitsrenovationorduringthetermofthisContract.Aftersuchdeduction,PartyBshallpaythediscrepancyofthedeposittoPartyAwithinten(10)daysofreceiptofPartyA’snoticesothatthedepositwillbeequivalenttoone
(1)monthofrentplusone
(1)monthofpropertymanagementfee.
8.StatusoftheBuildingandtheLeasedPremisesuponDelivery
TheleasedpremisesshallcomplywiththeconditionsasstipulatedinAppendixOneatthetimeofdeliverytoPartyB.
9.Insurance
9.1PartyAand/orthepropertymanagementofficeofthebuildingshallberesponsibleforprocuringinsuranceforthebuilding,itscommonareasandfacilities.
9.2PartyBshallberesponsibleforprocuringfireinsurance,thirdpartyliabilityinsuranceandpropertyinsurancefortheleasedpremisesduringthetermoflease.
10.Lessor’sObligations
10.1Governmentregistrationandfiling:
PartyAshallobtainallnecessarygovernmentalapprovalsrelatedtotheleasedpremisesreferredtohereinandmaintainthevalidityofsuchapprovals.PartyAshallberesponsibleforregistrationorfilinginaccordancewiththelawsandregulations.Thepartiesshallsharetheexpensesaccordingtothegovernmentregulations.
10.2PartyAshallperformallnecessaryrepairsandmaintenancetothepublicfacilitiesandshallberesponsibleforsafetyandadministrationofthecommonareasofthebuilding.
10.3ReservationoftheLessor’srights:
(a)PartyAoritspropertymanagementofficehastherighttousepublicfacilitiesandsendrepresentativesintoPartyB’sleasedpremisesforpurposeofexaminationandmaintenanceofpublicfacilities.PartyAshallgivepriornoticetoPartyBwhenexercisingsuchrightsexceptinanemergencysituation.
(b)Uponpriornotice(exceptinanemergencysituation),PartyAoritspropertymanagementofficehastherighttotemporarilyceasetheoperationofthefacilitiesofthebuildingformaintenancepurposeswithoutanycompensationtoPartyB.
11.Lessee’sObligations
11.1Renovationandchangeofstructure:
(a)PartyBshall,priortocommencementofrenovationtoitsleasedpremises,providePartyAwithinteriorrenovationdesignandconstructionblueprintsapprovedbythefirepreventionbureau.
(b)Duringthecourseofrenovationanduseoftheleasedpremises,PartyBshallnotandisnotallowedtochange,alter,removeora
