房屋买卖居间合同

BROKERAGECONTRACTOFREALPROPERTYPURCHASE

根据中华人民共和国有关法律、法规和北京市有关规定，甲、乙双方遵循自愿、公平和诚实信用的原则，共同委托丙方代理并见证甲乙双方之间的买卖行为，经甲、乙、丙三方协商一致，共同订立本合同，以兹各方共同遵守。

PursuanttorelevantlawsandregulationsofthePeople’sRepublicofChinaandrelevantrulesofBeijingMunicipality,PartyAandPartyBentrustPartyCtoactastheiragentforthesalesbetweenPartyAandPartyBandbeartestimonytotheafore-saidtransactioninprincipleofvoluntary,fairnessandhonesty.Throughfriendlynegotiation,PartyA,PartyBandPartyCherebyagreetoenterintothisAgreementandabidebyitjointly.

第一条房产成交Sales&purchaseoftheproperty

甲方自愿将自有的房屋产权有偿转让给乙方。

该房产符合北京市建设管理委员会制定的房屋上市标准，甲方出售该房屋时亦同时将该房屋已分摊的土地使用面积和土地使用期限转让给乙方。

房屋具体情况如下：

PartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofBeijingMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:

5、甲方保证已如实陈述该房产权属状况、装饰情况和相关关系，乙方对甲方上述转让房产的具体情况充分了解，自愿买受该房产；

PartyAshallguaranteethatithascompletelydisclosedthefactsabouttheproperty,includingbutnotlimitedtothetitle,decorationandrelevantinformation;PartyBhasfullyunderstoodthefactsandagreestobuythepropertyvoluntarily.

6、房屋共有人及共有人意见：

房屋共有人：

指对房屋共同享有所有权的两个或两个以上自然人、法人或其他组织的共有人。

Co-ownersrefertomorethanoneperson,legalpersonororganization,whoownthetitleofthepropertytogether.

第二条成交价格及付款方式Salespriceandtermsofpayment

一、成交价格SalesPrice

甲、乙双方经协商一致，同意上述房产成交价格为人民币元；上述交易总价款包括：

1.二、付款方式TermsofPayment

甲乙双方经协商一致，甲方认可乙方采取以下第种方式付款：

A.1、现金支付Cash

乙方应在签订本合同当日，预先支付总房款的%，作为保证双方履行合同的定金，该笔款项连同剩余款项经甲乙双方协商，决定采用下列第种方式：

UponsigningofthisAgreement,PartyBshallpay10%oftheprice（sayRMB________）asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:

i.全部支付给甲方，甲方开具相应的收款凭证；

PaidtoPartyAinfullandPartyAshallissueaninvoice;

b）暂时存入21世纪不动产北京区域分部在特定银行开立的监管账户内，由该银行监管该部分资金，待该房屋权属过户手续办理完毕及物业交割后，连同剩余房款一并支付给甲方。

此业务须由甲乙双方与21世纪不动产北京区域分部另行签订交易资金监管委托协议；

DepositedtemporarilytotheescrowaccountofCentury21BeijingRegion.ThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremaining

paymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithCentury21BeijingRegion.

剩余款项的支付：

Paymentmethodoftheremainingamount

监管账户即视同乙方已履行向甲方给付定金和房款的义务。

PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountofCentury21BeijingRegion,itisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.

2、银行贷款Mortgage

（1）乙方应在签订本合同当日，预先支付总房款的%，作为保证双方履行合同的定金；

UponsigningofthisAgreement,PartyBshallpay______%oftheprice（sayRMB________）asthedeposit,whichwillbepartofthedownpayment.

（2）乙方应在签订本合同日内，另行支付元整，连同先前支付的定金（定金折抵首付款），一并作为首付款（首付款金额按照贷款银行的贷款条件不得低于房屋总价款的%）。

Within____daysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment（thedownpaymentshallbenolessthan%ofthepriceinaccordancewithmortgagebank’srequirement）.

上述

（2）款项经甲乙双方协商一致，决定采用下列第种方式：

a）全部支付给甲方，甲方开具相应的收款凭证；

PaidinfullamounttoPartyAandPartyAshallissueaninvoice;

b）暂时存入21世纪不动产北京区域分部在特定银行开立的监管账户内，由该银行监管该部分资金，待该房屋权属过户手续办理完毕及物业交割后，连同剩余房款一并支付给甲方。

此业务须由甲乙双方与21世纪不动产北京区域分部另行签订交易资金监管委托协议；

DepositedtemporarilyintotheescrowaccountofCentury21BeijingRegion.ThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithCentury21BeijingRegion.

同时，甲、乙双方在此郑重确认：

前述由21世纪不动产北京区域分部进行的资金监管款项，一经进入资金监管账户即视同乙方已履行向甲方给付定金和首付房款的义务。

PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountofCentury21BeijingRegion,itisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.

乙方采用银行贷款的方式支付剩余房款，由21世纪不动产北京区域分部提供统一的金融按揭服务，乙方须与21世纪不动产北京区域分部另行订立贷款委托协议。

IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithCentury21BeijingRegionforitsmortgageservices.

1）经办理贷款的银行审批，乙方符合贷款条件的，贷款银行依据乙方签署的《委托付款授权书》将款项一次性划至甲方在同行开设的专用结算帐户。

IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.

2）经办理贷款的银行审批，乙方因自身原因尚不符合贷款条件的，双方经协商，选择方式解决：

IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoose_______ofthefollowingmethodsasthesolution:

A.自银行做出不予批贷的决定起日内，乙方自行筹集剩余房款，按照现金支付的形式支付给甲方，乙方承担在此期间发生的各项费用；

Within______daysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;

B.终止本协议的履行，由甲乙双方返还相应款项，期间发生的各项费用由乙方承担。

TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.

三、关于税费相关规定Taxesandfees

1、本合同履行期间内，甲、乙双方自行按国家及地方相关规定自行缴纳各项税、费，丙方协助甲乙双方进行相关税费的确认及计算工作。

税费分担经甲乙双方协商，决定按照如下方式进行分担：

A.PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.PartyCshallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:

双方对前述税费未约定、约定不明或遇政策调整的，双方应在权属过户之日前日内协商并达成一致，否则，按国家相关法律规定缴纳；

Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensusdaysbeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovernmentregulation.

在上述房屋交付前未支付的物业管理费、水、电、燃气、通信费等其他费用，由甲方承担，房屋交付之后发生的前述费用，由乙方承担；

Feesincludingbutnotlimitedtopropertymanagementfee,utilityfeesforwater,electricity,gas,telephoneandothersbeforethehandoverofthepropertyisconcludedshallbebornbyPartyA.AndthefeesaftershallbebornbyPartyB.

2、上述税费可在丙方向应付费方预收后代为缴纳，相关部门所开具的完税凭证、行政事业性收据、工本费发票等单据，待代理事项完成后，由丙方交付给付费的一方。

PartyAandPartyBmayentrustPartyCtopaytheaforesaidtaxesandfeesandPartyCshalltransferthepaymentproof,receiptsandinvoicesissuedbyrelevantgovernmenttothepartiesthatmakethepayment.

第三条居间报酬的金额及支付方式Commissionandtermsofpayment

因甲乙双方基于丙方的媒介服务而订立房屋买卖合同，丙方有权收取相应的居间报酬，因此甲乙双方在订立房屋买卖合同时，约定选择下列第种方式支付丙方的居间报酬：

PartyAandPartyBagreetopayPartyCthecommissionforprovidingtheagencyservicesinaccordancewithofthefollowingpaymentmethods:

1、居间报酬由一方支付，即方应于本合同签订当日按照房屋总价款的％，即人民币元向丙方支付居间报酬；

Bornbyoneparty.Partyshallpay%ofthepropertyprice（sayRMB________）toPartyCuponsigningofthisAgreement;

2、居间报酬由甲乙双方分摊，即甲方按照房屋总价款的％，即人民币元向于本合同签订当日丙方支付居间报酬，乙方按照房屋总价款的％，即人民币元于本合同签订当日向丙方支付居间报酬。

甲乙双方的房屋买卖合同订立后，因甲方或/和乙方的原因致使合同未履行的，居间报酬不予退还。

Sharedbytwoparties.PartyAshallpay%ofthepropertyprice（sayRMB________）,andPartyBshallpay%ofthepropertyprice（sayRMB________）toPartyCuponsigningoftheagreement.

Theafore-saidcommissionshallnotberefundedbyPartyCtoanypartyifthisagreementfailtobeperformedduetodefaultofeitherPartyAorPartyBoncethisAgreementisenteredbythethreeparties.

第四条权属过户代理Titletransferagencyservices

甲乙双方办理权属过户的所有证件资料准备齐全，由丙方为甲乙双方提供有偿的过户委托代理服务。

丙方提供权属过户代理服务，权属过户的代理服务费金额为人民币元，由方于本合同签订当日支付给丙方，（或甲方支付元，乙方支付元）；

PartyAandPartyBshallpreparethecertificatesandmaterialsfortitletransferandPartyCshallprovidechargeabletitletransferservicesforPartyAandPartyBwithfees.

TheservicefeefortitletransferagencyservicesisRMB______.ThefeeshallbepaidbyParty___toPartyCuponsigningofthisAgreement（or,PartyApayRMBandPartyBpayRMBtoPartyC）.

第五条房屋交付Handoveroftheproperty

1、甲乙双方同意，于办理权属过户手续（□前/□后）日内腾出该房屋，并由丙方协助甲乙双方办理该房产的物业交割手续。

若甲乙双方协商确定权属过户后办理物业交割手续，则由甲方向丙方预留押金元，待物业交割完毕核对无误后返还给甲方。
