ButGooglecan’tclaimvictoryyet.TheEuropeanUnion’santitrustcommissionstillneedstosignoffonthemergerbeforeGooglecanbeginincorporatingDoubleClickintoitsbusiness.ThatmaynothappenwithoutGoogleagreeingtocertainconditions,ifatall.Already,theEUhasraisedconcernsaboutitsimpactonconsumerprivacy."Thisisroundoneofatwo-roundbattle,"saysJeffChester,executivedirectoroftheCenterforDigitalDemocracy(CDD),anonprofitpublicinterestgroupthatopposedthemerger."TheEUcankillthedeal,thereisnoquestionaboutit."
TheFTCsaidinitsdecisionthatitcouldonlyconsiderprivacyconcernsastheyrelatetomarketplacecompetition.Butitdidissueaseparatestatementwithsomerecommendationsconcerningonlinecustomerdatacollectionandprivacy.
ThePersonalBusinessofAdPlacement
GooglehasfacedstrongoppositiontoitsonlineadvertisingambitionssinceitannouncedplanstoacquireDoubleClickinApril(BusinessW,4/14/07).Competitorsforonlineaddollars,suchasMicrosoft(MSFT),arguethemergerwill enableGoogletoeffectivelycontrolthemarket.AdsplacedbesideWebsearchresultsaccountformorethan40%ofthedollarsspentonline,andGooglecontrolsmorethantwo-thirdsofthatmarket,accordingtoeMarketer.Muchoftheremainingonlineaddollarsgotodisplayads,theposter-likebanners--DoubleClick’sforte--thatrunonmostWebsites.
Onlineadsarepricedbasedonhowwelltheyarematchedtothetargetconsumer.Googlecollectsdataonsearchesperformedbyindividualcomputers,andDoubleClickrecordsinformationaboutthecomputersthatvisittheWebpagesinitsnetwork.Themoredatatheycollect,thebettertheycanmatchamarketer’sadtoapotentiallyinterestedcustomer,andthehigherthepremiumtheycanchargeonthead.
Butconsumergroupsseetheissueanotherway:
themoredatacollected,thehighertheriskofviolatingsomeone’sprivacy.Forthepasteightmonths,groupsvoicedconcernstotheFTCthatacombinedGoogle/DoubleClickwouldaggregatetoomuchinformationaboutwhatWebsurfersdoonline,puttingconsumersatrisk.Intheend,themajorityofthecommissionersdecidedDoubleClickdoesnotcontrolenoughofthedisplay-admarkettogiveGoogleanunfairmonopoly.
"Competitionamongfirmsinthismarketisvigorousandwilllikelyincrease,"thecommissionmajoritywroteinastatement.
IncreasedCompetition
RecentannouncementsbyGoogle’schiefcompetitorssupportthisargument.OnDec.19,Microsoft--oneofthefewtochallengeGoogle’smergerbeforetheFTC--announceda$500million,five-yearadvertisingdealtoplaceadsonViacom’s(VIA)networkofpopularWebsites,includingMTV.com.MicrosoftwillalsobeabletoselladspaceonViacompagesthatarenotinapremiumposition,basedonthedataithasaboutvisitorstoViacom’ssites.
MicrosoftalsorecentlysolidifiedmultiyearadvertisingagreementswithFacebook,thesecondmostpopularworkintheU.S.,afterNewsCorp.’s(NWS)MySpace,andwell-traffickedsocialnewssiteDigg(BusinessW,9/19/07)."WhenMicrosoftcomesintoaroomandtalksaboutanticompetitivebehaviorandthreatstoprivacy,noonecantakethemseriously,"saystheCDD’sChester.
Italsodidn’thelpGoogleopponentsthatmanyofthecompany’scompetitorsrecentlystruckagreementstobuyadnetworksthemselves,similartoGoogle’sproposeddealwithDoubleClick.MicrosoftboughtDoubleClickcompetitoraQuantivefor$6billioninMay(BusinessW,5/18/07).Yahoo!
(YHOO)andTimeWaruer’s(TWX)AOLalso scoopedupad-servingandtargetingfirmsearlierthisyear.Meanwhile,independentplayers,suchasSpecificMedia,havesecuredmillionsinfundingtoconsolidatetheiroperationswithothersmalleradnetworks(BusinessW,11/1/07).
InastatementonGoogle’sblog,ChiefLegalOfficerDavidDrummondapplaudedtheruling:
"TheFTC’sdecisionpubliclyaffirmswhatweandnumerousindependentanalystshavebeensayingformonths,ouracquisitiondoesnotthreatencompetitioninwhatisarobust,innovative,andquicklyevolvingonlineadvertisingspace."
PrivacyViolation?
ButwillitthreatenWebusers?
ThefinalanswermayrestwiththeEuropeanCommission.InNovemberthecommissiondelayedadecisiononthedeal(BusinessW,11/14/07),sayingitwasmorecomplicatedthanmanycompetitioncasesanddemandedfurtherreview.TheEChasuntilApr.2toissuearuling.
PrivacyadvocatesworrythatGoogle,combiningitswealthofsearchdatawiththeinformationDoubleClickcollectsonwhovisitsclients’sites,wouldviolateconsumerprivacy.ThesheervolumeofinformationthatDoubleClickcollectswouldmakeiteasyforGoogletounderstandnearlyeverythingaboutwhatmillionsofindividualconsumersdoontheWeb,criticssay.
GooglecountersthatDoubleClickclientsowninformationaboutwhovisitstheirsitesandwhattheydothere.ManyofthoseclientswouldconsideritaviolationofthatagreementforGoogleto,say,sellcaradsonitsGmailservicetopeoplewhohaverecentlyvisitedanautomotivesitethatusesDoubleClick.Asaresult,Googlesays,itcan’tsimplyfuseitsdatawithDoubleClick’scustomerinformation.However,privacygroupsarguethatGooglecouldeasilyencourageDoubleClickclients
torelinquishtheirdatainexchangefor,say,freesearchads.
TheFTCdidofferarayofhopeforprivacyadvocates.Thecommissionersissuedseveralrecommendationsaboutbehavioraltargeting,whereinformationaboutusers’Webactivityisusedtotailoronlineads.TheFTCsaidsitesshouldclearlynotifyuserswhenthey’recollectingdataontheiractions,andthatsitesshouldlimitthelengthoftimetheystorethatdatatoreducetheriskofitfallingintothewronghands.
TheFTCsaiditplanstolookintowhether"heightenedprotections"areneededtosafeguardconsumerprivacyonline.
