　　GENERALCONTINUINGGUARANTY（通用连续担保书）

　　Inordertoinduce____________________________（NameofCompany），a____________（State）corporation，andanyotherCo-BuyerorParticipantasspecifiedintheAgreements（Buyer）toextendand/ortocontinuetoextendfinancial

　　accommodationstotheSellerspecifiedbelow，orpursuanttoanyotherpresentor

　　futureagreementbetweenBuyerandSeller（hereinaftercollectivelyreferredtoastheAgreements），andinconsiderationthereof，andinconsiderationofanyloans，

　　advances，orfinancialaccommodationsheretoforeorhereaftergrantedbyBuyertoorfortheaccountofSeller，whetherpursuanttotheAgreements，orotherwise，the

　　undersignedofficer（s），authorizedagent（s）orthirdpartyguarantorsofSeller

　　（hereinaftercollectivelyandindividuallyreferredtoastheGuarantor）hereby，jointlyandseverally，guarantees，promisesandundertakesasfollows：

　　1.GuarantyofObligations.担保债务

　　Guarantorunconditionally，absolutelyandirrevocablyguaranteesandpromisestopaytoBuyer，onorderordemand，inlawfulmoneyoftheUnitedStates，anyandallindebtednessandobligationsofSellertoBuyerandthepaymenttoBuyerofallsumswhichmaybepresentlydueandowingtoBuyerfromSellerwhetherundertheAgreementsorotherwise.

　　担保人无条件地、绝对地和不可撤销地担保并承诺，就协议等项下卖方对买方的任何负债、债务以及卖方应向买方支付的应付和即将到期的全部款项，担保人将

　　依照指示或要求，以合众国的合法货币向买方支付。

　　Thetermsindebtednessandobligationsare（hereinaftercollectivelyreferredtoastheObligations）usedhereinintheirmostcomprehensivesenseandincludeanyandalladvances，debts，obligationsandliabilitiesofSeller，heretofore，now，orhereaftermade，incurredorcreated，whethervoluntarilyorinvoluntarily，andhoweverarising

　　（including，withoutlimitation，indebtednessowingbySellertothirdpartieswhohavegrantedBuyerasecurityinterestintheaccounts，chattelpaperandgeneralintangiblesofsaidthirdparty；andfurtherincluding，withoutlimitation，anyandallattorneysfees，expenses，costs，premiums，chargesandinterestowedbySellertoBuyer，whetherundertheAgreements，orotherwise）whetherdueornotdue，absoluteorcontingent，liquidatedorunliquidated，determinedorundetermined，whetherSellermaybeliableindividuallyorjointlywithothers，whetherrecoveryuponsuchindebtednessmaybeorhereafterbecomesbarredbyanystatuteoflimitationsorwhethersuchindebtednessmaybeorhereafterbecomesotherwiseunenforceable，andincludesSellersprompt，fullandfaithfulperformance，observanceanddischargeofeachandeveryterm，condition，agreement，representation，warrantyundertakingandprovisiontobeperformedbySellerundertheseAgreements.

　　这里的术语“负债”“债务”（以下一并简称为债务）应按照各自最广泛的含义被使用，债务包括卖方先前、现在和今后，基于自愿或非自愿发生的所有预付款、负债、债务和责任，不论债务如何产生，（包括但不限于，卖方对已用自己的帐户、动产文书或一般无体物向买方提供担保利益的第三方之负债，并进而包括但不限于，卖方在协议等项下欠付买方的全部律师费、支出、费用、保险费、运费和利息），不论债务是否已经到期、是否必然发生、是否已清算、是否已决，不论卖方是单独或与他人连带承担责任，不论债务的追偿是否已经或将会受到时效法的阻碍，也不论债务是否已经或将要无法强制执行，卖方应当即时、充分和善意的履行、遵守和完成全部条款、条件、协议、陈述、担保义务和这些协议项下卖方应当履行的条款。

　　2.ContinuingGuaranty.ThisGeneralContinuingGuaranty（theGuaranty）isa

　　continuingguarantywhichshallremaineffectiveuntilthisGuarantyhasbeen

　　expresslyterminatedandrelatestoanyobligationsincludingthosewhichariseundersuccessivetransactionswhichshalleithercontinuetheObligationsfromtimetotimeorrenewthemaftertheyhavebeensatisfied.AnysuchterminationshallbeapplicableonlyafterwrittennoticetoBuyer，andonlytotransactionshavingtheirinception

　　priortosuchdate.NoterminationshallbeeffectiveuntilsuchtimeasBuyerisno

　　longercommittedorotherwiseobligatedtomakeanyloansoradvances，ortogrant

　　anycredittoSeller.IntheabsenceofanyterminationofthisGuaranty，Guarantor

　　agreesthatnothingshalldischargeorsatisfyitsobligationscreatedhereunderexcept

　　forthefullpaymentandperformanceoftheObligationswithinterest.

　　第二条连续担保。

　　本通用连续担保书（本担保书）是指在被明示终止前始终有效的连续的担保，其担保的对象是任何因连续交易而生的义务，这些连续交易的内容或者是对原有债务的不时延展，或者是对原有债务履行后的更新。

对担保的终止应在书面通知买方后始适用，并且仅适用于在终止日前已经开始的交易。

买方不再有义务或有责任向卖方提供任何贷款、预付款，或给予卖方信用的时间即为担保终止的生效时间。

除非本担保书终止，担保人同意，其债务只有在已充分偿付款项并付清利息的情形下方为履行。

　　3.RightsareIndependent.Guarantoragreesthatitisdirectlyandprimarilyliableto

　　Buyer，thattheobligationshereunderareindependentoftheobligationsofSellerand

　　thataseparateactionoractionsmaybebroughtandprosecutedagainstGuarantor，

　　whetheractionisbroughtagainstSellerorwhetherSellerisjoinedinanysuchactionoractions.GuarantoragreesthatanyreleaseswhichmaybegivenbyBuyertoSelleroranyotherguarantororendorsershallnotreleaseitfromthisGuaranty.

　　第三条担保权利独立。

　　担保人同意由其直接并主要地向买方承担责任，本担保书项下的义务独立于卖方的义务。

担保人可以被单独提起诉讼，不论该诉讼是否对卖方提起或卖方是否参加该诉讼。

担保人同意，担保人在本担保书项下的义务不因买方可能给予卖方、任何其他担保人或背书人的义务免除而免除。

　　4.Default.Intheeventthatanybankruptcy，insolvency，receivershiporsimilarproceedingisinstitutedbyoragainstGuarantorand/ortheSellerorintheeventthateither

　　theGuarantororSellerbecomeinsolvent，makeanassignmentforthebenefitof

　　creditorsorattempttoeffectacompositionwithcreditors，oriftherebeanydefault

　　undertheAgreements（whetherdeclaredornot），then，atBuyerselection，without

　　noticeordemand，theObligationsofGuarantorcreatedhereundershallbecomedue，

　　payableandenforceableagainstGuarantorwhetherornottheObligationsarethen

　　dueandpayable.

　　第四条违约。

　　在由担保人及/或卖方发起或针对担保人及/或卖方发起任何破产程序、无力偿债程序、接管程序或类似程序的情形，或者在担保人或卖方变得无力偿债、为债权人利益转让财产、权利或其试图与债权人达成和解的情形，或者存在任何违反本协议行为的情形下（无论是否公开声明），买方无须通知或提出要求，即可选择令担保人在本合同项下的债务成为到期的、应付的及可强制执行的债务，无论该债务彼时是否已经实际到期且应付。

　　5.Indemnification.GuarantoragreestoindemnifyBuyerandholdBuyerharmlessagainstallobligations，demandsandliabilities，bywhomsoeverassertedandagainstall

　　lossesinanywaysuffered，incurredorpaidbyBuyerasaresultoforinanywayarisingoutof，followingorconsequentialtotransactionswithSellerwhetherundertheAgreements，orotherwise，andalsoagreesthatthisGuarantyshallnotbeimpairedbyanymodification，supplement，extensionoramendmentofanycontractoragreementtowhichBuyerandSellermayhereafteragree，norbyanymodification，releaseorotheralterationofanyoftheObligationsherebyguaranteedorofanysecuritytherefor，norbyanyagreementsorarrangementswhateverwithSelleroranyoneelse.

　　第五条补偿。

　　担保人同意对买方作出补偿，并使买方免于向任何人承担任何义务、要求及责任，并使买方免于承担因根据协议等与卖方交易而直接、随后或间接产生的损失。

担保人也同意，对买卖双方今后可能达成的任何合同或协议的变更、补充、延伸或修改，或者对担保债务或担保物的任何变更、免除或其他改变，或者与卖方或其他任何人达成的协议或安排均不应损害到本担保书的内容。

6.ConsenttoModifications.GuarantorherebyauthorizesBuyer，withoutnoticeordemandandwithoutaffectingitsliabilityhereunder，fromtimetotimeto：

　　第六条同意变更。

　　担保人据此授权买方，在不影响本担保书项下担保人义务的情形下，买方可以无须通知或提出要求，不时地：

　　6.1renew，compromise，extend，accelerateorotherwisechangethetimefortheObligations，oranypartthereof，including，withoutlimitation，increasingordecreasinganyofthefeesthereof；

　　更新债务、进行债务和解、延长债务履行、加速履行债务或以改变义务的履行时间，包括但不限于，增加或减少与债务有关的任何费用。

　　6.2takeandholdsecurityforthepaymentoftheObligationsguaranteedhereby，andexchange，enforce，waiveandreleaseanysuchsecurity；

　　为担保债务的支付而取得并保有担保物，以及就该担保物进行交换、强制执行、弃权和免除。

　　6.3applysuchsecurityanddirecttheorderormannerofsalethereofasBuyerinits

　　discretionmaydetermine；

　　利用担保物，以及在买方可自由决定的范围内就买卖的定单或方式作出指示；

　　6.4releaseorsubstituteanyoneormoreendorser（s）orguarantor（s）；and

　　豁免或替换任何一个或数个背书人或担保人；以及

　　6.5assign，withoutnotice，thisGuarantyinwholeorinpartandBuyersrights

　　hereundertoanyoneatanytime.

　　无须通知，随时向任何人转让全部或部分的担保权利和下列买方权利。

　　GuarantoragreesthatBuyermaydoanyoralloftheforegoinginsuchmanner，uponsuchterms，andatsuchtimesasBuyer，initsdiscretion，deemsadvisable，without，inanywayorrespect，impairing，affecting，reducingorreleasingGuarantorfromitsundertakingshereunderandGuarantorherebyconsentstoeachandalloftheforegoingacts，eventsandoccurrences.

　　担保人同意，买方可以在不削弱、影响、减少或免除担保人义务的情形下，按照其认为适当的方式、条件和时间做出前述任何一种或全部的行为，担保人也据此同意买方做出任何前述行为。

　　7.WaiverofDefenses.GuarantorherebywaivesanyrighttoassertagainstBuyerasadefense，counterclaim，setoffoncrossclaim，anydefense（legalorequitable），setoff，counterclaimandclaimwhichGuarantormaynoworatanytimehereafterhaveagainstSellerandanyotherpartyliabletoBuyerinanywayormanner.

　　第七条放弃抗辩。

　　担保人据此放弃任何对买方提出抗辩、反诉及在交叉诉讼中提出抵销的权利，同时放弃担保人现在或今后随时可能针对卖方及以任何方式对买方负有义务的他方提出任何抗辩（普通法或衡平法上的抗辩）、抵销、反诉和诉讼的权利。

　　Guarantorherebywaivesalldefenses，counterclaimsandoffsetsofanykindornature，arisingdirectlyorindirectlyfromthepresentorfuturelackofperfection，sufficiency，validityorenforceabilityoftheAgreementsoranysecurityinterestthereunder.

　　担保人据此放弃因协议在完整性、充分性、有效性或可执行性方面存在现实的或潜在的缺陷而直接或间接产生的所有种类的抗辩、反诉及抵销的权利，并放弃由协议产生的任何担保权益。

　　GuarantorherebywaivesanydefensearisingbyreasonofanyclaimordefensebaseduponanelectionofremediesbyBuyer，which，inanymannerimpairs，affects，

　　reduces，releases，destroysorextinguishesGuarantorssubrogationrights，rightsto

　　proceedagainstSellerforreimbursement，oranyotherrightsoftheGuarantoror

　　againstanyotherpersonorsecurity，including，butnotlimitedto，anydefensebased

　　uponanelectionofremediesbyBuyerundertheprovisionsofapplicablestatelaw，oroftheUnitedStates.

　　担保人据此放弃就买方基于其选择的救济措施而产生的任何主张或抗辩提出任何抗辩，尽管买方采取的救济措施已损害、影响、减少、解除、破坏或消灭了
