　　InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChina,afterreviewingthestatusandtherequestoftheBorrower,theLenderagreestogranttheBorroweralineofcrediton.TheBorrower,LenderandGuarantor,throughfriendlynegotiation,haveexecutedthisContractasfollows:

　　ARTICLE2THEPURPOSEOFTHELOAN:

　　ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST:

　　1.Interestrate:

Theinterestrateshallbe[***]Duringtheloanterm,ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest,theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinterestrateareexecutedoneyear.ItisnotobligedtoinformtheBorrowerwhentheadjustmentofinterest.

　　2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.

　　3.Thepaymentofinterests:

TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,and.Ifthepaymentforthelastinstallmentisnotonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollectapenaltybeing[***]oftheoutstandingamountperdayfortheBorrowersbreachofcontract.

　　ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS

　　1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyfor[***]oftheoverdueamountperday.

　　2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,theLendershallhaverighttochargeainterestsforthemisusingpartatarateof[***]perday.

　　ARTICLE5ACCOUNT

　　TheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.

　　ARTICLE6DRAW-DOWN

　　1.Theloanunderthiscontractisrevolving,thebalanceofthiscontractshallnotmorethanthelineofcredit.

　　2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.

　　3.TheBorrowershallnotdrawtheloanlessthan1million.

　　ARTICLE7CONDITIONSFORDRAW-DOWN

　　Thefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate:

　　1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender;

　　2.Thiscontractandtheappendiceshavebeeneffective;

　　3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;

　　4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;

　　5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;

　　6.TheGuarantyunderthiscontracthasbeeneffective;

　　7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;

　　8.Theotherrequirementforthedraw-downhavebeensatisfied.

　　ARTICLE8REPAYMENTPLANANDPREPAYMENT

　　1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate[***]priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.

　　2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.

　　3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches;

　　4.Theinstallmentofrepaymentshallnotlessthan1million.

　　ARTICLE9DEBTCERTIFICATE

　　TheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.

　　ARTICLE10GUARANTY

　　1.（the'Guarantor'）shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.

　　2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbeedeterioratedortheliabilitiesforrepaymentofdebtsbeeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.

　　ARTICLE11REPRESENTATIONSANDWARRANTIES

　　I.TheBorrowersrepresentsandwarrantsasfollows:

　　1.TheBorrowerisapanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.

　　2.TheBorrowerisatitsoptiontosignandperformthiscontract.ItistheBorrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.

　　3.Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,peteandeffective

　　4.TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan:

（1）TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorpensationtoothers;

（2）Pendingactionsandarbitration;

　　（3）TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances;

　　（4）Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;

　　（5）TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.

　　II.TheBorrowerherebywarrantsasfollows:

　　1.Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.

　　2.Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract;

　　3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingtheauditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreportorotherfilesandmaterialsandshallwarrantthereality,correctandeffectivenessforthefilesandmaterials;

　　4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;

　　5.AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;

　　6.Willnotreducetheregistrationcapital;PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmanner（includingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharepany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetstoinvestinsharepanyorinvestmentpany,tradingofoperationrightorownrightbycontracting,jointoperation,trusteeship）

　　7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassets.TheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.

　　8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;

　　9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred:

（1）TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancialorganization;

（2）TheBorrowerchangesshareholdersorrevisethearticleofassociation;

　　（3）TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;

　　（4）TheBorrowerinvolvesinmaterialactionsorarbitration;

　　10.TheBorrowershallkeepsufficientbalanceforrepaymentprior[***]totheduedate.

　　11.TheBorrowershallkeepitsbanktransactionsregardinginecollection,sellforeigncurrencyorbuyforeigncurrencyect.ShallbeconductedattheLenderorotherbranchesoftheLender.Theturn-overforthecapitalshallsatisfythedemandoftheLender;

　　III.TheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveeventhoughanymendment,supplementsorrevisedtobemadetothiscontract.

　　ARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDER

　　I.TheLenderrepresentsandwarrantsasfollows:

　　1.TheLenderisastate-ownedmercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofP.R.CandapprovedbytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness.

　　2.TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.TheLenderisdulyauthorizedtoextendthisloan.

　　II.TheLenderwarrantsasfollows:

　　1.TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract.

　　2.CollectinterestsinaccordancewiththeregulationsofthePeoplesBank.

　　ARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENT:

　　I.SettlementoftheBorrowerbreachofcontract

　　1.Eventofbreachofcontract:

（1）TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;

（2）TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorotherpayableinaccordancewiththeagreedtermofthiscontract;

　　（3）TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11.
