Yourpersonalactivitiesandrelationshipsmustnotconflict,orappear
toconflict,withtheinterestsofthecompany.Keepinmind,theCodecan’t
specificallyaddresseverypotentialconflict,souseyourconscienceandcommon
sense.Whenquestionsarise,seekguidance.

•Avoidsituationswhereyourpersonalinterestsconflict,orappeartoconflict,withthose
ofthecompany.
•Youmayownupto1%ofthestockinacompetitor,customerorsupplierwithoutseekingprior
approvalfromyourPrincipalManagersolongasthestockisinapubliccompany
andyoudonothavediscretionaryauthorityindealingwiththatcompany.Ifyouwant
topurchasemorethan1%ofthestockinacustomer,competitororsupplier,orthecompany
isnonpublicoryouhavediscretionaryauthorityindealingwiththecompany,thenthestock
maybepurchasedonlywithpriorapprovalofyourPrincipalManager.
•Directorsmayownthestockofsuppliers,customersandcompetitors.However,adirectormust
removehimselforherselffromanyBoardactivitythatdirectlyimpactstherelationshipbetweenthe
companyandanysupplier,customerorcompetitorinwhichthedirectorhasafinancialinterest.
•Ifyouhaveafinancialinterestinatransactionbetweenthecompanyandathirdparty—even
anindirectinterestthrough,forexample,afamilymember—thatinterestmustbeapproved
byyourPrincipalManagerpriortothetransaction.However,ifyouhaveafinancialinterest
inasupplierorcustomeronlybecausesomeoneinyourfamilyworksthere,thenyoudonot
needtoseekpriorapprovalunlessyoudealwiththesupplierorcustomeroryourfamily
memberdealswiththecompany.
•ForanytransactionthatwouldrequirereportingunderSECrules,directorsofTheCoca-Cola
CompanymustobtainwrittenconfirmationfromtheBoardofDirectorsoritsdesignated
committeethattheproposedtransactionisfairtothecompany.
•Ifyou’dliketoserveasanofficerordirectororconsultanttoanoutsidebusinessonyourown
time,youmustreceivepriorapprovalinwritingfromyourPrincipalManager.IfyourPrincipal
Managerchanges,orthecircumstancesoftheoutsidebusinesschangesubstantially,youmust
seekre-approval.(Employeesarepermitted,however,toserveoncharityboardsorinfamily
businessesthathavenorelationshiptothecompany.)Thisruledoesnotapplytonon-employee
directorsoftheCompany.
•Anypotentialconflictofinterestthatinvolvesanofficerofthecompany,ofadivision
orofasubsidiarymustbeapprovedinadvancebytheGeneralCounselandChiefFinancial
Officer.Anypotentialconflictofinterestthatinvolvesadirectororexecutiveofficerofthe
companymustbeapprovedbytheBoardofDirectorsoritsdesignatedcommittee.
•Loansfromthecompanytodirectorsandexecutiveofficersareprohibited.Loansfromthe
companytootherofficersandemployeesmustbeapprovedinadvancebytheBoard
ofDirectorsoritsdesignatedcommittee.
