ChapterIPrinciples

Article1

ThisLawisformulatedwithaviewtodevelopingtheforeigntrade,

maintainingtheforeigntradeorderandpromotingahealthydevelopmentof

thesocialistmarketeconomy.

Article2

ForeigntradeasmentionedinthisLawshallcovertheimportand

exportofgoods,technologiesandtheinternationaltradeinservices.

Article3

Theauthorityresponsibleforforeigntradeandeconomicrelations

undertheStateCouncilisinchargeoftheadministrationoftheforeign

tradeoftheentirecountrypursuanttothisLaw.

Article4

TheStateshallapplytheforeigntradesystemonauniformbasisand

maintainafairandfreeforeigntradeorderinaccordancewithlaw.

TheStateencouragesthedevelopmentofitsforeigntrade,exercises

theinitiativeoflocalitiesandsafeguardstheautonomyofbusiness

operationoftheforeigntradedealers.

Article5

ThePeople'sRepublicofChinapromotesanddevelopstradetieswith

othercountriesandregionsontheprinciplesofequalityandmutual

benefit.

Article6

ThePeople'sRepublicofChinashall,underinternationaltreatiesor

agreementstowhichthePeople'sRepublicofChinaisacontractingparty

oraparticipatingparty,granttheothercontractingpartiesor

participatingparties,orontheprinciplesofmutualadvantageand

reciprocity,granttheotherpartymost-favored-nationtreatmentor

nationaltreatmentwithinthefieldofforeigntrade.

Article7

Intheeventthatanycountryorregionappliesdiscriminatory

prohibition,restrictionorotherlikemeasuresagainstthePeople's

RepublicofChinainrespectoftrade,thePeople'sRepublicofChinamay,

asthecasemaybe,takecounter-measuresagainstthecountryorregionin

question.

ChapterIIForeignTradeDealers

Article8

ForeigntradedealersasmentionedinthisLawshallcoverthelegal

entitiesandotherorganizationsengagedinforeigntradedealingsin

compliancewiththeprovisionsofthisLaw.

Article9

Aforeigntradedealerwhointendstoengageintheimportandexport

ofgoodsandtechnologiesshallfulfillthefollowingrequirementsand

acquirethepermitfromtheauthorityresponsibleforforeigntradeand

economicrelationsundertheStateCouncil:

1.havingitsownnameandcorporatestructure;

2.havingdefinitescopeofbusinessinforeigntrade;

3.havingplaceofbusiness,financialresourcesandprofessional

personnelessentialtotheforeigntradedealingswhichitintendsto

engagein;

4.havingarequiredrecordofimportandexportwhichwereeffected

onitsbehalforhavingnecessarysourcesofgoodsforimportorexport;

5.otherrequirementsprovidedinrelevantlawsandadministrative

regulations.

Thedetailedrulesfortheimplementationoftheprecedingparagraph

aretobelaiddownbytheStateCouncil.

Enterpriseswithforeigninvestmentshallbeexemptfromthepermit

requirementprovidedinparagraph1withrespecttotheirimportof

non-productivearticlesfortheirownuse,importofequipmentsandraw

materialsandotherarticlesnecessaryfortheirproductionaswellasthe

exportoftheproductstheyproduceundertherelevantprovisionsoflaws

andadministrativeregulationsgoverningenterpriseswithforeign

investment.

Article10

Theestablishmentandoperationofenterprisesandorganizations

engagedininternationaltradeinservicesshallbeincompliancewiththe

provisionsofthisLawandotherrelevantlawsandadministrative

regulations.

Article11

Foreigntradedealersshallenjoyfullautonomyintheirbusiness

operationandberesponsiblefortheirownprofitsandlossesin

accordancewithlaw.

Article12

Inforeigntradeactivitiesforeigntradedealersshouldhonortheir

contracts,ensurethequalityofthecommodityandperfecttheafter-sale

services.

Article13

Anyorganizationorindividualwithoutforeigntradeoperationpermit

mayentrustaforeigntradedealerlocatedinChinaasitsagentto

conductitsforeigntradebusinesswithinthebusinessscopeofthe

latter.

Theentrustedforeigntradedealershallprovidetheprincipalwith

actualbusinessinformationsuchasmarketsituation,commoditypricesand

clientposition.Theagentandtheprincipalshallconcludeandsignan

agencyagreement,inwhichtherightsandobligationsofbothparties

shouldbespecified.

Article14

Foreigntradedealersareobligatedtoprovidedocumentsand

informationinrelationtotheirforeigntradedealingstotherelevant

authoritiespursuanttotheregulationsoftheauthorityresponsiblefor

foreigntradeandeconomicrelationsundertheStateCouncil.Therelevant

authoritiesshallnotdisclosethebusinessproprietaryinformation

providedbythedealers.

ChapterIIIImportandExportofGoodsandTechnologies

Article15

TheStateallowsfreeimportandexportofgoodsandtechnologies

exceptwherelawsoradministrativeregulationsprovidedotherwise.

Article16

TheStatemayimposerestrictionsontheimportorexportofgoodsand

technologiesinanyofthefollowingcircumstances:

（1）wheretheimportorexportshallberestrictedinorderto

safeguardthenationalsecurityorpublicinterest;

（2）wheretheexportshallberestrictedonaccountofdomestic

shortageinsupplyoreffectiveprotectionofexhaustibledomestic

resources;

（3）wheretheexportshallberestrictedduetothelimitedmarket

capacityoftheimportingcountryorregion;

（4）wheretheimportshallberestrictedinordertoestablishor

acceleratetheestablishmentofaparticulardomesticindustry;

（5）wheretherestrictionontheimportofagricultural,animal

husbandryorfisheryproductsinanyformisnecessary;

（6）wheretheimportshallberestrictedinordertomaintainthe

State'sinternationalfinancialstatusandthebalanceofinternational

payments.

（7）where,astheinternationaltreatiesoragreementstowhichthe

People'sRepublicofChinaisacontractingpartyoraparticipatingparty

require,theimportorexportshallberestricted.

Article17

TheStateprohibitstheimportorexportofanygoodsortechnologies

inanyofthefollowingcircumstances:

（1）wheresuchgoodsortechnologieswillendangernationalsecurity

orpublicinterest;

（2）wheretheimportorexportofsuchgoodsortechnologiesmustbe

prohibitedinordertoprotecthumanlifeorhealth;

（3）wheresuchgoodsortechnologieswilldisrupttheecological

environment;

（4）wheretheimportorexportofsuchgoodsortechnologiesshallbe

prohibitedinaccordancewiththeprovisionsofinternationaltreatiesor

agreementstowhichthePeople'sRepublicofChinaisacontractingparty

orparticipatingparty.

Article18

Theauthorityresponsibleforforeigntradeandeconomicrelations

undertheStateCouncilshall,incollaborationwiththerelevant

authoritiesundertheStateCouncilandinaccordancewiththeprovisions

ofArticle16andArticle17ofthisLaw,formulate,adjustandpublish

thelistofgoodsandtechnologieswhoseimportorexportaresubjectto

restrictionsorprohibitions.

UpontheapprovaloftheStateCounciltheauthorityresponsiblefor

foreigntradeandeconomicrelationsundertheStateCouncilmay,within

theframeworkofArticle16andArticle17,independentlyorin

collaborationwiththerelevantauthoritiesundertheStateCouncil

determine,onatemporarybasis,toimposerestrictionorprohibitionon

theimportorexportofparticulargoodsortechnologiesnotincludedin

thelistmentionedintheprecedingparagraph.

Article19

Goodswhoseimportorexportisrestrictedshallbesubjecttoquota

and/orlicensingcontrol;technologieswhoseimportorexportis

restrictedshallbesubjecttolicensingcontrol.

Importorexportofanygoodsandtechnologiessubjecttoquotaand/or

licensingcontrolwillbeeffectedonlywiththeapprovalofthe

authoritiesresponsibleforforeigntradeandeconomicrelationsunderthe

StateCouncilorthejointapprovaloftheforegoingauthoritiesandother

authoritiesconcernedundertheStateCouncilincompliancewiththe

provisionsoftheStateCouncil.

Article20

Importandexportquotasofgoodsshallbedistributedonthebasisof

theconditionsincludingbutnotlimitedtotheactualimportorexport

performanceandcapabilityoftheapplicantsinforeigntradedealingsand

onthebasisoftheprinciplesofefficiency,impartiality,transparency

andfaircompetitionbytheauthorityresponsibleforforeigntradeand

economicrelationsundertheStateCouncilortherelevantauthorities

undertheStateCouncilwithintheirrespectiveresponsibilities.

Thewaysandmeansofthedistributionofquotasaretoberegulated

bytheStateCouncil.

Article21

Wheretheimportorexportofgoods,articlessuchascultural

relics,wildlifeanimals,plantsandtheproductsthereofareprohibited

orrestrictedbyotherlawsoradministrativeregulations,theprovisions

ofthelawsandregulationsinquestionshallbeobserved.

ChapterIVInternationalTradeinServices

Article22

TheStatepromotestheprogressivedevelopmentoftheinternational

tradeinservices.

Article23

Withrespecttointernationaltradeinservices,thePeople'sRepublic

ofChina,pursuanttothecommitmentsmadeininternationaltreatiesor

agreementstowhichthePeople'sRepub
