MEMORANDUMOFUNDERSTANDING

ThisMEMORANDUMOFUNDERSTANDINGismadethe_____dayof______2010byandbetween:

1PURPOSE

ThisMemorandumofUnderstanding（“MOU”）documentstheintentandbasisfortheinitialcollaborationpreparatorytoenteringintoformalwrittenbindingagreementsshouldbothpartiesdecidetodosofollowingcompletionoftheinitialcollaboration.

2sCOPEOFCOOPERATION/businessmodel

3Expenses（subjecttocommercialarrangement,nreandroyaltymayapply）

Exceptasotherwiseagreedinwritingbytheparties,eachpartyshallpayandassumeentireresponsibilityfortheirrespectivecostsandexpenditureswhatsoeverincurredinconnectionwiththeiractivitiesunderthisMOU.

UndernocircumstancesshalleitherPartybeliabletotheotherforanycostsordamagesofanykind,includingwithoutlimitation,incidental,consequential,specialorspeculativedamages,lostofprofitsorlossofbusiness,inconnectionwithnotmovingforwardtoconclusionofbindinglegalagreementsbetweentheParties.

4Publicity

Neitherpartyshalldisclosetoanythirdpartynorpublishinanymannerortoanyextenttheexistenceof,northeiractivitiesunder,thisMOUwithoutthepriorwrittenagreementoftheotherparty.Neitherpartyshallincorporateormakeuseofanyformoftheotherparty’sidentity,including,butnotlimitedto,itsname,logos,insignias,products,brandsandtrademarks,inanyformofpublication,pressrelease,advertisement,publicity,orotherannouncementwithouttheotherparty’spriorwrittenconsent.

Confidentiality

AllinformationdisclosedbyeitherpartyunderorinconnectionwiththisMOUshallbetreatedbythereceivingpartyasconfidentialandshallbeprotectedassuchunderthetermsandconditionsoftheNonDisclosureAgreemententeredintobetweenthepartiesonM/D,2005

6IntellectualProperty

Allintellectualproperty,includingcopyrights,patents,patentapplications,trademarksandotherintellectualpropertyshallremainthepropertyoftheoriginatingpartyoritslicensors.Eachpartyshallretainallrights,titleandinterestinitsintellectualpropertyandneitherpartygrantstheotherpartyanyrightstouseitsintellectualpropertyunlessanduntilotherwiseprovidedinawrittenagreementsignedbytheParties.

7Termandtermination

ThisMOUshallcomeintoaffectuponsignaturebybothpartiesandshallcontinueforaperiodoftwelve（12）monthsunlessterminatedearlierbyeitherpartygivingtotheothernotlessthanthirty（30）dayswrittennoticeoftermination.UponexpiryorterminationofthisMOUeachpartyshallreturntotheotherattheirwrittenrequestallmaterialsandinformation（alongwithallcopiesthereof）suppliedbytherequestingparty.

8THIRDPARTYRIGHTS

NothinginthisMOUconfersanybenefitonanythirdpartyorrighttoenforceanybenefitbyanythirdpartyunderapplicablelaw.

9LegalEffect

Exceptfortheprovisionsofclauses3Expenses,4Publicity,5Confidentiality,6IntellectualProperty,7Term,8ThirdPartyRights,9LegalEffect,and10ApplicableLaw,thisMOUisnotlegallybindingbutservesonlyasanexpressionofthebasicprinciplesfortheplanningandimplementationofarelationshipbetweenthepartiesanddoesnotitselfotherwiseconstitutealegalagreementandshallnototherwisecreateanylegalobligationsrightsorliabilitiesforeitherparty,includingtheobligationtocontinuenegotiatingingoodfaith.Nofurtherobligations,rightsorliabilitiesshallbebindingoneitherpartyunlessexpressedinaformalwrittenagreementsignedbybothparties.AdditionstothisMOUshallonlybevalidifmadeinwriting.

10ApplicableLaw

ThisMOUanditstermsaregovernedinallrespectsbythelawsofChinawithoutregardtoitsconflictsoflawsprinciplesandthepartiesacceptthejurisdictionandrulesofBeijingArbitrationCommissionfordisputeresolution.
