consultingSERVICESAGREEMENT

顾问服务协议书

ThisConsultingServicesAgreement（the"Agreement"）ismadeonthis[TT]dayofJune20TT,

BETWEEN

1.TTT公司,aFrenchsociétéàresponsabilitélimitéeorganizedandexistingunderthelawsofFrance,withsharecapitalof€[…],whoseregisteredofficeis1ruedelaVerrerie33000Bordeaux,registeredwiththeCommerceandCompaniesRegisterofBordeauxundernumber[…],representedbyTTTTT,dulyauthorizedforthepurposeofthisAgreement（the“Consultant”）;

由老庄主代表TTT公司签署本协议

AND

2.SCAChateaudeTTT,aFrenchsociétécivile（non-tradingcompany）organizedandexistingunderthelawsofFrance,withsharecapitalof€1,372,041.16,whoseregisteredofficeisatLieu-ditTTTde（33350–Ruch）,registeredwiththeCommerceandCompaniesRegisterofBordeauxundernumber418878161,representedby[…],dulyauthorizedforthepurposeofthisAgreement（the“Company”or"Beneficiary"）;

由某某代表TTTTT酒庄公司签署本协议

TheBeneficiaryandtheConsultantbeinghereinaftercollectivelyreferredtoasthe"Parties"orindividuallyasa"Party".

whereas:

鉴于

（A）TTT公司andTTTTTontheonehandandTTTVineyardHoldingCompanyonthesecondhandhaveenteredonTTJune20TTintoanagreement（the“PurchaseAgreement”）pertainingtothepurchasebyTTTVineyardHoldingCompanyof100%ofthesharesoftheCompanywhichrunsanactivityofwine-making（the“Property”）

DM公司和老庄主，与TTTTT酒庄控股公司，于20TT年6月TT日完成TTTTT酒庄公司100%股份的收购事宜。

TheConsultant,whoistheformermanageroftheCompany,isexperiencedinthecommercialandthewinesectorandhasaperfectknowledgeofthePropertyandofallthemainoperatorsoftheWineindustryinBordeaux.

顾问方，作为TTTTT酒庄的前任经理，拥有丰富的葡萄酒商业经验，同时对就TTTTT酒庄乃至波尔多地区葡萄酒行业的庄主们有着全面的了解

Inthisrespect,theBeneficiaryhasconsidereditwouldbeprofitabletobenefitfromatransitionalperiodinordertosetupthenewmanagementoftheCompanyandtobenefitfromtheaforementionedexperienceoftheConsultantinthosefieldsthataremorespecificallydescribedwithinthisAgreement（seeArticle1）.

基于此，受益方认为可以通过以下方面（见第一条）借鉴顾问方的丰富经验，协助酒庄交接过渡，为今后酒庄公司新的运营管理打下良好基础。

Followingtheabove,thePartieshaveagreedtoenterintothisAgreementwherebytheConsultantwillofferconsultingservicestotheBeneficiaryunderthetermsandconditionsdefinedtherein.ThepurposeofthisAgreementistodeterminethescopeandthemodalitiesoftheinterventionoftheConsultantforthebenefitoftheBeneficiary.

综上，双方协商同意，顾问方为受益方提供顾问服务。

本顾问合同将规定顾问方提供顾问服务的范围和形式。

ITISHEREBYAGREEDASFOLLOWS:

具体条款如下

1.Consultingservices顾问服务

TheConsultantundertakestoassistandaccompanytheBeneficiaryinallfieldsinordertomakeasmoothtransitionfollowingtheacquisitionofthesharesoftheCompanyandtohelpthenewmanagementoftheCompanytogetintegratedinthewinebusinessinBordeaux.

顾问方应协助受益方进行酒庄收购交接后的顺利过渡，同时协助TTTTT酒庄公司融入波尔多当地葡萄酒行业

Inthatrespectheundertakestoprovide,orcausetobeprovided,totheBeneficiaryeachofthefollowingconsultingservices（the"Services"）:

基于上述宗旨，顾问方应向受益方提供以下顾问服务：

1.ProvidingtheBeneficiarywithalltheinformationofanynatureaboutthehistory,thebackgroundandthefunctioningoftheProperty,

将有关酒庄的历史、背景、运作等信息资料提供给受益方

2.Advisingandassistingthemanagementinthecommercialmatters:

introducingthenewmanagementtothedistributors,clients,importers,majoroperatorsofthewineindustryinBordeaux,inordertoeasethetransitionfromtheformerownertothenewone,

向酒庄管理层提供商务方面的建议并提供协助：

向经销商、客户、进口商、波尔多主要酒庄经营者介绍酒庄新的管理方，保障新旧庄主交接顺利过渡

3.IntroducingandadvisingtheBeneficiaryontherelationshipswithwinemakingconsultants,especiallywithStéphaneDERENONCOURT,facilitatingthisrelationshipandthetransitionwiththeBeneficiary;

向受益方介绍酿酒顾问并建立关系，尤其是StéphaneDERENONCOURT，协助受益方过渡好和维护好与他的合作关系

4.Managementofthekeyexistingrelationshipswiththepressandclientswhich

mayincludemajoreventssuchas,butnotexclusivelyUGC'enprimeur’annualtastingsandVINEXPO;

协助受益方维护好和媒体、客户的关系，包括但不限于年度酒品品鉴会以及葡萄酒展VINEXPO

5.AdvisingtheBeneficiaryinthecontextofthepreparationbytheBeneficiaryofadetailedannualandindicative3yearrollingstrategyandbudgetandinvestmentcostswithregardstothevineyardandthewineryandexpansionstrategy.

协助受益方制定年度和3年发展规划、预算，就有关葡萄园、酒庄扩展战略提供投资成本建议

6.AdvisingandassistingthemanagementintechnicalandstrategicmattersinordertoincreasethequantityofwineproducedbythePropertyandmaintainthequalityofthewineandingeneraltoimprovetheprofitabilityoftheCompany.

就提升酒庄葡萄酒产量方面提供技术和策略上的建议，就保证葡萄酒质量以及提升酒庄盈利方面提供建议

2.PERFORMANCEOFTHEsERVICES顾问服务提供

TheConsultantwillperformhismissionintotalautonomy.

TheConsultantwillhavethechoiceofthemeanshedeemsappropriateinordertoimplementtheServices.

顾问方拥有完全的自主权以提供顾问服务

ItisspecifiedneverthelessthatthedecisionsmadebytheConsultantshallcomplywithtypicalbusinessstandardsapplicabletoservicesofthesameorsimilarkindtotheServices.

顾问方所采取的决定应符合通行或者类似的顾问服务标准

Fortheperformanceofthecontract,therepresentative（s）oftheBeneficiaryshallbe[…].

为履行合同，受益方代表为：

3.BILLINGFORTHECONSULTINGSERVICES顾问费用支付

TheServicesshallbechargedandpaidforatanannualpriceof20,000euros[VATexcludedbutchargedinadditionifapplicable]correspondingtoServicesrenderedduringoneyear.

顾问费用每年2万欧元（不含增值税或增值税另计）

ChargesfortheServicesshallbebilledtotheBeneficiaryataquaterlyrateof5,000euros[VATexcludedbutchargedasapplicable],andpresentedontheendofeachquaterandshallbepaidwithinten（10）daysofthedateofinvoice.

顾问费用按季度支付，每季度为5000欧元（不含增值税或增值税另计），月底结算，并于发票日起10日内由银行转账支付

ExpensesandchargesincurredbytheConsultantwillalsoberepaidtotheConsultantandtheywillbereimbursedbytheBeneficiarywithinten（10）daysofreceiptoftheConsultant’sinvoicewithalltherelatedsupportingdocumentsorreceipts.ThisrepaymentissubjecttopriorapprovalbytheBeneficiaryiftheamountoftheexpensesand/orchargeswhoseamountexceeds[…].

顾问方因履行顾问义务而产生的费用可以报销，自顾问方发票日（附相关收据）起10天内由受益方支付。

如费用超过贰仟欧元，则须提前获得受益方的同意。

4.TERM期限

ThisAgreementisenteredintoforatermof1year（the“Term”）beginningSeptember,20TT.

本顾问合同为期一年，自20TT年9月开始

UnlessotherwisenotifiedbyoneofthePartyorwithoutnewagreement,theConsultingContractshallbeineffectuntiltheendoftheTerm.

除非当事人一方通知，或者期间无新的协议，顾问合同在合同期结束之前有效

AttheendoftheTerm,thisAgreementcanberenewedforanewtermofoneyearifitisexpresslyagreedbytheParties.

合同期到期后，若双方同意，顾问合同可更新为新的一年期合同。

5.CONFIDENTIALITY保密条款

EachPartyshallholdinstrictconfidenceallinformationobtainedduringtheTermofthisAgreementconcerningdata,reports,recordsandotherinformationofanykindreceivedbyitinconnectionwiththisAgreementaswellastheServices,andshallrefrainfromdisclosingsuchinformationandthisAgreement,inwholeorinpart,toanythirdparty,withoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbyanyapplicablelawsorregulations,inwhichcasethePartyrequiredtodiscloseshalltotheextentpracticallyfeasiblegivepriornoticetotheotherParty.

ThereceivingPartyagreestoindemnifyandholdharmlessthedisclosingPartyfromanydirectdamage,costorliabilityarisingoutof,orresultingfrom,anyunauthorizeduseordisclosureoftheinformationreceived.EachPartyshallbeliableforanybreachofthisArticlebyanyofitsemployees,agents,consultantsorrepresentatives.

双方当事人均须对有关合同期内的有关顾问服务的数据、报告、记录以及其他信息严格保密，非因法律规定原因，无对方当事人同意，不得向第三方整体或部分泄露以上信息。

确因法律规定须披露信息，披露方须提前通知对方，对方将不予追究披露方因披露信息而带来的直接损失、花费、债务等。

双方对于自身员工、代理、顾问或代表人违反本条款的行为承担责任。

6.Subcontractingandassignment–Intuitupersonnae

分包和转让-

ThisAgreementhasbeenenteredintoinconsiderationofthePartiestheretoandinconsiderationoftheperformanceoftheConsultant.

本合同由顾问方和受益方共同拟定，且基于顾问方的顾问指导能力拟定。

UnlessotherwiseagreedbythePartiesinwriting,theServicesshallbeperformedbytheConsultantfortheBeneficiary.

非经一方书面同意，顾问服务须由顾问方本人向受益方提供

7.MISCELLANEOUS其他条款

7.1Notices通知函

WhenevernoticeisrequiredundertheprovisionsofthisAgreement,suchnoticeshallbeinwritingandsenttothePartiesattheirrespectiveaddressessetforthbelowortosuchotheraddressesaseachPartymayhereaftercommunicatetotheothersinwriting:

Noticesshallbe:

（i）deliveredbyhandagainstanacknowledgementofdeliverydatedandsignedbytherecipient,（ii）sentbyanovernightcourierserviceofrecognizedinternationalstanding（allchargespaid）or（iii）sentbyfacsimiletransmissionandconfirmedbyregisteredmail（postageprepaid,returnreceiptrequested）（"lettrerecommandéeavecdemanded'avisdereception"）postednolaterthanthefollowingbusinessday（withanysuchfacsimiletransmissiontobedeemedreceivedatthetimeindicatedonthecorrespondingactivityreport）.

Anysuchnoticeorothercommunicationshallbedeemedtohavebeendulygivenormade（i）ifdeliveredbyhandagainstasignedrelease,uponthisdelivery,（ii）ifsentbyanovernightcourierserviceofrecognizedstanding,uponreceiptdulyevidenced,（iii）ifsentbyfacsimiletransmissionconfirmedbyregisteredmail,asmentionedabove.

7.2WholeAgreement合同完整性

ThisAgreement（includingitsSchedules）representstheentireunderstanding,andconstitutesthewholeagreement,inrelationtoitssubjectmatterandsupersedesanypreviousexpressorimpliedagreementinanyformwhatsoever（includingletters,memoranda,protocolsandcontracts）betweenthePartieswithrespectthereto.
