GeneralBackground
TheNewYorkProduceExchangeTimeCharter(hereinafterreferredtoastheNYPE)wasfirstpublishedbytheNewYorkProduceExchangein1913although,asfarascanbedetermined,thesubstanceoftheformwasinusemuchearlierbutprobablywithanothertitle.
UndertheauspicesoftheNewYorkProduceExchange,theNYPEhasbeenamendedfromtimetotime,i.e.,in1921,in1931andin1946.
IntheperiodafterWorldWarII,theNewYorkProduceExchangedeclinedasacommodityexchangeandinthelate1960'sorearly1970'stheProduceExchangedisbandedanditsfunctionsweretakenoverbywhatwasknownastheInternationalCommodityExchangewhich,itisunderstood,isnowdefunctorinactive.
Withnoup-datingoramendmenttotheNYPEsince1946,afirstattempttomodernisethecharterwasinitiatedbyTheAssociationofShipBrokers&Agents(U.S.A.),Inc.(ASBA),NewYorkin1977.DuringtherevisionworkASBAundertookawideconsultationwithinterestedpartiesincludingTheBalticandInternationalMaritimeCouncil(BIMCO)andTheGeneralCouncilofBritishShipping(nowTheChamberofShipping).
Inpursuanceofthisinitiative,itwasthewishofASBAnottoproduceanentirelynewformbuttoamendthe1946Formbyincorporatingthechangeswhichwerethenmostfrequentlybeingmadeinthenegotiatingoftimechartersinthemarketplace.Nexttothis,ASBAdecidedthatclausesonlyoccasionallynegotiatedshouldnotbeincludedintherevisedform,butwouldbeplacedinanattachedRiderofSuggestedAdditionalClausessomeorallofwhichmightthenbeaddedtothebasiccharterwhensoagreedbythepartiesinvolvedinaparticularfixture.
intoaccount,interalia,thefactthatnowadaysvesselsareoftendelivered/re-deliveredduringseapassageoronarrival/departurepilotstationwherenosuchsurveyscanbeconducted.
Clause4-DangerousCargo/CargoExclusions
InsteadofablanketexclusionofdangerouscargoesasfoundintheNYPE1946,Line25,thisclausefollowsthecorrespondingclauseintheASBATIME1981whichpermitsthecarriageofdangerouscargoifcarriedinaccordancewiththerequirementsofrelevantauthoritiesbutstillexcludesthecarriageoflivestock,arms,ammunition,explosives,aswellasnuclearandradioactivematerials(sub-clause(a)).
Recognisingthatmanyhullinsurancepoliciesputalimitontheamountofdangerouscargotobecarriedonanyvoyage,newprovisionshavebeenincluded(sub-clause(b))which,ifIMO-classifiedcargoisagreedtobecarried,requirethepartiestoagreeandfillinthemaximumamountofsuchcargo;theclausealsogivesclearrulesastothepacking,labelling,loadingandstowingofsuchcargoaccordingtoIMOregulations.
Clause5-TradingLimits
TheprintedprovisionsintheNYPE1946(Lines27-31)specifyingtradingareasandlimitsareobsoleteandoftenamendedinpractice.ThiswaschangedintheASBATIME1981leavingittothepartiestospecifytheagreedtradinglimitsandexcludedareas.TheNYPE93alsoprovidesaccordingly.

Theseclauses,whicharecommoninalltimecharterpartyforms,remainessentiallythesameasintheASBATIME1981,withsomeminorrevisionofwording.
Clause8-PerformanceofVoyages
Thisclause,whilstkeepingthebasicowners'/charterers'divisionofresponsibilityforcargo,hasbeenclarifiedinordertoremoveuncertaintiesexistinginClause8oftheNYPE1946includingitsseriousshortcomingofomittinganyreferenceto"discharge"which,therefore,isusuallybeingtype-addedinpractice.IntheASBATIME1981(Clause8),insteadofdescribingcharterers'cargoresponsibilitiesintermsofanobligation"toload,stowandtrim"asfoundintheNYPE1946,theclauseprovidesthatthecharterersare"toperformallcargohandling".Thisprovisionwhichencompassesthepreviouslydescribedfunctions(including"discharge"asomittedintheNYPE1946)hasbeenkeptintheNYPE93anddoesnot,assaid,alterthebasicowners'/charterers'divisionofresponsibilityforcargointheoriginalNYPE1946.
BoththeNYPE1946andtheASBATIME1981containprovisionsregardingsigningofbillsoflading,etc.,which,ithasbeenfoundtobesomewhatmisplacedinaclausewhichbasicallydealswiththeperformanceofthevoyage.Provisionscoveringthesigningofbillsoflading,etc.arenowfoundinaself-standingclause(Clause30)forcommentsonwhichseebelow.
Clause9-Bunkers
TheprovisionsfoundinClause3oftheNYPE1946accordingtowhichpaymentofbunkerfueloilondeliveryandre-delivery,respectively,shouldbesettledonthebasisof"currentprice"intherespectiveportsoftengiverisetodisputes.ThishasnowbeenclarifiedinClause9oftheNYPE93whichrequiresthepartiestoagreeandfillinnotonlythequantitiesofbunkerfueloilondelivery/re-delivery,butalsotheprices.
Thesupplyofinferiorbunkerfueloilhasbecomeagrowingproblemoverrecentyearsandseriousdamagetomainenginesorauxiliariescausedbyunsuitablebunkerfueloilhasfrequentlyoccurred.
Sub-clause(b)ofClause9addressesthisproblemandthepartiesarestronglyrecommendedtoagreeandspecifyclearlyinAppendixAthespecification(s)ofbunkerfueloil(s)requiredfortheparticularvesselandhermainauxiliaryengines.
Clause10-RateofHire/RedeliveryAreasandNotices
WhereastheNYPE1946onlyprovidedforamonthlyhirebasedonthevessel'sdeadweightcarryingcapacity,theASBATIME1981providedforthepartiestoagreeeitheradailyrateofhireorahirebasedonthevessel'stotaldeadweightcarryingcapacity.TheseoptionshavebeenmaintainedinClause10oftheNYPE93andnowadaysmostbutnotallfixturesarebaseduponadailyrateofhire.
ToavoidrecurringdisputesonwhetherlocaltimeorGMTshallapplyforthepurposeofhirecalculationortermination,Clause10nowsolvesthisproblembyprovidingthatforthispurposethetimesofdelivery/re-deliveryorterminationofchartershallbeadjustedtoGMT.
Clause11-HirePayment
TheHirePaymentClauseintheNYPE1946(Clause5)wassignificantlychangedwhenrevisingthecharterin1981andtheresultingASBATIME1981CharterinClause5,combinedwithClause29intheRiderofSuggestedAdditionalClauses,introducedsomenoveltiesincludingagraceperiodforpaymentofhireaswellasstipulationswhichentitletheownerstowithholdtheperformanceofanyoftheirobligationswhilehireisoutstanding.BoththeNYPE1946andtheASBATIME1981containtheimportantprinciplewhichgivestheownerstherighttowithdrawthevesselintheeventoffailureofthechartererstopayhireontime.
RatherthancontinuetomakesomeoftheseprovisionsoptionalasintheASBATIME1981,alltheseelementshavenowbeenintegratedinClause11oftheNYPE93alsobecause,inpractice,theyarecommonlyaddedtothebasicNYPE1946form,albeitofteninabadlydraftedmanner.
Therightofwithdrawal(cancelling)whenthecharterersareindefaultofpaymentofhireisatraditionalandveryimportantsafeguardforowners.Thisprinciplehas,therefore,beenfullymaintainedinsub-clause(a)ofClause11.
Inrecentyearstherehavebeenfrequentdelaysofremittancesthroughbanksandinordertoavoidabuseoftherightofwithdrawal,ithasbecomecommonpractice,inmanyinstances,toinsertintimecharterformsaso-called"Anti-Technicality"Clauseora"GracePeriod"Clause.Insomecharterforms,thelengthoftheperiodofgracehasbeenarbitrarilydetermined,whereasothercharterformsleaveitopentothepartiestoagreeonthelengthoftheperiodofgracenormallystipulatedas"bankingdays"and,usually,combinedwithnotificationtothecharterers.
Thislatterchoicehasbeenincludedinsub-clause(b)ofClause11anditisstronglyrecommendedtostudycarefullytheprovisionsofsub-clause(b)andtofillinthenumberofdaysofgraceetc.,asagreed,inacorrectmanner.
Theseprovisionsarealsofairtochartererssincetheyshouldpreventcancellationsfortriflingdelayswherethesituationisnosignaloflastingfailuretopay.
Ontheotherhand,anyabuseoftheperiodofgracebyconstantlateremittanceshouldbesafeguardedagainstbytheprovisionsinthelastparagraphofsub-clause(b)entitlingownerstowithdrawinthecaseofcontinued"misuse"ofthegraceperiod.
Ifthehirehappenstobestilloutstandingontheexpiryofthegraceperiod,oranytimethereafter,thesecondparagraphofsub-clause(a)ofClause11entitlestheowners,withoutprejudicetothelibertytowithdraw,towithholdtheperformanceofanyandalloftheirobligationsunderthecharter.Thehiremayhappentobemissing,forinstance,justwhenthevesselisabouttoloadforanewvoyageandwithachartererwhoisabouttogobankrupt,theownersthenruntheriskofbeingsaddledwiththeperformanceofanewvoyagewithouthirebeingpaidandwithoutcoverforexpensesfallinguponthecharterer.Itistoolatetowithdrawthevesselifcargohasbeenloadedandbillsofladinghavebeensignedobligingtheownerstoperformthevoyageaccordingtothebillofladingcontract.Suchriskisguardedagainstbythelastparagraphofsub-clause(a).
Inmatterssuchaslatehirepayment,thepartiesmustknowwheretheystand,bothwhenitcomestotriflingdelaysorprotracteddelays,nottospeakofcompletefailuretopay.ItisbelievedthatClause11solvestheseproblemsinafairandequitablem
