(TheCompanyandtheEmployeehereinaftershallbereferredtoasthe“Party”individuallyandthe“Parties”collectively.)

Whereas:
鉴于:
(1)TheCompanyandtheEmployeeenteredintotheEmploymentContracton〔〕;
公司与员工已于20年月日签订《员工劳动合同》;
(2)Duringtheworkingcourse,theEmployeewillobtainoraccesstocertainConfidentialInformation。
在工作过程中,员工将可能获得或接触到某些保密信息。
(3)TheEmployeefullyunderstandsanddeeplyacknowledgesthat,ifheorsheengageinacompetitivebusinessorworkaftertheemployeeleavethecompany,somehugeandirrecoverablelossanddamagewillbecausedtothecompany.
员工完全理解并深刻认识到,员工离职后从事与公司有竞争业务的工作,会给公司造成巨大的、无法挽回的损失。
Therefore,toprotecttheCompany’slawfulinteresttoamaximumextent,bothParties,throughsufficient,freeandequalconsultation,covenantandagreetothefollowingagreementastheattachmenttotheEmploymentContract.
因此,为最大限度地保护公司合法权益,双方经充分、自由、平等协商后达成如下协议作为“员工劳动合同”的附件,以资共同遵守。
1Non-competitionobligations
竞业限制义务
1.1Fortheperiodofemploymentandtwo
(2)yearsaftertheexpirationorterminationoftheEmploymentContractwiththeCompany(forwhateverreasonorwhetherthereisareasonforsuchtermination),theEmployeeshall,whetherdirectlyorindirectly,refrainfromoperatingbusinesswithintheterritoryofthePeople’sRepublicofChinaforhis/heraccountorwithanyothercompany,agency,organizationorpersonwhichcompeteswiththebusinessofCompanyoranyofitsaffiliates;theEmployeeshallnotaccepttobedirectlyorindirectlyemployedinanymannerbyanycompany,agency,organizationorpersonwhichengagesinthesameorsimilarkindofproductorbusinessscopeorcompetingbusinessperformedbyCompanyoranyofitsaffiliates,whereaspaymentforsuchemploymentisprovidedornot.
在公司任职期间及与公司的《员工劳动合同》期满或终止(无论由于何等原因或无论该期满或终止是否有原因)后的两
(2)年内,员工不得以直接或间接的方式在中国地域范围内自营、或者与任何其它公司、机构、组织或个人共同经营与公司或其任何关联方有竞争关系的业务;员工也不得以任何方式直接或间接接受任何与公司或其任何关联方的产品或经营范围相同或相类似或业务相竞争的任何公司、机构、组织、个人的聘用,无论这些聘用是有偿的还是无偿的。
1.2TheEmployeeshallnot,foraperiodoftwoyearsfollowingtheexpirationorterminationoftheEmploymentContract(forwhateverreasonorwhetherthereisareasonforsuchterminationordissolution),whetherdirectlyorindirectly,contact,callupon,communicatewith,attempttocommunicatewith,solicitbusinessfromortransactwithanyclientsorcustomersofCompanyoranypersonnelwhoisresponsibleforhandlingtheCompany’smattersconcerned,foranyinterestsofhis/herrelativesoranythirdpartyorforhis/herowninterestwhentheEmployeebecomesacompetitorofCompany.

(2)年内,员工不得以直接或间接的方式为其亲属或其它任何第三方的任何利益,或在员工本人成为公司竞争者的情况下为了他/她自身利益,与公司的任何客户、顾客或负责处理公司相关事宜的人员进行联络、会晤、沟通或试图沟通,向其招徕业务或与之进行交易。
1.3ItisnottheCompany’sintentiontoinanywayinterferewithformeremployees’employmentopportunities,exceptinthosesituationsasdescribedhereinwherethereisaconflictwithCompany’slegitimateinterests.TheEmployeeunderstandsthatintheeventtheEmployeehasanyquestionregardingtheprovisionsofthisSection,itishis/herresponsibilitytoimmediatelynotifytheHRDepartment,andtheCompanywillnotifytheEmployeeofitsposition.
除了在本协议已写明的、涉及与公司合法利益相冲突的情况外,公司并无意以任何方式干涉公司前雇员的就业机会。
员工亦知晓如其对本款约定有任何疑问时,员工有责任立即通知人力资源部,公司将告知员工公司在此事上的立场。
1.4TheEmployeeshallnotforaperiodoftwo
(2)yearfollowingtheexpirationorterminationofhis/herEmploymentContract(forwhateverreasonorwhetherthereisareasonforsuchterminationordissolution),whetherdirectlyorindirectly,takeanyactioninanymannertoassisthis/hersuccessoremployeroranythirdpartyinemploymentsolicitationorrecruitinganyotheremployeewhohadworkedfortheCompany.Suchassistanceincludes,withoutlimitation,identifyingforsuchsuccessorsthosepersonsworkingforCompanywhohavespecialknowledgeregardingCompany’sinterests,orincludingorencouraginganyemployeetoterminatetheemploymentrelationshipwiththeCompany.
自《员工劳动合同》期满或终止(无论由于何种原因或该终止或解约是否原因)之日起两
(2)年内,员工不得直接或间接地以任何方式、采取任何行动以协助他/她的新雇主或任何第三方招用或聘用任何曾为公司工作的其它任何员工。
前述协助包括但不限于为其新雇主确认为公司工作并具有涉及公司利益的某特殊技能的人员,或诱导或鼓励任何公司员工与公司终止劳动关系。
1.5TheEmployeeagreesthathe/sheisobligatedtotimelyreporttotheCompanytheinformationregardinghis/heremploymentsituationsorhis/herperformanceofthenon-competitionobligations,andhelptheCompanytoupdatetheaforesaidinformation.
员工同意其有义务及时向公司提供其就职情况或其履行竞业限制义务情况的信息,并应协助公司了解更新该等信息。
1.6InthecasetheEmployeeleaveshis/herpositionoftheCompany(forwhateverreasonorwhetherthereisareasonforleaving),theCompanyisentitledto,atitsdiscretionandbasedonactualcircumstances,informhis/hernewemployerabouttheobligationandresponsibilitiesunderthisAgreement.
若员工从公司离职(无论由于何种原因或无论该离职是否有原因),公司有权自主决定并根据实际情况将员工在本协议项下所承担的义务和责任通知员工的新雇主。
2Non-CompetitionCompensation
竞业限制经济补偿
2.1UnderthepreconditionthattheEmployeefullyperformsitsnon-competitionobligationsunderthisAgreement,CompanyshallpaytoEmployeeonamonthlybasis,thecompensationfornon-competitionequivalentto30%oftheAverageMonthlySalaryofEmployee(“Non-CompetitionCompensation”).ForthepurposeofthisAgreement,the“AverageMonthlySalary”ofEmployeemeanstheaveragemonthlycashremunerationpaidtoEmployeeduringthelast12monthsofhis/heremploymentwithCompany(orifEmployeewasemployedforlessthan12months,theaveragemonthlycashremunerationpaidtoEmployeeduringthetermofemploymentwithCompany).Employeeacknowledgesandagreesthatsuchamountisfair,adequateandreasonableascompensationforhis/hercompliancewiththenon-competitionobligationasprovidedhereof.
在员工充分履行其在本协议项下所承担的竞业限制义务的前提下,公司将按照员工月平均工资的【30%】的标准,按月向员工支付竞业限制补偿费(下称“竞业限制补偿费”)。
为本协议之目的,前述所称员工“月平均工资”是指公司以现金形式支付给该员工的、其劳动关系结束前最后12个月的平均工资(如该员工的受雇期不足12个月,为受雇期的月平均工资)。
员工认可并同意该竞业限制补偿费金额作为员工遵守本协议所定竞业限制义务之补偿是公正、充分和合理的。
2.2StartingfromthefirstmonthimmediatelyaftertheexpirationorterminationoftheEmploymentContract,CompanyshallpayEmployeetheNon-CompetitionCompensationonamonthlybasisduringthenon-compensationperiodprovidedheretoatthebeginningofeachcalendarmonth,providedthatEmployeefullycomplieswiththeNon-Competitionterm.PaymentshallbemadetothebankaccountasdesignatedbyEmployee.Thedepositbankofemployeeis______;accountnameis_______;accountnumberis________________.
在员工始终、完全遵守本协议所定竞业限制各项约定的前提下,从《员工劳动合同》期满或解除后的第一个月开始,公司将于每公历月初按月向员工支付竞业限制补偿费,该费用将付至员工指定的银行账户。
员工指定银行账号的开户行为______;开户名为_______;账号为__________________。
2.3IfCompanyfailstopayEmployeetheNon-CompetitionCompensationontime,EmployeeisentitledtorequestfortheCompensationbutisstillobligedtocomplywiththeprovidednon-competitionobligationsunlesstheCompanywaivesEmployee’ssuchobligationspursuanttoArticle4.
若公司未能及时向员工支付竞业限制补偿费,员工有权要求公司支付该补偿金,但员工仍有义务持续遵守竞业限制义务,除非公司按第4条约定免除员工的竞业限制义务。
3LiabilityforBreachofNon-CompetitionObligation
违反竞业限制义务的违约责任
3.1Iftheemployeeviolatesnon-competitionobligationsCompanyhastherighttorequireEmployeetoimmediatelystopinfringementaction.Employeeshallpayliquidateddamagesintheamountof〔24〕timesoftheAverageMonthlySalaryofEmployeeduringhis/heremployment(the“AverageMonthlySalary”heremeanstheaveragepre-taxmonthlysalaryduringtheEmployee’semployment,whichincludesbasesalary,variouswelfaresuchasallowanceandsubsidiesstipulatedbytherelevantlawsandregulations).
如员工违反竞业限制义务,公司有权要求员工立即停止侵害行为。
同时,员工应一次性向公司支付违约金,数额为员工受雇期间月平均工资(本处“月平均工资”指包含员工基本工资、相关法定或规定的津贴、补贴、补助等各类福利性收入的、员工受雇期间的税前平均基本工资)的〔24〕倍。
3.2IntheeventthattheactuallossessufferedbyCompanyduetothebreachofEmployeeexceedstheaforesaidliquidateddamages,includingbutnotlimitedtotheNon-CompensationalreadypaidbyCompany,CompanyisentitledtobecompensatedtheshortfallbyEmployeeinbreach.IfthelossoftheCompanyisdifficulttocalculate,theamountofthelossshallbethetotalproceedsofEmployeeobtainedbybreachofcontractandthereasonableexpensesincurredbythecompanyforclaimingtheemployee'sliabilityforbreachofcontract.
若由于员工违约给公司造成的实际损失(包括但不限于公司已经支付的竞业限制补偿费)超过上述违约金额的,公司有权要求员工向公司赔偿其差额部分。
如果公司的损失难以计算,损失赔偿额为员工因违约行为所获得的全部收益和公司因追究员工的违约责任而产生的合理费用。
3.3TheservicesrenderedbyEmployeetoCompanyinthecourseofhis/heremploymentmaybeofaspecial,uniqueandextraordinarycharacter,andbreachbyEmployeeofanyprovisionofthisAgreementwillcauseCompanyirreparableinjuryanddamage.Therefore,EmployeeirrevocablyagreesthatCompanyshallbeentitled,inadditiontoallotherremediesavailabletoit,totakeanypracticableremedymeasurestopreventthebreachofthisAgreementoranypartofitandtosecuretheenforcementofthisAgreement.
由于员工在其雇用期间向公司提供的服务有可能是特定的、独一无二的、具有特殊性质的,员工对本协议任何条款的违反将对公司造成不可挽回的损害和损失。
因此,员工不可撤销地同意,除了其它任何公司可采取的救济外,公司有权采取任何可能的补救措施以阻止对本协议或其任何部分的违反,并确保本协议的履行。
4The Exemptionof Non-competition Obligation
竞业限制义务的免除
CompanyshallhavetherighttowaivetheobligationofEmployeetocomplywiththeprovidednon-competitionobligationswiththirty(30)dayspriornotice.Insuchevent,CompanyshallpaytheNon-CompetitionCompensationinproportiontotheperiodofnon-competitionobligationsperformedbyEmployeeunderArticles2.1and2.2ofthisAgreement.
公司有权在给予提前三十(30)日通知员工的情况下,免除员工遵守本协议所规定的竞业限制义务。
在此情况下,公司应根据本协议第2.1和2.2款规定,按比例支付员工已履
