GeneralBackground
TheNewYorkProduceExchangeTimeCharter(hereinafterreferredtoastheNYPE)wasfirst
publishedbytheNewYorkProduceExchangein1913although,asfarascanbedetermined,the
substanceoftheformwasinusemuchearlierbutprobablywithanothertitle.
UndertheauspicesoftheNewYorkProduceExchange,theNYPEhasbeenamendedfromtime
totime,i.e.,in1921,in1931andin1946.
IntheperiodafterWorldWarII,theNewYorkProduceExchangedeclinedasacommodity
exchangeandinthelate1960'sorearly1970'stheProduceExchangedisbandedandits
functionsweretakenoverbywhatwasknownastheInternationalCommodityExchangewhich,
itisunderstood,isnowdefunctorinactive.
Withnoup-datingoramendmenttotheNYPEsince1946,afirstattempttomodernisethe
charterwasinitiatedbyTheAssociationofShipBrokers&Agents(U.S.A.),Inc.(ASBA),NewYorkin1977.DuringtherevisionworkASBAundertookawideconsultationwithinterested
partiesincludingTheBalticandInternationalMaritimeCouncil(BIMCO)andTheGeneralCouncil
ofBritishShipping(nowTheChamberofShipping).
Inpursuanceofthisinitiative,itwasthewishofASBAnottoproduceanentirelynewformbut
toamendthe1946Formbyincorporatingthechangeswhichwerethenmostfrequentlybeing
madeinthenegotiatingoftimechartersinthemarketplace.Nexttothis,ASBAdecidedthatclausesonlyoccasionallynegotiatedshouldnotbeincludedintherevisedform,butwouldbe
placedinanattachedRiderofSuggestedAdditionalClausessomeorallofwhichmightthenbe
addedtothebasiccharterwhensoagreedbythepartiesinvolvedinaparticularfixture.
Therevisedform,knownasthe"ASBATIME"waspublishedbyASBAin1981butgainedonly
limitedacknowledgmentanduseinthemarketplace.AlthoughASBAhadhopedthatthe
techniqueadoptedinthe"ASBATIME1981"bymakingavailableacomprehensivelistof
suggested,optionalclausesintheattachedprintedRiderwouldhelptocombatthe"Rider
Syndrome"soinherenttotheNYPE1946form,themarketcontinuedtousetheoldNYPE1946
withanever-increasingnumberof"home-made",oftenbadlydraftedriderclauses,manyof
whichappearedtohavebeenhastilydraftedduringlateafternoonrushhoursand,asaresult,
causingnumerousdisputes.ManyexamplesofexecutedNYPE1946formshaveshownthat,in
agreatmanyinstances,verylittleoftheprintedtextisleftintactbecauseofnumerousdeletions
andamendmentscombinedwithsometimesupto40-50,ifnotmore,riderclauses.Itis,therefore,notsurprisingthatovertheyearsthecharterpartiesagreedontheNYPE1946formhavebeenthesubjectofadrasticincreaseinlitigationandarbitration.
OnthisbackgroundandrecognisingtheimportanceoftheNYPEasthemostcommonlyused
timecharterformfordrycargovessels,theCharteringandDocumentaryCommitteeofASBAdecidedin1992,inco-operationwithTheBalticandInternationalMaritimeCouncil(BIMCO)and
theFederationofNationalAssociationsofShipBrokersandAgents(FONASBA),toundertakea
generalrevisionoftheNYPE/ASBATIMECharter,takingintoaccountchangesinmarket
practicesandship'stypesetc.whichhadtakenplacesincethelatestrevisionand,thereby,
hopefullyproduceaworkableandup-to-dateformwhichwouldbeendorsedinthemarketplace
andwhichwouldassistthepartiesintheirday-to-daybusinesstransactions.
Inpursuanceofthisobjective,aJointWorkingGroupconsistingofrepresentativesfromASBA,
BIMCOandFONASBAhassincebeenworkingcloselytogether.Throughoutthepreparatory
revisionworkgreateffortshavebeenmadetorevisethecharterinsuchamannersoastostrike
afairbalancebetweentheparties;whereshortcomingsanduncertaintiesexisted,totryto
clarifythedocumentbyuseofaptwordsandrecognisedtradeterminology;toimprovethe
structureofthecharterinordertofacilitatereadingandgeneraloverview;tointegrateintothe
basicformofthechartersuchclauseswhicharealreadycommonlyaddedinaRiderinorderto
reducethescopeofdisputessooftenarisingfrombadlydraftedriderclausesandtointroducesuchchangesasdeemednecessarytoconformtomoderncustomsandmodernship
technology.Inthisconnection,anumberoftheRiderClausessuggestedintheASBATIMERider
ofSuggestedAdditionalClauseshasnowbeenincorporatedintheprintedbodyoftherevised
Charter;otherclausesrepresentanewapproachtolong-standingproblemsandnewclauseshavebeenaddedsuchas,forinstance,anAnti-DrugAbuseClauseandaStowawaysClause
comparabletothoseoftenaddedtomanyproformaNYPEChartersusedbymajorcharterers.
TherevisionworkhasnowbeencompletedandtheresultingrevisedNewYorkProduceExchangeTimeCharter,CodeName:
NYPE93,marked"RevisedSeptember14th,1993"
hasbeenofficiallyapprovedbytheBoardofGovernorsofASBAandhasbeenadoptedbythe
DocumentaryCommitteeofBIMCOasa"Recommended"form;similarly,thecharterhasbeen
adoptedbytheCharteringandDocumentaryCommitteeofFONASBA.
ExplanatoryNotesonClauses
Preamble
Toconformtomodernshiptechnology,areferenceto"GT"hasbeenadded.
Itislefttothepartiestofillintheactualfigureagreedinrespectofmaximumforceonthe
Beaufortwindscaledependingonthesizeandtypeofvesselandherenginepower.
InthePreambleaswellasinvariousotherplacesinthecharter,itisnecessarytospecify
whether"long"or"metric"tonswhichisalsoimportantinrelationtotherateofhire(Clause10)
iffixedpertononthevessel'stotaldeadweightcarryingcapacity.
AnAppendix"A"hasbeenprovidedforfilling-insuchfurtherdetailsofthevesselasmaybe
required.ItisofparticularimportancetoinsertinAppendixAafullspecificationofthebunker
fueloiltobesuppliedforburninginthevessel'smainenginesandauxiliaries(forfurther
commentsonthissubjectseealsocommentsonClause9below).
Clause1-Duration
Toavoidrecurringdisputesonthedurationofcharter,itisrecommendedtospecifyclearlythe
exactperiodofhirewithanymargin,ifalsoagreed.
Clause2-Delivery
TheNYPE1946providedinLine22forthevesseltobe"ineverywayfittedfortheservice".This
wasamendedintheASBATIME1981revisiontoread"ineverywayfittedforordinarycargo
service"whichwasfoundtobeclearerandhas,therefore,beenmaintainedintheNYPE93.
Clause3-On-OffHireSurvey
WhereastheNYPE1946ChartercontainednoOn-OffHireSurveyClause,suchclausewas
includedasanoptionalclauseintheASBATIMERiderofSuggestedAdditionalClauses.
ThisclausehasnowbeenincorporatedintheNYPE93andhasbeenclarifiedtotakeinto
account,interalia,thefactthatnowadaysvesselsareoftendelivered/re-deliveredduringseapassageoronarrival/departurepilotstationwherenosuchsurveyscanbeconducted.
Clause4-DangerousCargo/CargoExclusions
InsteadofablanketexclusionofdangerouscargoesasfoundintheNYPE1946,Line25,this
clausefollowsthecorrespondingclauseintheASBATIME1981whichpermitsthecarriageofdangerouscargoifcarriedinaccordancewiththerequirementsofrelevantauthoritiesbutstill
excludesthecarriageoflivestock,arms,ammunition,explosives,aswellasnuclearand
radioactivematerials(sub-clause(a)).
Recognisingthatmanyhullinsurancepoliciesputalimitontheamountofdangerouscargoto
becarriedonanyvoyage,newprovisionshavebeenincluded(sub-clause(b))which,ifIMO-
classifiedcargoisagreedtobecarried,requirethepartiestoagreeandfillinthemaximumamountofsuchcargo;theclausealsogivesclearrulesastothepacking,labelling,loadingand
stowingofsuchcargoaccordingtoIMOregulations.
Clause5-TradingLimits
TheprintedprovisionsintheNYPE1946(Lines27-31)specifyingtradingareasandlimitsareobsoleteandoftenamendedinpractice.ThiswaschangedintheASBATIME1981leavingitto
thepartiestospecifytheagreedtradinglimitsandexcludedareas.TheNYPE93alsoprovides
accordingly.
Clause6-OwnerstoProvide
and
Clause7-ChartererstoProvide
Theseclauses,whicharecommoninalltimecharterpartyforms,remainessentiallythesame
asintheASBATIME1981,withsomeminorrevisionofwording.
Clause8-PerformanceofVoyages
Thisclause,whilstkeepingthebasicowners'/charterers'divisionofresponsibilityforcargo,has
beenclarifiedinordertoremoveuncertaintiesexistinginClause8oftheNYPE1946including
itsseriousshortcomingofomittinganyreferenceto"discharge"which,therefore,isusuallybeingtype-addedinpractice.IntheASBATIME1981(Clause8),insteadofdescribing
charterers'cargoresponsibilitiesintermsofanobligation"toload,stowandtrim"asfoundin
theNYPE1946,theclauseprovidesthatthecharterersare"toperformallcargohandling".Thisprovisionwhichencompassesthepreviouslydescribedfunctions(including"discharge"as
omittedintheNYPE1946)hasbeenkeptintheNYPE93anddoesnot,assaid,alterthebasic
owners'/charterers'divisionofresponsibilityforcargointheoriginalNYPE1946.
BoththeNYPE1946andtheASBATIME1981containprovisionsregardingsigningofbillsof
lading,etc.,which,ithasbeenfoundtobesomewhatmisplacedinaclausewhichbasicallydeals
withtheperformanceofthevoyage.Provisionscoveringthesigningofbillsoflading,etc.are
nowfoundinasel
