TENANCYAGREEMENT

ThisTENANCYAGREEMENTismadethis___dayof____,2007betweentheLandlord____________(hereinafterreferredtoasthe“Landlord”or"PartyA")andtheTenant________________(hereinafterreferredtoasthe“Tenant”or"PartyB");
WHEREAStheLandlordagreestoletandtheTenantagreestotaketheleaseofUnit____,__thflooroftheofficebuildinglocatedon________________(hereinafterreferredtoasthe“Premise”)inaccordancewiththetermsandconditionscontainedinthisAgreement;and

1.TENANCY
1.1PartyAownstheofficebuildinglocatedanderectedon_______(hereinafterreferredtoasthe“OfficeBuilding”)andthereforehasthefullrighttodisposetheofficesinthatOfficeBuilding.AcopyoftheRealEstateOwnershipCertificate(AttachmentI)issuedbythelocalRealEstateandLandAdministrationauthorityshowingthatPartyAisthelegalowneroftheOfficeBuildingshallbeattachedtoandasapartofthisAgreement.
1.2BothPartiesagreethatthePremiseshallincludeallequipmentandfixturesintheUnit____,___thflooroftheOfficeBuilding.Alistofalltheequipmentandfixtures(AttachmentII)shallbeattachedtoandasapartofthisAgreement.
ThePartiesagreetocount,checkandagreeonallitemsofthePremisecontainedinAttachmentIIuponsigningofthisAgreement.
1.3PartyArepresentsandguaranteesthat
1.3.1ThePremiseshallbeclean,tenantableandfreefromanyandallencumbrancesinanymannerwhenitisleasedtoPartyB;
1.3.2PartyAshallhavenooutstandingbillsforutilitiescharges,suchastelephone,electricity,etc.inthePremiseatthecommencementdateofthisAgreement;
1.3.3PartyAshallprovidePartyBwithacompleterightofcontinuousandnon-interruptionoccupancyofthePremiseduringthelifetimeofthisAgreement;and
1.4PartyAfurtherrepresentsandguaranteesthatincasethereisanyclaimarisenoutoforrelatedtothePremiseand/ortheOfficeBuildingatthedateofcommencementofthisAgreementPartyAshallfullycompensatePartyBforanyandallcostsandexpensesincurredbyPartyBtherein.
2.TERM,EXPIRATIONANDTERMINATIONOFTENANCY
2.1Term
ThePartiesagreethatthePremiseisherebyleasedforatermof__yearscommencingon_____,2005andexpiringon____,200_.
IncasePartyBwishestoextendtheleaseuponexpiration,PartyBshallhavetherightoffirstrefusal,thatis,PartyBshallbeentitledtorenewtheleaseuponequaltermsandconditionsofanythirdparty,providedPartyBgivesatwo-monthpriorwrittennoticetoPartyA.ThePartiesshallnegotiateandenterintoanewagreementbasedonthisAgreement.
2.2Expiration
UponexpirationofthisAgreement,PartyAshallbeentitledtotakebackthePremiseinfull,andPartyBshalldeliverthePremiseinfullonthedateofexpiration.
2.3Termination
PartyBisallowedtoterminatethisAgreementbygivingapriortwo-month’swrittennoticetoPartyAorpayinganamountequivalenttotwo-month’srentalinlieuofnotice.
3RENTALANDPAYMENTTERMS
3.1TherentalforthePremiseis__________onlypermonth.
3.2Thisrentalamountincludesallpropertyfees,relatedtaxesandcharges,butisexclusiveofchargesonutilities(water,electricity,etc.)andoftelephonefee,whichshallbebornbyPartyB.
3.3Therentalshallbepaidinadvanceonaquarterlybasis.PartyBshallmakeitsrentalpaymentbeforethefirstcalendardayofeachandeverythree-monthpayabletothefollowing:

PartyAshalldeliveranofficiallyvalidreceipttoPartyBforeachandeverypaymentmadebyPartyBwithin7daysafterreceivingeachandeveryrentalpayment.
3.4Anyandallotherfees,chargesand/ortaxesarisenoutofandrelatedtothisAgreementincludingbutnotlimitedtothepropertytaxandrentaltax,whichPartyAisrequiredtopayinaccordancewiththerelevantlawsandregulationsshallbepaidsolelybyPartyA.
PartyAagreestoindemnifyPartyBandtoholdPartyBharmlessagainstanyclaimmadeormightbemadewithrespecttofees,charges,and/ortaxesbyanythirdpartyinrelationtotherentunderthisAgreement.
3.5TherentalcannotbeincreasedduringthetermofthisTenancyAgreement.
4DEPOSIT
PartyBagreestopayadepositof_______________(hereinafterreferredtoasthe“Deposit”)toPartyAwithin__daysuponsigningofthisTenancyAgreement.TheDepositshallbepayableintotheaccountdesignatedbyPartyA.UponexpirationorterminationofthisAgreementandnorenewalhappens,PartyAshallpaybacktheDepositinfullwiththeinteresttoPartyBwithin15daysbeforetheexpirationorterminationofthisAgreement.
5RESPONSIBILITIESOFPARTYB
5.1PartyBshallpaytheRental,DepositandutilitieschargesassetoutinthisAgreementontime.Failuretomakerentalpaymentand/ortherelatedchargesshallconstituteabreachofthisAgreement.
5.2DuringthetermofthisTenancyAgreement,PartyBshalltakeagoodcareofandberesponsibleformaintainingthePremiseinagoodcondition.
5.3UponexpirationorterminationofthisAgreement,PartyBshalldeliverthePremisebacktoPartyAinfull,togetherwiththefixturesandfittingstherein,exceptforfairwearandtearduringthetermofthisAgreement.
5.4DuringthetermofthisAgreement,PartyBshallonlybeallowedtousethePremiseforofficepurposeexceptPartyBobtainsawrittenconsentfromPartyAforanotherusageofthePremise.
5.5DuringthetermofthisAgreement,PartyBshallnotsub-letthePremisewithoutfirstobtainingthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld,deniedordelayed.
5.6DuringthetermofthisAgreement,PartyBshallnoterect,installorremoveanyfixturesorpartitioning,ormakeanystructuraladditionsand/oralternationswithoutthepriorwrittenconsentofPartyA,whichconsentshallnotbeunreasonablywithheld.
5.7PartyBshallberesponsibleforallcosts/expensesofrepairondamagesonwalls,ceilings,floors,windowsanddoorsinthePremiseduetoPartyB’snegligenceorwillfulmisconduct,exceptforfairwearandtear.
5.8PartyBshallallowPartyAand/oritsauthorizedrepresentative(s)underreasonablecircumstancestoenterandviewthePremiseatamutuallyagreeabletime,toenterandcarryoutthestructuralworkandtorepairelectricalcircuits,waterpipesanddrains,whicharenecessarytobedone,providedPartyBreceivesapriororalorwrittennoticefromPartyA.
6.RESPONSIBILITIESOFPARTYA
6.1PartyAshallpayanyandalldeedandotherrelatedtaxes/fees,includingbutnotlimitingtoGroundRent(ifany),stampduty,theunimprovedsitevaluetaxtogetherwithallincreasesinsitevaluetaxandlandrent/fee,rates,taxes,charges,outgoings,impositionsandassessments,whichnowormayhereinafterimposedorassessedbytherespectiveauthoritiesinrespectoforarisinginconnectionwiththisAgreementafterthecommencementofthisAgreement.
6.2PartyAguaranteesthatthePremiseshallbemadefullyavailableforoccupationatthecommencementdateofthisAgreement.PartyAassuresthatthePremiseandtheOfficeBuildingshallbecleanandtenantablewithallservicesandsuppliedappliancesingoodworkingorderandtokeepthestructureroofandtheoutsideofthePremiseinagoodconditionwithwellrepairedandpaintedwherenecessary.
PartyAshallnotvisit,interruptorotherwiseenterintothePremiseduringthetermofthisAgreementunlessPartyAunderreasonableandnecessarycircumstancessendsanoticetoandreceivesconsentfromPartyB,inorderforPartyBtopossessandenjoyquietandpeacefulPremiseandOfficeBuilding.
6.3PartyAshallberesponsibleformaintainingallkindsofequipmentsandfixturesinthePremiseandthecarriageways,carparkingareas,pathssurroundingtheOfficeBuilding,exceptwhenthedamagesaremadeduetoPartyB’snegligenceorwillfulmisconducts.
6.4PartyAensuresthatatthecommencementdateofthisAgreementalladequatesecurityandfirepreventionandotherrelatedservicesshallbesufficientlyprovidedandthatallelectricity,water,telecommunications,sewagesystemandotherpublicutilitiesandserviceshavebeenproperlyinstalledinthePremiseandOfficeBuildingsoastoservePartyB'sintendeduseofthePremiseinamannernecessary,sufficientandconvenient.PartyAshallatitsexpensesarrangefortheprovisiontoPartyBtheaboveutilitiesservicesonacontinuousanduninterruptedbasis.
6.5PartyAshallberesponsibleforrepairinaccordancewiththisAgreementreasonablewearandtearandthosefacilitieswhicharetheresponsibilityofPartyA.
6.6PartyAisnotpermittedtotakebackthePremiseduringthetermofthisAgreementwithoutreason.
7.ASSIGNMENTORSUBLETTING
DuringthetermofthisAgreement,neitherPartymayassign,transferorsellanyofitsrightsand/orobligationsunderthisAgreementwithoutfirstobtainingthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld,deniedordelayed.
8.BREACHOFAGREEMENT
SubjecttoArticle9ofthisAgreementandunlessotherwiseprovidedinthisAgreement,ifonePartyfailstoperformanyofitsobligationsunderthisAgreement,itisinbreachofagreementandthebreachingpartyshalltakeanyandallresponsibilityofcompensationtotheinnocentparty.
IncasePartyBdelaystopaytheRentalforupto30days,PartyAshallgiveawarningnoticetoPart
