MichaansAuctions条款合同
TheseConditionsofSaleareapplicabletoeverypurchaseatMichaan'sAuctions.Pleasereadcarefully.
Byregisteringtobidatauction,inperson,orthroughanagent,byabsenteebid,ortelephoneoranyothermeansincludingtheInternetande-mail,youagreetobeboundbytheseConditionsofSale(andchangesmadeasnotedbelow.)Allpropertyandeverylotforsaleinourcatalogueisofferedsubjecttothefollowingtermsandconditions,alongwithanychangesthatmaybepublishedorannouncedpriortoorduringasalebyMichaan'sAuctions(MA).Theterms"MA""us,""we,"or"our"asusedhereinallrefertoMichaan'sAuctions.Unlessotherwiseindicatedinthecatalogueorattimeofsale,MAactsatalltimessolelyastheagentfortheseller.AllsalesshallbedeemedtooccurinCaliforniaregardlesswhetherbytelephone,mailorthroughtheInternetorthephysicallocationofthebuyer.
Definitions
Hammerprice:
Thehighestbidreceivedforalotuponthefalloftheauctioneer'shammer.
Buyer'spremium:
Theamountpaidbythebuyerasapercentageofthehammerpriceandinadditionthereto.
Purchaseprice:
Theaggregateofthehammer,buyer'spremiumandapplicabletaxesorotherfees,ifany,asmayberequiredbylaw.
Reserve:
Theminimumpriceatwhichthelotmaybesold.
Buyer:
Thepersonorentitywhobuyspropertyatauctionorprivatesale.
Consignor:
Theseller,ortheseller'srepresentative,onbehalfofwhomwearesellingtheProperty.
Lot:
Thesingleitemorgroupofitemsofferedbyusforsale.
Property:
Theitemoritemscomprisinganauctionlotbeingofferedforsale.
Buyer'sPremium
InternetBuyer'sPremiumistwenty-threepercent23%uptoandincluding$250,000pluseighteenpercent(18%)ofanyamountinexcessof$250,000.
TermsofSale
a.ThePurchaseofandPaymentforProperty
thesaleofalotshallbetothehighestbidderasdeterminedbytheauctioneer,inaccordwiththeseConditionsofSale.TitletothelotshallpasswiththefalloftheAuctioneer'shammer.BuyershallpaythePurchaseprice,asdefinedabove,andsuchotherfeesasmaybedue,infull,withinseven(7)daysoftheauctionsale.SaleisnotfinalandpropertywillnotbereleasedtoBuyeruntilgoodfundsforallamountsdue,arereceivedbyMA.Paymentmaybemade(i)incash,(ii)bywiretransfer,(a$15fee)(iii)bymoneyorderorotherguaranteedfunds,or(iv)bypersonalcheck(whenbuyer'screditisapproved).NolotshallbetransferredbyBuyertoanotherpersonuntilthesaleisfinal.Intheeventofpartialpaymentforanylotorlotsweshallapplypayments,inourdiscretion,tothelotorlotsweselect.TheBuyergrantsMAasecurityinterestinthepurchasedProperty,andwemayretainascollateralanypropertypurchasedandanyfundsinourpossession,tosecureaBuyer'sobligationstous,ifany.WeretaintherightsofasecuredpartyundertheCaliforniaCommercialCode.Allfees,taxes,premiumsorothersumsdueandnotpaidpursuanttothisparagraphshallbearinterestat1.5%permonthfromthe8thdayfollowingthesaletothedatepaidinfull.
b.CollectionofProperty
Upontransferoftitle,Buyerassumesfullresponsibility,includingriskoflossanddamage,fortheProperty.PurchasedpropertyshallberemovedatBuyer'sexpensewithinfifteen(15)daysafterthesalebecomesfinal.Propertynotremovedshallbesubjecttoaservicefeeof$50,andastoragefee,ifretainedbyMA,of1%ofthepurchasepricepermonth.MAmayalso,initssolediscretion,electtoplacethePropertyinapublicstoragefacilityattheBuyer'ssolerisk,responsibilityandexpense.
c.Liabilityfordeliveryofproperty.
If,however,foranyreasonwhatsoever,weareunabletodeliverthepurchasedPropertytotheBuyer,MAshallbeliabletotheBuyeronlyforthePurchasepricepaidbytheBuyerandinnoeventshallwebeliableforincidentalorconsequentialdamages,including,butnotlimitedto,businessinterruptionorlossofprofit.
TheAuctionProcedure
a.Registration
Biddersmustregisterinadvancetobidatauction.(a)IfbymailorontheInternetpleasecomplywith,signandsendbacktherequisiteformorabsenteebid.(b)Totelephonebid,Biddersmustcomplete,signandfaxacopyoftheTelephoneBidRegistrationForm,whichisavailableonlybycallingMA.Telephonelinesarelimited,andavailableonafirst-come,first-servebasis.Registrationtobidbytelephonemustbecompletedby5p.m.thedaypriortotheauction.(c)Whenintendingtobidinperson,preregisteratthedeskandobtainabiddingpaddle.Theauctioneermayrefusetorecognizeanypersonnotregisteredandnothavingapaddlenumber.MAreservestherightatitssolediscretion,torefuseanyonetherighttoregisterandparticipateatanauction.
b.Announcements
Wemay,atthecommencementof,orduringtheAuction,announcechangesinormodificationstotheConditionsofSaleordescriptionsofProperty.
c.AbsenteeBids
ForaBuyer'sconvenience,absenteebidswillbeaccepted,whenproperlyexecutedandsubmittedinatimelymanner.However,weneitheracceptanyresponsibilitytoanabsenteebidder,noranyliabilitywhatsoeverforafailuretoexecutetheabsenteebidforanyreason.Intheeventthatidenticalmultipleabsenteebidsarethehighestbidsreceivedforthesamelotthentheearliestreceivedofthecompetingabsenteebidsshallprevailatthatbidamount.
d.Auctioneer'sDiscretion
TheAuctioneerhastheabsolutediscretionto1)passalotorwithdrawitfromsaleatanytimepriortoitsactualsale;2)refusetorecognizeanybidder;3)refusetorecognizeanybid;4)resolveanydisputebetweenbiddersorresolveanydoubtfulbidbydecidingwhoisthesuccessfulbidderornullifyingtheauctionofthelotandreofferingitforsale.TheAuctioneer'sdecisionisbindingastodisputesarisingatauction.Ifadisputearisespostsale,ourrecordsofthesaleshallbeconclusive.BoththeAuctioneerandMAshallbewithoutanyliabilitywhatsoeverresultingfromtheexerciseofthediscretionreferredtoherein.
e.Reserves
AllPropertyisofferedforsalesubjecttoaReserveunlessotherwisestatedbyusattimeofsale.Neithertheconsignornoranagentorrepresentativeoftheconsignorisallowedtobidontheirownproperty.
DisclaimerofWarranties
Exceptforwarrantyoftitle,neitherwenortheConsignormakeanywarranties,guaranteesorrepresentation,expressorimplied,withrespecttotheProperty,including,butnotnecessarilylimitedto,anyimpliedwarrantyof"fitnessforpurpose"or"merchantability."
AnyandallstatementsanddescriptionsinanycatalogueorelsewherebyMA,relatingtoage,attribution,authenticity,size,genuineness,provenance,historicalrelevanceorsignificance,physicalcondition,importance,quality,quantity,rarity,period,culture,sourceororigin,arepresentedasstatementsofqualifiedopiniononly.
MA'sdisclaimerofliabilitycoversinformationcontainedincatalogues,andallotherprintedmaterialpublishedbyus,includingconditionreports.BuyersassumetheresponsibilitytoinspectthePropertyandmaketheirowndecisionastothenature,qualityandvalueoftheProperty.
NeitherMAnortheConsignormakeanywarrantyorrepresentationwithregardtotheexistenceoforthetransferofintellectualpropertyrights,exceptandtosuchextentasmay,fromtimetotime,beexplicitlystated.
NoemployeeofMAisauthorizedtonorshallmakeanywarrantyorrepresentationonMA'sbehalf,exceptasstatedinthecatalogorinanywrittenaddendum.
EstimatesofValue
allestimatesofvalueaspublishedinourcataloguesorelsewherearestatementsofqualifiedopinionastotherangeofthepriceawillingbuyermightpayforthePropertyatauction.Theactualpricepaidatauctionorsubsequently,mayvarysubstantiallyfromtheestimates.MAshallnotbeliableforanysuchdifferential.
Buyer'sDefault
IfaBuyerfailstopayforpurchasedProperty,orotherwisedoesnotcomplywiththeseConditionsofSale,theBuyershallbeindefault.Inadditiontoallremediesavailableinlaw,toMAandtotheConsignor,theBuyershallbeliablefortheentirePurchaseprice.Additionally,atouroption,wemayeithercancelthesaleandretainallpaymentsmadebyBuyeraswellasretainanyandallPropertyofBuyerinourpossessionassecurityagainstpaymentofthesumsindefault,orwemayre-offerthePropertyforsale,atauctionorprivately,withoutreserve.BuyershallbeliabletousandtheConsignorfortheadditionalfees,commissionsandcostsonbothsales(includinghandling,storageandcourtcostsandattorney'sfees)resultingfromthecancellationorresaleofthePropertyandintheeventofresale,anydeficiencywhichmayresult.
Rescission
Thesoleandexclusiveremedy,availableonlytotheoriginalbuyer,isthelimitedrightofrescissionsetforthherein.MAwillcancelthesaleofPropertyiftheoriginalbuyerestablishestooursatisfactionthattherehasbeenabreachoftheConsignor'swarrantyoftitle,orthattheidentificationofAuthorship*ofthePropertyassetforthinBoldTypeHeadingisnotsubstantiallycorrect,basedonafairreadingoftheCatalogue(asmaybeamendedbypostedorannouncedchanges.)INALLINSTANCES,YOUMUSTGIVEWRITTENNOTICETOUSWITHIN30DAYSOFTHESALEOFTHEPROPERTY,SETTINGFORTHTHEBASISFORYOURCLAIMAND,ATYOURSOLEEXPENSEANDRISK,RETURNTHEPROPERTYINQUESTIONTOMAWITHINSEVEN(7)DAYSAFTERNOTICEISGIVENANDINTHESAMECONDITIONASWHENSOLD.Uponreviewoftheclaimandtheproperty,ifwearesatisfiedwiththebasesforyourclaimandthepropertyisinthesameconditionitwasinwhensold,
