国际BOT投资合同

AGREEMENTOFBOTPROJECT

　　ThisAgreementismadeandenteredintobyandbetween

　　Thegovernment of_____________（hereinafter called “B”） representedby________（hereinaftercalled“A”）

　　And__________Corporation，acompanydulyorganizedandexistingunderthelaws of the People’s Republic of China with its principal officeat___________（hereinaftercalled“C”）。

　　Whereas，AandCconcludedtheMemorandumConcerning__________Projectonthe____________andChadbeengivenExclusiveRightfrom B to carryoutinvestigationandimplement____________Project（hereinaftercalled“theProject”）bywayofjointfinancingbetweenCandB（socalledBOT）。

　　Whereas，theloanagreement，guaranteeagreement，letterofguarantee，etc.shallconstituteintegralcomponentsofthisAgreement.TheProject’sinstalledcapacityis__________.

　　Nowtherefore，thepartiesherebyagreeasfollows：

　　1.DefinitionandInterpretation

　　“Project” means the planning， feasibility  study，  design  andengineering，construction，equipping，completion， testing， commissioningandoperationoftheinfrastructureproject.

　　“ProjectCost”meansthecostspecifiedinClause3.

　　“OperationPeriod”meanstheperiodspecifiedinClause10.1from thestartingdateofcommercialoperationoftheinfrastructureproject.

　　“CompletionDate”meansthe day upon which C certifies that theinfrastructureprojecthassuccessfully completed its testing and canstartOperationPeriod.

　　“ForceMajeure”shallhavethemeaningspecifiedinClause16.

　　“ProjectScope”meansthe scope of supply and services of C inconnectionwiththeexecutionoftheProjectasdescribedinAnnex2.

　　“Site” means the site for the infrastructure project including___________，specialroads，andotherareasforconstructionas specifiedinAnnex2.

　　“TransferDate”meansthedayfollowingthelastdayofthe OperationPeriod.

　　“NewCompany”meansthe Company to be established between C and________entityasspecifiedinClause5.

　　“InvestmentAgreement”meanstheAgreementonMutualEncouragementandProtectionofInvestmentbetweentheGovernmentofthe People’s RepublicofChinaandtheGovernmentofthe___________.

　　“ExclusiveRight”meansthespecialpowergrantedtoCorNew CompanyintheMemorandum，Agreementanditsannex.

　　“Day”meansthesolarcalendarday.

　　2.TheProject

　　2.1TheProjectshallbenamedas“________”。

　　2.2 The infrastructure project is intended to be located  at__________.Theexact location of the infrastructure project may beadjustedatthestageofdetaileddesign in consideration of the sitecondition.

　　2.3TheProject shall be implemented on Building， Operation andTransferBasis.

　　2.4TheProjectshallbecomposedof____________________， _________，_________，thedetailsofwhichshallbeasattachedAnnex2 - Scope oftheProject.

　　2.5Thefinalfeasibility study report and detailed design afteracceptanceofBandCshallformbasisforthedevelopmentand completionoftheProject.

　　3.TheProjectCost

　　3.1Theprojectcostis$______，interestofthe construction periodis$______，thetotalprojectcostis $__________， and the details ofwhichareshowninAnnex3-ProjectCost.

　　3.2Thetotalprojectcostshall comprise but not limited to thefollowingcostsandthedetailsoftheprojectcostshallbe as attachedAnnex3-ProjectCost：

　　1）Costfor feasibility study， design and engineering and otherconsultingservices；

　　2）Costforconstructionandinstallation；

　　3）Costforpurchasingequipmentandmaterials；

　　4）Costforadministrationincludingoverseasexpenses；

　　5）Overheadandmiscellaneousexpenses；

　　6）Contingencies；

　　7）Interestduringtheconstructionperiod（__________%perannumplusbankcommission）；

　　8）Premiumforconstructioninsuranceandexportcreditinsurance.

　　3.3TheProjectCostshallbebasedonthe feasibility study reportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons，theadditionalparttotheProjectCostshallbeapproved by B.AnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC.

　　4.ResponsibilitiesforProjectExecution

　　4.1Cshallberesponsibleforthe following provided that if andafterNewCompanyisestablished，responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany：

　　1） the design and engineering， procurement，  construction  andcommissioningoftheProject；

　　2）allcostsinconnectionwiththe building of the infrastructureprojectandthearrangementofallnecessaryfunding；

　　3）operationoftheinfrastructureproject；

　　4）transferoftheinfrastructureprojecttoBontheTransferDate；

　　4.2Bshallberesponsiblefor：

　　1）thearrangementof：

　　the provision of all necessary development approvals， permits，consents，siteleases，accessand other rights for C or New Companytogetherwiththefulfillmentofessentialrequirements such as companyregistration，importlicenseandexemptionofcustomsdutiesandthelike；

　　theprovisionofallnecessaryordesirableaidsforCto obtain theloan；

　　obtainingofallregulatory，statutoryandotherconsents， approvals，authorizations，taxconcessionsand investment incentives as describedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject；

　　obtainingofallnecessarypermitsand approvals from the relevant_____________authoritiesforCorNewCompanyto repatriate capital anddividendsinUSDollarsfrom______；

　　obtaining of resident visas， work permits and other necessaryapprovalsfromtherelevantauthoritiesforCorNewCompany’s personnel，design，manufacturing，installationandconstructionpersonnelaswell astheirdirectrelativesincludingthetravelin___________；

　　theprovisionofall necessary approvals and permits relating toextensionoftheinfrastructureproject and the Project facilities inordertoincrease_________________productionifCorNewCompany intendstodoso；

　　theprovisionofallnecessarysecuritymeasuresforconstruction andoperationpersonnelandProjectfacilitiestilltheTransferDate；

　　theprovision of communications and transport facilities of theProjectconstructionandtheoperationoftheinfrastructureproject；

　　2）theassistanceintheoperationoftheinfrastructureproject.

　　3）providingCand/orNewCompanywithfreeuseoftheSite，includingbut not limited to the area of construction site，  access  road，transmissionlinerightofway，__________andetc.

　　4） the negotiation and conclusion of service  agreement  with___________Governmentorothercountries’governmentsjointly with C ornewCompany，thePeople’s Insurance Company of China representatives，whosepresenceinthenegotiationBshallensure， and whose approval BShallobtain；

　　5）theexportationof________________percentof __________ producedbytheinfrastructureprojectto__________oranythirdcountry；

　　6）theassignmentofits representatives at Site and to the NewCompanytoassistCorNewCompanyandmakenecessarycoordinationbetweenBandCorNewCompany.

　　4.3BensuresthattheOperationPeriodoftheProject shall be notlessthan_______years.HoweverifIRR（InterRate of Return） does notreach_______percent，bothpartieswilldiscussthe proper extension oftheOperationPerioduntiltheyearIRRreaches_______%.

　　4.4ConditionsPrecedent

　　Bshallberesponsiblefortheprovisionof the following documentsforCtomakeavailableanypartofthis Agreement within _______monthsfromthedateofsigningthisAgreementandsuchdocumentsshallbe validandeffectivetoNewCompany：

　　1） a power guarantee  issued  by  ___________________parliamentacceptabletoCintheformdefinedinAnnex7，whichshallbereturnedtoBontheTransferDate；

　　2）warrantytobeissuedandloanagreementtobeconcluded with theproposalmadebyBforbearing__________percentoftheProjectCost， theBankof______________astheloaneeand__________FinanceMinistryas theguarantorandacceptabletotheBankofChinaandthe People’s InsuranceCompanyofChina，andaletterofcreditor letter of guarantee to beissuedasrequiredbytheBank of China provided that the length ofmaturityis__________yearsincludinga _______year construction periodandloaninterest is ________percent per annum； B may make earlierreimbursement；

　　3）loanguaranteeandwarrantyfor C’s sharing __________% of theProjectCostincludinginterestoftheconstructionperiodtobeissuedbytheBankof_____________and______________FinanceMinistryrespectively，acceptabletothePeople’sInsuranceCompanyofChinaandtheLendingBankandvaliduntiltotheTransferDate（__________），providingallnecessaryassistanceinenablingCto obtain the loan from international primebanks；

　　4）thelegalcertificateissuedby_____________President of SupremeCourt and the legal certificate issued by______________  ProcuratorGeneral，certifyingthatthisAgreementshall be valid and enforceableunderthelawsof_____________ineveryrespectin the form defined inAnnex 8； the certificate of approval issued by the Government of_____________，certifyingthattheProjectislawfulandlegitimate；

　　5）Bshallpermittheconstructionmachinery，material and equipmentnecessary for the Project to  be  transported  into  __________via_____________bysea，and/orbyroadthrough__________asWellas by air，ensuring facilities from the __________borde
