依照中华人民共和国合同法和担保法的相关规定，甲方、乙

方和担保方经过协商，就乙方向甲方贷款事宜达成以下合同条款。

二、本合同执行期间，遇中国人民银行贷款利率调整，借款

利率按相关规定调整与执行，乙方将在营业场所对贷款利率调整状况

进行通知，不再另行书面通知甲方。

第四条借款限时及还款总期数

Article4LifeofLoanandTotalLoanRepaymentTerms

一、借款限时详见本合同第十四条第四款。

4.1LifeofloanandtotalloanrepaymenttermsarereferredtoArticle14.4.

二、本质借款发放日与本合同约定的日期不一致时，以本质

借款发放日为准计算借款限时。

4.2Intheeventthattheactualfundsreleasedateisindisagreementwiththe

datestipulatedunderthiscontract，thelifeofloanshallbecalculatedbasedon

theactualdayoffundsreleasing.

三、甲、乙双方约定甲方按期还款，确定还款总期数，详见本合同第十四条第四款。

第五条借款发放Article5ReleaseofFundsunderthe

Loan

一、乙方发放借款的前提是甲方供应了吻合乙方要求的证明资料，执行了乙方要求的申请借款和担保手续，签署了申请借款所需法律文件并经乙方审查赞成。

二、甲方授权乙方在审查赞成后，将借款直接划入甲方指定

并经乙方认可的账户（账户名称、账号详见第十四条第五款），即为乙

方履约执行了向甲方供应借款的义务。

三、本合同项下的借款发放后，甲方就所购商品或服务发生

的任何瓜葛，均与乙方没关，本合同应正常执行。

第六条借款归还Article6RepaymentoftheLoan

一、甲方应依照乙方相关贷款方法规定，在下述四种还款方式中选择一种方式归还借款本息，甲方选择的还款方式详见本合同第十四条第六款：

二、甲方应当于乙方规定的每期还款日（详见第十四条第六

款）前，将当期应归还的借款本息及逾期的罚息、复利等足额存入在

乙方开立的还款账户（账户名称及账号见第十四条第六款），其实不可以撤

销地授权乙方于当期还款日直接从该账户划收应收款项。

6.2ThePartyAshallpayofftheprincipal，interestandotheritemsinfullprior

tothestipulatedduerepaymentdayunderthiscontract

三、甲、乙双方赞成依照先还息后还本的原则，乙方依照“期

前逾期本息、罚息和复利—当期利息—本金”的序次扣划甲方还进款

项。

甲方违反本合同约定，逾期或未按约定的金额归还借款本息，乙

方有权依照人民银行的规定对逾期借款加收罚息。

甲方逾期或未按约

定的金额归还借款利息时，乙方有权按人民银行的规定对甲方未支付

的利息计收复利。

第七条提前还款Article7RepaymentinAdvance

甲方如欲提前还款，应于拟提前还款日前三十天将提前还款申请书及还款计划以书面形式提交乙方，经乙方审查赞成后即为不可以撤掉。

甲方经乙方审查确认甲方未有拖欠借款本息及已还清当期本息后方可提前还款。

提前还款日前已计收的利息不作调整。

提前还款，乙方有权按提前还款金额的%计收损失补偿金。

7.1IfPartyAisabletopayofftheloanaheadoftime，itshallsubmittoPartyBtheirrevocableloanrepaymentapplicationandrepaymentplan.Afterchecking

第八条借款担保Article8GuaranteeofLoan

本合同项下的担保条款的效力独立于本合同。

甲方对借款提

供的担保可选择以下方式，详见本合同第十四条第八款。

8.1Theeffectivenessofguaranteetermsunderthiscontractisindependentof

一、抵押担保MortgageGuarantee

（一）抵押人自觉将本合同附件一“抵押物清单”所列明的财产（以下简称抵押物）抵押给乙方，作为甲方归还本合同项下借款的担保。

（三）抵押担保范围：

all-riskfee，travelexpenseetc.）

（四）抵押人必定依照法律规定办理抵押物的登记手续。

押人向乙方供应该抵押物的全部权证明文件及相关资料，抵押登记证

明文件正本交乙方保留。

8.4Themortgagershallcompletetheregistrationofmortgagedpropertybasedonlawsandregulations.Themortgagershalltakeonthefeesforthemortgagedproperty.ThemortgagershallprovidetothePartyBtheevidencedocumentsandrelevant

materialsofownershipoftheguaranty，andtheoriginalof

MortgageRegistrationCertificateshallbekeptbyPartyB.

（五）出现以下状况之一，乙方可以执行抵押权：

8.4Party

1.甲方债务执行限时届满，乙方未受清账或未受完满清账的；

2.甲方违反本合同的约定，乙方宣告提前回收借款，乙方未受清账或未受完满清账的；

（2）Partybreachesthecontract，partyBclaimsto

takebacktheloaninadvance，andPartyBfailstobepaidoff

ornotfullypaidoff；

3.抵押人违反本合同的约定，擅自处分抵押物，或推行足以使抵押物价值减少的行为，乙方要求抵押人恢复原状也许供应担保遭拒绝，乙方可以提前执行抵押权。

（3）Themortgagerbreachesthecontractbydisposing

（六）乙方可选择以下方式之一实现抵押权：

（七）抵押人应向乙方供应抵押物的权益证书及其他有效证

明文件和相应资料，经乙方确认后，由乙方保留。

（八）甲方还清全部贷款本息及其他应付款项，并执行了本

合同的全部条款，则抵押关系停止。
