CHAPTERONEGeneralProvisions

4.AlltransformationandactivitiesofJOINTVENTUREshallbesubjecttothelaws,actsandregulationsconcernedofthePeople’sRepublicofChina.

5.JOINTVENTUREshallbealimitedliabilitycompany.PartyAandPartyBbeartheresponsibilityofJOINTVENTURErespectivelyaccordingtothequotasubscribedbyeachofthem,noneofthepartiesshallberesponsiblefortheobligationsandliabilitiesexceedinghis/hersubscriptionquota,whethertheyarejointorseveral.EachpartyshallsharethebenefitsandrisksaswelloftheJOINTVENTUREaccordingtohis/hercontributingsharetotheregisteredcapital.

Forthepurposeofimprovingeconomicco-operationandtechnologicalexchangeadoptingadvancedandpracticaltechniquesandintroducingscientificmanagementinbusiness,increasingthequalityofproducts,developingnewproducts,meetingcompetitionsuccessfullyforpriceandqualityininternationalmarketsandraisingeconomicefficiencysoastoenabletheinvestorstogainsatisfactorybenefits.

Astotheitemsmentionedabove,exceptcashandfeesofusageofland,thevaluesshallbedecidedbythepartieshereinthefollowingways:

12.TheregisteredcapitalshallbecontributedbyPartyAandPartyBrespectivelyaccordingtotheirowninvestmentsharesininstallments,eachinstallmentis.

WhereanypartyfailstosubscribeintimetoJOINTVENTUREtheprovidedquota,thebreachingpartyshallcompensate（orpaydamagesto）thenon-breachingparty（orJOINTVENTURE）inthefollowingway:

13.Anyassignmentofanypartorallofhissharestoathirdpersonbyanypartyshallbeapprovedofbytheotherpartyandratifiedbythedepartmentsconcernedinexecutionofthecontract.

CHAPTERSIXRESPONSIBILITY

14.PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

PartyA:

ApplyingtothecompetentChinesedepartment（s）fortheestablishmentofJOINTVENTURE,havingJOINTVENTUREregisteredandgettingthebusinesslicense;

Applyingtothedepartmentcontrollingthelandforthetitleoflandusage;

Beinginchargeofthedesignandconstructionofthefactorybuildingsandotherprojectsandfacilities;

SupplyingJOINTVENTUREwithcash,mechanicalequipment,factorybuildings,etc.whichareprovidedinArticle11andArticle12ofthisContract;

AssistingPartyBtogothroughthecustomsentryformalitiesofthemechanicalequipmentsuppliedbyPartyBashissharesinJOINTVENTUREandassistingPartyBwiththetransportofsuchequipmentwithintheboundariesofChina;

AssistingJOINTVENTUREtopurchaseorleaseequipment,rawandprocessedmaterials,officeandtransportationappliance,communicationfacilities,etc.withintheboundariesofChina;

AssistingJOINTVENTUREtogetwatersupply,electricity,transportservicesandothernecessitiesrequired;

AssistingJOINTVENTUREtoemploylocalChinesemanagementpersonnel,technicians,workersandotherneededpersons;

Assistingforeignemployeestogetentrancevisas,worklicensesandtravelpermits,etc;

UndertakingothermatterstrustedbyJOINTVENTURE.

PartyB:

SupplyingJOINTVENTUREwithcash,mechanicalequipment,industrialproperty,etc.providedinArticle11andArticle12hereofandshippingsuchphysicalpropertyasmechanicalequipmentdeemedasinvestmentcapitaltotheChineseport;

Purchasingmechanicalequipment,materials,etc.outsideChinaontrustofJOINTVENTURE;

Sendingtechnicalpersonnelfortheinstallationanddebuggingofneededequipmentandtrialproductionandtechniciansforproductionandproductexamination;

Trainingmanagerialandtechnicalpersonnel,workersandotheremployeesforJOINTVENTURE;

WherePartyBistransferoroftechnology,heshallassureJOINTVENTUREtoturnoutqualifiedproductsinaccordancewiththedesignedcapacitywithintheperiodhereinprovided;

AssistingtheemployeesofJOINTVENTUREorotherrelevantpersonneltobegrantedavisatothestateordistrictwheretheforeignco-operatorresides;

DoingothermattersentrustedbyJOINTVENTURE.

CHAPTERSEVENTECHNOLOGYTRANSFER

15.PartyAandPartyBagreethatJOINTVENTUREmayenterintoAgreementofAssignmentofTechnologywithPartyB（orwithathirdparty）togetthesophisticatedtechniquesinproductionindispensableforgainingthepurposesprovidedinChapterFourofthisContract,includingproductdesigns,manufacturingskills,inspectionmethods,directionsforproducingmaterials,qualitycontrol,personneltraining,etc.

16.Asforassignmentoftechnology,PartyBwarrants,guarantees,covenantsthat:

A.Thedesign,productionskills,technologicalprocess,examinationandinspectionmethods,etc.ofprovidedbyPartyBmustbecompleteandintegrated,accurate,reliable,fitfortherequirementofthebusinessofJOINTVENTUREandkeepingofthequalityofproductsandascertainingoftheproductioncapacityhereinprovided;

B.PartyBshalltransferallthetechnologytoJOINTVENTUREunderthetermsinthisContractandintheAgreementofAssignmentofTechnology,thetechnologytransferredshallbethemostadvancedofthesamecategoryinPartyB’sportfolio,thetypeandfunctionoftheequipmentshallbegoodandshallmetthedemandoftechnologicalprocessandpracticalusage;

C.AsfortechnologyandtechnicianserviceprovidedbyPartyBinallstagesaccordingtotheAgreementofAssignmentofTechnology,PartyBshallmakeoutdetailedlistsasappendicestotheAgreementtoguaranteetheenforcementoftheAgreement.

D.Diagrams,technicalconditionsandotherminuteinformationareintegralpartsofthetransferoftechnologyandshallbesuppliedduly;

E.AtalltimeduringthetermoftheAgreementofAssignmentofTechnology,PartyBshallreportandsupplyinformationtoJOINTVENTUREdulywithrespecttoanyinnovationmadebyPartyBinthetransferredtechnology,andnoextrafeeshallbechargedhereof;

F.PartyBshallensurethetechnicalpersonnelandworkersinJOINTVENTUREmastertransferredtechniqueswithintheperiodprovidedbytheAgreementofAssignmentofTechnology.

17.WherePartyBfailstoprovideequipmentortechniquesunderthetermsandconditionshereinorintheAgreementofAssignmentofTechnologyorisfoundfraudulent,PartyshallbeliableforthedirectlossesofJOINTVENTUREcausedhereby.

18.Technologytransferfeeswillbepaidbywayofdeductingapercentage（%）fromthenetsalesincomeoftheproducts.DeductingtimeshallbethesameasallottedinArticle19,theAgreementofAssignmentofTechnology,ofthisContract.

19.ThetermoftheAgreementofAssignmentofTechnologymadebetweenJOINTVENTUREandPartyBisyears.AttheexpirationoftheAgreement,JOINTVENTUREisentitledtocontinuetouseanddevelopthesaidtechnology.

CHAPTEREIGHTSALESOFPRODUCTS

20.ProductsofJOINTVENTUREwillbesoldbothinandoutofChina.ThosethataretobesoldinChinawillamountto%whilethosetobesoldoutsideofChinaaccountfor%.

21.Productswillbesoldtoforeigncountriesthroughthefollowingchannels:

ThosethatwillbesolddirectlyoutsideofChinabyJOINTVENTUREaccountfor%.

ThosethatwillbesoldbyproxyorexclusivelybytheChineseforeigntradecorporationwithwhichJOINTVENTUREwillmakeasalesagreementaccountfor%.

ThosethatJOINTVENTUREwillentrusttosellaccountfor%.

22.ProductsfordomesticmarketmaybesoldbyproxyorexclusivelybyChinesecommoditydepartmentsorcommercialdepartments,orsolddirectlybyJOINTVENTURE.

23.ApprovedbytheChinesedepartmentconcerned,JOINTVENTUREmaysetupsalesandmaintenanceandrepairserviceswithinandoutside
