CERTAININTERPRETIVEMATTERS

1.1Definitions.

InadditiontothetermsdefinedelsewhereinthisAgreement,capitalizedtermsusedinthisAgreementshallhavetherespectivemeaningssetforthbelow:

means,aPersonthatdirectlyorindirectlythroughoneormoreintermediaries,controls,oriscontrolledby,orisundercommoncontrolwith,thePersonspecified.

meansthatMutualConfidentialityAgreementbyandamongtheJointVentureCompany,Inteland***datedasoftheEffectiveDate.

FlashMemoryIntegratedCircuit"

meansanon-volatilememoryintegratedcircuitthatcontainsmemorycellsthatareelectricallyprogrammableandelectricallyerasablewherebythememorycellsconsistofoneormoretransistorsthathaveafloatinggate,charge-trappingregionsoranyotherfunctionallyequivalentstructureutilizingoneormoredifferentchargelevels（includingbinaryormulti-levelcellstructures）withorwithoutanyon-chipcontrol,I/Oandothersupportcircuitry.

ForceMajeureEvent"

meanstheoccurrenceofaneventorcircumstancebeyondthereasonablecontrolofaPartyandincludes,withoutlimitation,（a）explosions,fires,flood,earthquakes,catastrophicweatherconditions,orotherelementsofnatureoractsofGod;

（b）actsofwar（declaredorundeclared）,actsofterrorism,insurrection,riots,civildisorders,rebellionorsabotage;

（c）actsoffederal,state,localorforeigngovernmentalauthoritiesorcourts;

（d）labordisputes,lockouts,strikesorotherindustrialaction,whetherdirectorindirectandwhetherlawfulorunlawful;

（e）failuresorfluctuationsinelectricalpowerortelecommunicationsserviceorequipment;

and（f）delayscausedbytheotherPartyorthird-partynonperformance（exceptfordelayscausedbyaParty'

ssubcontractorsoragents）.

meansanygovernmentalauthorityorentity,includinganyagency,board,bureau,commission,court,department,subdivisionorinstrumentalitythereof,oranyarbitratororarbitrationpanel.

JointVentureDocuments"

meansadiscreteintegratedcircuitdevicethatcontrolsthedatainputandoutputto/fromthememoryarrayoftheNANDFlashMemoryDie.

NANDFlashMemoryDesign"

means,withrespecttoaNANDFlashMemoryDie,thecorrespondingdesigncomponents,materialsandinformationlistedonSchedule2,andallIPRightsinandtothosedesigncomponents,materialsandinformationlistedonSchedule2.Notwithstandinganythingtothecontraryintheforegoing,NANDFlashMemoryDesignshallnotincludeanyPatentRights.

NANDFlashMemoryDie"

meansadiscreteintegratedcircuitdie,whereinsuchdieincludesatleastoneNANDFlashMemoryIntegratedCircuitandsuchdieisdesigned,developed,marketedandusedprimarilyasanon-volatilememorydie.

NANDFlashMemoryDiePackage"

meansadiscreteintegratedcircuitpackageforaNANDFlashMemoryDie,includingTSOP,COB,BOC,BGAandFBGAorothertypepackage,whereinsuchpackagecontainsonlyoneormoreNANDFlashMemoryDiebutnootherdie.

NANDFlashMemoryIntegratedCircuit"

meansaFlashMemoryIntegratedCircuitwhereinthememorycellsincludedintheFlashMemoryIntegratedCircuitarearrangedingroupsofseriallyconnectedmemorycells（eachsuchgroupofseriallyconnectedmemorycellscalleda"

PermittedAffiliate"

meansanynaturalperson,corporation,jointstockcompany,limitedliabilitycompany,association,partnership,firm,jointventure,organization,individual,business,trust,estateoranyotherentityororganizationofanykindorcharacterfromanyformofassociation.

Pre-existingProductDesigns"

meanstheNANDFlashMemoryDesigns,asandtotheextentthateachelementthereofexistsontheEffectiveDate,foreachoftheNANDFlashMemoryProductslistedonSchedule1.

ProbeTesting"

meanstesting,usingawafertestprogramassetforthintheapplicableSpecifications,ofawaferthathascompletedallprocessingstepsdeemednecessarytocompletethecreationofthedesiredNANDFlashMemoryIntegratedCircuitsinthedieonsuchwafer,thepurposeofwhichtestistodeterminehowmanyandwhichofthediemeettheapplicablecriteriaforsuchdiesetforthintheSpecifications.

PubliclyAvailableSoftware"

means（a）anySoftwarethatcontains,orisderivedinanymanner（inwholeorinpart）from,anySoftwarethatisdistributedasfreeSoftware,opensourceSoftware（e.g.Linux）orsimilarlicensingordistributionmodels;

and（b）anySoftwarethatrequiresasaconditionofuse,modificationand/ordistributionofsuchSoftwarethatsuchSoftwareorotherSoftwareincorporatedinto,derivedfromordistributedwithsuchSoftware（i）bedisclosedordistributedinsourcecodeform,（ii）belicensedforthepurposeofmakingderivativeworks,or（iii）beredistributableatnocharge.PubliclyAvailableSoftwareincludesSoftwarelicensedordistributedunderanyofthefollowing:
