IdentificationofPartiesandRecitals

Thisagreementismadeandenteredintothisdayof2015,by,aorganizedandexistingunderthelawsoftheRepublicofTurkey/thePeople’sRepublicChina,andhavingitsprincipalplaceofbusinessin,（“TransmissionProvider”）and,aorganizedandexistingunderthelawsoftheRepublicofTurkey/thePeople’sRepublicChina,andhavingitsprincipalplaceofbusinessin,（“InterconnectionCustomer”）.

WHEREAS,InterconnectionCustomerdesirestoengageintheinterconnectedoperationofitsGeneratingFacilitywithTransmissionProvider’sTransmissionSystem;

WHEREAS,InterconnectionCustomerhasappliedforandbeenapprovedbyTransmissionProviderforinterconnectionpursuanttoTransmissionProvider’sgeneratingfacilityinterconnectionprocessandinaccordancewithstandardgeneratorinterconnectionprocedures;

and

WHEREAS,partiesagreethatinterconnectionoftheGeneratingFacilitywillbeexpeditedtothegreatestextentpossible.

NOW,THEREFORE,inconsiderationofandsubjecttothemutualcovenantscontainedherein,itisagreed:

Article1.Definitions

Whenusedwithinitialcapitalization,thefollowingtermsshallhavethemeaningsspecifiedorreferredtobelow.TermsusedinthisdocumentwithinitialcapitalizationthatarenotdefinedbelowshallhavethemeaningsspecifiedinthesectioninwhichtheyareusedorasspecifiedintheTransmissionProvider’sOpenAccessTransmissionTariff（OATT）,asmaybeamendedfromtimetotime.

AdditionalReviewshallmeanatechnicalevaluationbytheTransmissionProviderofaproposedinterconnectionthathasfailedtopasstheSuper-expeditedScreeningCriteria.ThereviewwilldeterminewhetherminormodificationstotheTransmissionProvider’sTransmissionSystem（e.g.,changingmeters,fuses,relaysettings）canbeperformedinordertoenabletheinterconnectiontobemadesafelyandreliably.

AdverseSystemImpactshallmeanthenegativeeffectsduetotechnicaloroperationallimitsonconductorsorequipmentbeingexceededthatmaycompromisethesafetyandreliabilityoftheelectricsystem.

AffectedSystemshallmeananelectricsystemotherthantheTransmissionProvider’sTransmissionSystemthatmaybeaffectedbytheproposedinterconnection.

Affiliateshallmean,withrespecttoacorporation,partnershiporotherentity,eachsuchothercorporation,partnershiporotherentitythatdirectlyorindirectly,throughoneormoreintermediaries,controls,iscontrolledby,orisundercommoncontrolwith,suchcorporation,partnershiporotherentity.

ApplicableLawsandRegulationsshallmeanalldulypromulgatedapplicablefederal,stateandlocallaws,regulations,rules,ordinances,codes,decrees,judgments,directives,orjudicialoradministrativeorders,permitsandotherdulyauthorizedactionsofanyGovernmentalAuthority.

BreachshallmeanthefailureofaPartytoperformorobserveanymaterialtermorconditionoftheStandardGeneratorInterconnectionAgreement.

BreachingPartyshallmeanaPartythatisinBreachoftheStandardGeneratorInterconnectionAgreement.

BusinessDayshallmeanMondaythroughFriday,excludingnationalholidays.

CalendarDayshallmeananydayincludingSaturday,Sundayoranationalholiday.

CommercialOperationDateofaunitshallmeanthedateonwhichtheInterconnectionCustomercommencescommercialoperationoftheunitattheGeneratingFacilityaftertestingofsuchunithasbeencompleted.

ConfidentialInformationshallmeananyconfidential,proprietaryortradesecretinformationofaplan,specification,pattern,procedure,design,device,list,concept,policyorcompilationrelatingtothepresentorplannedbusinessofaParty,whichisdesignatedasconfidentialbythePartysupplyingtheinformation,whetherconveyedorally,electrically,inwriting,throughinspection,orotherwise.

ControlAreashallmeananelectricalsystemorsystemsboundedbyinterconnectionmeteringandtelemetry,capableofcontrollinggenerationtomaintainitsinterchangeschedulewithotherControlAreasandcontributingtofrequencyregulationoftheinterconnection.AControlAreamustbecertifiedbyEMRA.

DefaultshallmeanthefailureofaBreachingPartytocureitsBreachinaccordancewithArticle*oftheStandardGeneratorInterconnectionAgreement.

DisputeResolutionshallmeantheprocedureforresolutionofadisputebetweenPartiesinwhichtheywillfirstattempttoresolvethedisputeonaninformalbasis.

DistributionSystemshallmeantheTransmissionProvider’sfacilitiesandequipmentusedtotransmitelectricitytoultimateusagepointssuchashomesandindustriesdirectlyfromnearbygeneratorsorfrominterchangeswithhighervoltagetransmissionnetworkswhichtransportbulkpoweroverlongerdistances.ThevoltagelevelsatwhichDistributionSystemsoperatedifferamongareas.

DistributionUpgradesshallmeantheadditions,modifications,andupgradestotheTransmissionProvider’sDistributionSystematorbeyondthePointofInterconnectiontofacilitateinterconnectionoftheGeneratingFacilityandrenderthetransmissionservicenecessarytoeffectInterconnectionCustomer’swholesalesaleofelectricityininterstatecommerce.DistributionUpgradesdonotincludeInterconnectionFacilities.

EffectiveDateshallmeanthedateonwhichtheStandardGeneratorInterconnectionAgreementbecomeseffectiveuponexecutionbythePartiessubjecttoacceptancebytheCommission,oriffiledunexecuted,uponthedatespecifiedbytheCommission.

EmergencyConditionshallmeanaconditionorsituation:

（1）thatinthejudgementofthePartymakingtheclaimisimminentlylikelytoendangerlifeorproperty,or

（2）that,inthecaseofaTransmissionProvider,isimminentlylikely（asdeterminedinanon-discriminatorymanner）tocauseama
