（iv）“Engineer”meansthepersonappointedbytheEmployertoactasEngineerforthepurposesoftheContractandnamedassuchinPartIIoftheseConditions.

（v）“Engineer”Representative”meansapersonappointedfromtimetotimebytheEngineerunderSub-Clause2.2.

（b） 

（i）“Contract”meanstheseConditions（PartsIandII）,theSpecification,theDrawings,theBillofQuantities,theTender,theLetterofAcceptance,theContractAgreement（ifcompleted）andsuchfurtherdocumentsasmaybeexpresslyincorporatedintheLetterofAcceptanceorContractAgreement（ifcompleted）.

（ii）“Specification”meansthespecificationoftheworksincludedinthecontractandanymodificationthereoforadditiontheretomadeunderClause51orsubmittedbytheContractorandapprovedbytheEngineer.

（iii）“Drawings”meansalldrawings,calculationsandtechnicalinformationofalikenatureprovidedbytheEngineertotheContractorundertheContractandalldrawings,calculations,samples,patterns,models,operationandmaintenancemanualsandothertechnicalinformationofalikenaturesubmittedbytheContractorandapprovedbytheEngineer.

（iv）“BillofQuantities”meansthepricedandcompletedbillofquantitiesformingpartoftheTender.

Addtotheclausethefollowing:

（v）“Tender”meansthecontractor’spricedoffertotheEmployerfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsofthecontract,asacceptedbytheLetterofAcceptance.

（vi）“LetterofAcceptance”meanstheformalacceptancebytheEmployeroftheTender.

（vii）“ContractAgreement”meansthecontractagreement（ifany）referredtoinSub-Clause9.1.

（viii）“AppendixtoTender”meanstheappendixcomprisedintheformofTenderannexedtotheseconditions.

（c） 

（i）“CommencementDate”meansthedateuponwhichthecontractorreceivesthenoticetocommenceissuedbytheEngineerpursuanttoClause41.

（ii）“TimeforCompletion”meansthetimeforcompletingtheexecutionofandpassingthetestsoncompletionoftheworksoranysectionorpartthereofasstatedinthecontract（orasextendedunderClause44）calculatedfromtheCommencementDate.

（d） 

（i）“TestsonCompletion”meansthetestsspecifiedinthecontractorotherwiseagreedbytheEngineerandtheContractorwhicharetobemadebytheContractorbeforetheworksoranysectionorpartthereofaretakenoverbytheEmployer.

（ii）“Taking-OverCertificate”meansacertificateissuedpursuanttoClause48.

（e） 

（i）“ContractPrice”meansthesumstatedintheLetterofAcceptanceaspayabletotheContractorfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsofthecontract.

（ii）“RetentionMoney”meanstheaggregateofallmoniesretainedbytheEmployerpursuanttoSub-Clause60.2（a）.

（f） 

（i）“Works”meansthePermanentWorksandtheTemporaryWorksoreitherofthemasappropriate.

（ii）“PermanentWorks”meansthepermanentworkstobeexecuted（includingPlant）inaccordancewiththeContract.

（iii）“TemporaryWorks”meansalltemporaryworksofeverykind（otherthanContractor’sEquipment）requiredinorabouttheexecutionandcompletionoftheWorksandremedyingofanydefectstherein.

（iv）“Plant”meansmachinery,apparatusandthelikeintendedtoformorformingpartofthePermanentWorks.

（v）“Contractor’sEquipment”meansallappliancesandthingsofwhatsoevernature（otherthanTemporaryWorks）requiredfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectstherein,butdoesnotincludePlant,materialsorotherthingsintendedtoformorformingpartofthePermanentWorks.

（vi）“Section”meansapartoftheworksspecificallyidentifiedintheContractasaSection.

（v）“Site”meanstheplacesprovidedbytheEmployerwheretheWorksaretobeexecutedandanyotherplacesasmaybespecificallydesignatedintheContractasformingpartoftheSite.

（g） 

（i）“Cost”meansallexpenditureproperlyincurredortobeincurred,whetheronorofftheSite,includingoverheadandotherchargesproperlyallocabletheretobutnotincludeanyallowanceforprofit.

（ii）“day”meanscalendarday.

（iii）"

foreigncurrency"

meansacurrencyofacountryotherthanthatinwhichtheWorksaretobelocated.

（iv）"

writing"

meansanyhand-written,type-written,orprintedcommunication,includingtelex,cablefacsimiletransmission.

TheheadingsandmarginalnotesintheseConditionsshallnotbedeemedpartthereoforbetakenintoconsiderationintheinterpretationorconstructionthereoforofthecontract.

1.3Interpretation

Wordsimportingpersonsorpartiesshallincludefirmsandcorporationsandanyorganizationhavinglegalcapacity.

1.4Singularandplural

Wordsimportingthesingularonlyalsoincludethepluralandviceversawherethecontextrequires.

WhereverintheContractprovisionismadeforthegivingofissueofanynotice,consent,approval,certificateordeterminationbyanyperson,unlessotherwisespecifiedsuchnotice,consent,approval,certificateordeterminationshallbeinwritingandthewords"

2.1Engineer'

sDutiesandAuthority

（a）TheEngineershallcarryoutthedutiesspecifiedintheContract.

（b）TheEngineermayexercisetheauthorityspecifiedinornecessarilytobeimpliedformtheContract,provided,however,thatiftheEngineerisrequired,undertermsofhisappointmentbytheEmployer,toobtainthespecificapprovaloftheEmployerbeforeexercisinganysuchauthority,particularsofsuchrequirementsshallbesetoutinPartIIoftheseConditions.ProvidedfurtherthatanyrequisiteapprovalshallbedeemedtohavebeengivenbytheEmployerforanysuchauthorityexercisedbytheEngineer.

（c）ExceptasexpresslystatedintheContract,theEngineershallhavenoauthoritytorelievetheContractorofanyofhisobligationsundertheContract.

2.2Engineer'

sRepresentative

TheEngineer'

sRepresentativeshallbeappointedbyandberesponsibletotheEngineerandshallcarryoutsuchdutiesandexercisesuchauthorityasmaybedelegatedtohimbytheEngineerunderSub-Clause2.3.

2.3Engineer'

sAuthoritytoDelegate

TheEngineermayfromtimetotimedelegatetotheEngineer'

sRepresentativeanyofthedutiesandauthoritiesvestedintheEngineerandhemayatanytimerevokesuchdelegation.AnysuchdelegationorrevocationshallbeinwritingandshallnottakeeffectuntilacopythereofhasbeendeliveredtotheEmployerandtheContractor.

AnycommunicationgivenbytheEngineer'

sRepresentativetotheContractorinaccordancewithsuchdelegationshallhavethesameeffectasthoughithadbeengivenbytheEngineer.Providedthat:

anyfailureoftheEngineer'

sRepresentativetodisapproveanywork,materialsorplantshallnotprejudicetheauthorityoftheEngineertodisapprovesuchwork,materialsorPlantandtogiveinstructionsfortherectificationthereof;

iftheContractorquestionsanycommunicationoftheEngineer'

sRepresentativehemayreferthemattertotheEngineerwhoshallconfirm,reverseorvarythecontentsofsuchcommunication.

2.4AppointmentofAssistants

TheEngineerorEngineer'

sRepresentativemayappointanynumberorpersonstoassisttheEngineer'

sRepresentativeinthecarryingoutofhisdutiesunderSub-Clause2.2.HeshallnotifytotheContractorthenames,dutiesandscopeofauthorityofsuchpersons.SuchassistantsshallhavenoauthoritytoissueanyinstructionsoftheContractorsaveinsofarassuchinstructionsmaybenecessarytoenablethemtocarryouttheirdutiesandtosecuretheiracceptanceofmaterials,plantorworkmanshipasbeinginaccordancewiththeContract,andanyinstructionsgivenbyanyofthemforthosepurposeshallbedeemedtohavebeengivenbytheEngineer'

sRepresentative.

2.5Instructionsinwriting

InstructionsgivenbytheEngineershallbeinwriting,providedthatifforanyreasontheEngineerconsidersitnecessarytogiveanysuchinstructionorally,theContractorshallcomplywithsuchinstruction.ConfirmationinwritingofsuchoralinstructiongivenbytheEngineer,whetherbeforeorafterthecarryingoutoftheinstruction,shallbedeemedtobeaninstructionwithinthemeaningofthisSub-Clause.ProvidedfurtherthatiftheContractor,within7days,confirmsinwritingtotheEngineeranyoralinstr
