(a)theproposedassigneeorsublesseeisagovernmentalagency;
(b)inLandlord’sreasonablejudgment,theuseoftheLeasedPremisesbytheproposedassigneeorsublesseewouldinvolveoccupancybyotherthanforaPermittedUse,wouldentailanyalterationswhichwouldlessenthevalueoftheleaseholdimprovementsintheLeasedPremises,orwouldrequireincreasedservicesbyLandlord;
(c)inLandlord’sreasonablejudgment,thefinancialworthoftheproposedassigneedoesnotmeetthecreditstandardsappliedbyLandlord;
(d)theproposedassigneeorsublessee(oranyofitsaffiliates)hasbeeninmaterialdefaultunderalease,hasbeeninlitigationwithapreviouslandlord,orinthetenyearspriortotheassignmentorsubleasehasfiledforbankruptcyprotection,hasbeenthesubjectofaninvoluntarybankruptcy,orhasbeenadjudgedinsolvent;
(e)Landlordhasexperiencedapreviousdefaultbyorisinlitigationwiththeproposedassigneeorsublessee;
(f)inLandlord’sreasonablejudgment,theLeasedPremises,ortherelevantpartthereof,willbeusedinamannerthatwillviolateanynegativecovenantastousecontainedinthisLease;
(g)theuseoftheLeasedPremisesbytheproposedassigneeorsublesseewillviolateanyapplicablelaw,ordinanceorregulation;
(h)theproposedassigneeorsublesseeis,asofthedateofthisLease,atenantintheBuilding;
(i)theproposedassignmentorsubleasefailstoinprovementsintheLeasedPremises,orwouldrequireincreasedservicesbyLandlord;
(i)theproposedassignmentorsubleasefailstoincludeallofthetermsandprovisionsrequiredtobeincludedthereinpursuanttothisArticle7;
(j)TenantisindefaultofanyobligationofTenantunderthisLease,orTenanthasdefaultedunderthisLeaseonthreeormoreoccasionsduringthe12monthsprecedingthedatethatTenantshallrequestconsent;
or
(k)inthecaseofasublettingoflessthantheentireLeasedPremises,ifthesublettingwouldresultinthedivisionoftheLeasedPremisesintomorethanthreesubparcelsorwouldrequireimprovementstobemadeoutsideoftheLeasedPremises.
7.2MERGER,REORGANIZATION,ORSALEOFASSETS.Anydissolution,merger,consolidationorotherreorganizationofTenant,orthesaleorothertransferintheaggregateovertheLeaseTermofacontrollingpercentageofthecapitalstockofTenant,orthesaleortransferofallorasubstantialportionoftheassetsofTenant,shallbedeemedavoluntaryassignmentofTenant’sinterestinthisLease.ThephrasecontrollingpercentagemeanstheownershipofandtherighttovotestockpossessingmorethanfiftypercentofthetotalcombinedvotingpowerofallclassesofTenant’scapitalstockissued,outstandingandentitledtovotefortheelectionofdirectors.IfTenantisapartnership,awithdrawalorchange,voluntary,involuntaryorbyoperationofLaw,ofanygeneralpartner,orthedissolutionofthepartnership,shallbedeemedavoluntaryassignmentofTenant’sinterestinthisLease.UponLandlord’srequestfromtimetotime,TenantshallpromptlyprovideLandlordwithastatementcertifiedbytheTenant’schiefoperatingofficer,whichshallprovidethefollowinginformation:
(a)thenamesofallofTenant’sshareholdersandtheirownershipinterestsatthetimethereof,providedTenant’ssharesarenotpubliclytraded;
(b)thestateinwhichTenantisincorporated;
(c)thelocationofTenant’sprincipalplaceofbusiness;
(d)informationregardingamaterialchangeinthecorporatestructureofTenant,including,withoutlimitation,amergerorconsolidation;
and(e)anyotherinformationregardingTenant’sownershipthatLandlordreasonablyrequests.Notwithstandingtheforegoing,Tenantmay,withoutLandlord’spriorwrittenconsent,sublettheLeasedPremisesorassignthisLeasetoasubsidiary,affiliate,division,corporationorjointventurecontrolling,controlledbyorundercommoncontrolwithTenant,providedthatTenantshallremainprimarilyliableundertheLease
7.3LANDLORD’SELECTION.IfTenantshalldesiretoassignitsinterestundertheLeaseortosublettheLeasedPremises,TenantmustfirstnotifyLandlord,inwriting,ofitsintenttosoassignorsublet,atleastthirty(30)daysinadvanceofthedateitintendstosoassignitsinterestinthisLeaseorsublettheLeasedPremisesbutnotsoonerthanonehundredeightydaysinadvanceofsuchdate,specifyingindetailthetermsofsuchproposedassignmentorsubletting,includingthenameoftheproposedassigneeorsublessee,thepropertyassignee’sorsublessee’sintendeduseoftheLeasedPremises,currentfinancialstatements(includingabalancesheet,incomestatementandstatementofcashflow,allpreparedinaccordancewithgenerallyacceptedaccountingprinciples)ofsuchproposedassigneeorsublessee,theformofdocumentstobeusedineffectuatingsuchassignmentorsublettingandsuchotherinformationasLandlordmayreasonablyrequest.
Landlordshallhaveaperiodoften(10)businessdaysfollowingreceiptofsuchnoticeandtherequiredinformationwithinwhichtodooneofthefollowing:
(i)consenttosuchrequestedassignmentorsublettingsubjecttoTenant’scompliancewiththeconditionssetforthinParagraph7.4below,or(ii)refusetosoconsenttosuchrequestedassignmentorsubletting,providedthatsuchconsentshallnotbeunreasonablyrefused,or(iii)terminatethisLeaseastotheportionoftheLeasedPremisesthatisthesubjectoftheproposedassignmentorsubletting.Duringsuchten(10)businessdayperiod,TenantcovenantsandagreestosupplytoLandlord,uponrequest,allnecessaryorrelevantinformationwhichLandlordmayreasonablyrequestrespectingsuchproposedassignmentorsublettingand/ortheproposedassigneeorsublessee.
7.4CONDITIONSTOLANDLORD’SCONSENT.IfLandlordelectstoconsent,orshallhavebeenorderedtosoconsentbyacourtofcompetentjurisdiction,tosuchrequestedassignmentorsubletting,suchconsentshallbeexpresslyconditionedupontheoccurrenceofeachoftheconditionsbelowsetforth,andanypurportedassignmentorsublettingmadeororderedpriortothefullandcompletesatisfactionofeachofthefollowingconditionsshallbevoidand,attheelectionofLandlord,whichelectionmaybeexercisedatanytimefollowingsuchapurportedassignmentorsublettingbutpriortothesatisfactionofeachofthestatedconditions,shallconstituteamaterialdefaultbyTenantunderthisLeaseuntilcuredbysatisfyinginfulleachsuchconditionbytheassigneeorsublessee.Theconditionsareasfollows:
(a)Landlordhavingapprovedinformandsubstancetheassignmentorsubleaseagreementandanyancillarydocuments,whichapprovalshallnotbeunreasonablywithheldbyLandlordiftherequirementsofthisArticle7areotherwisecompliedwith.
(b)Eachsuchsublesseeorassigneehavingagreed,inwritingsatisfactorytoLandlordanditscounselandforthebenefitofLandlord,toassume,tobeboundby,andtoperformtheobligationsofthisLeasetobeperformedbyTenantwhichrelatetospacebeingsubleased.
(c)TenanthavingfullyandcompletelyperformedallofitsobligationsunderthetermsofthisLeasethroughandincludingthedateofsuchassignmentorsubletting.
(d)TenanthavingreimbursedtoLandlordallreasonablecostsandreasonableattorneys’feesincurredbyLandlordinconjunctionwiththeprocessinganddocumentationofanysuchrequestedsublettingorassignment.
(e)TenanthavingdeliveredtoLandlordacompleteandfullyexecutedduplicateoriginalofsuchsubleaseagreementorassignmentagreement(asapplicable)andallrelatedagr
