七、本协议书中有关词语含义与本合同第二部份《通用条款》中分别赋予它们的定义相同。

八、承包人向发包人承诺按照合同约定进行施工、竣工并在质量保修期内承担工程质量保修责任。

6.1TheconditionandstepsforPartyapaytheprojectfundstoPartyB:

6.26.3PartyBshallsubmittoPartyaequivalentinvoicebeforePartya’seachperiodpayment,otherwise,PartyacanrefusetopayuntilthereceivingofthePartyB’sinvoice.

6.4TheinvoiceprovidedbyPartyBshouldbevalid.anyfallsinvoiceprovidedbyPartyBwhicharefoundbyrelevantoffice,thePartyBshouldnotonlyprovidethevalidinvoicetoPartya,butalsobeartheresponsiblecausedbytheinvalidinvoice.

7.Variationofdesignandvisa

7.1duringtheprocessoftheproject,anycontractlist,technologycheckinglist（notincludethevariation,addition,substitution,andreductiononthedrawingsandprojectfee）concerningaboutthisprojectshallonlyberegardedaseffectivewiththeconfirmationoftherepresentativePartyainwriting.

7.2anyvariationnoticelist,technologycheckinglist,contractlist,technologycheckinglist（includethedrawingsdesign）concerningaboutthisprojectshallonlyberegardedaseffectivewiththeconfirmationofthesealofPartya.

7.3intheeventofPartyBfailstocompletetheprojectaccordingtothedrawingtoPartyaaspenaltyforthebreach.PartyBwillalsobeartheresponsibleandthereworkingfeecausedbythecontinuedworkingregardlessofthenewdesign.

7.4PartyBshalltakefullresponsibilityforanylosscausedbydelayingformorethandaysapplyingforextensionvisefromPartyachangeddesign.

8.acceptanceandFinalauditoftheproject

8.1acceptanceoftheproject

8.1.1Thisprojectshouldmeetthenationalqualityacceptancestandardsandshouldbeacceptedatthefirstinspectionaftercompletion.TheQualityacceptancecriteriaofconstructionofnationmustberegardedastheacceptancestandardsfortheproject.PartyBshallinformPartyainwritingofallkindsofinspectionandacceptancewithidays.

8.2Finalauditoftheproject

9.2.obligationsofPartyBargeoffulfillingthecontractobligations.Theon-siterepresentativeofPartyBshallorganizetheconstructionaccordingtocontractrequirementssothattheprojectcanbecompletedaccordingtothequalityandquantityrequirementsandonatimelymanner.

9.2.2.PartyBshallobservesafety

policiesofon-sitemanagementbythestateandGuangxi,nanninggovernmentauthoritiesandshallindependentlyandfullyassumesresponsibleforthelosscausedbyviolation.

9.2.3PartyBshallobservepoliciesofon-sitemanagementbythestateandlocalgovernmentauthoritiesaswellasPartya&

srulesandregulations;

PartyBshallcompensateforthelossestoanyfacilities,equipmentorpipelinesbothinsideandoutsideoftheconstructionyardcausedbypartyB.

9.2.4.duringconstruction,PartyBshouldmakesuchadjustmenttotheconstructionplanandtheprogressscheduleperPartya&

sRepublicofchina.andbearingthesafetyfeeswhicharenotcausedbypartya.

11.Theconcerningmaterialsupply

11.1.PartyaorPartyBshouldberesponsibleforthematerial,equipments,whichshouldmeetthequalifieddesignrequestwithqualificationguaranteebooks.

11.2.anymaterial,equipmentwhichisboughtbythePartyB,ifnotagreewiththequalityrequestorspecificationcontaindifference,shouldforbidanyusage.thePartyBshouldrebuytheequipmentandbeartheresponsibilitytomakesurenodelayontheproject.ifPartyBrefusestochangethematerials,PartyahastherighttoterminatethecontractandasksforlossfromPartyB.

11.3anymaterial,equipmentwhichisboughtbythePartya,ifnotagreewiththequalityrequestorspecificationcontaindifference,shouldforbidanyusage.thePartyashouldrebuytheequipmentandbeartheresponsibilitytomakesurenodelayontheproject.

13.LiabilitiesforBreach

13.5.intheeventany

Partyshallfailtocompletetheworkintimeowingtoreasonsthatthecontractorshallbeheldliable，thePartyshallpayapenaltyforRmBoftheotherParty.
