shallmeanownershipof50%ormoreofthevotingstock,membershipinterestsorpartnershipinterestsofanentity,orthepowertodirectthemanagement,operationsandpoliciesofapersonorentity,whetherthroughownershipinterest,contractorotherwise.

shallmeanallstatutes,laws,ordinances,rules,regulations,executiveordersandrequirementsofallGovernmentalAuthoritieswhichareapplicabletothePremisesoranypartthereofortheuseormannerofusethereoforconstructionthereon（including,withoutlimitation,buildingcodesandrestrictions）,ortotheowners,Tenantsoroccupantsthereofinconnectionwithsuchownership,occupancyoruse.

shallmeanissuancetotheextentrequiredunderapplicablezoninglaw,bytheapplicableGovernmentalAuthoritiesofafinal,nonappealablezoningvariance,specialpermitsorrezoningoftheLandandtheInRemParcelstopermittheusethereofforaPermissibleUse.
