1.BACKGROUND

WeunderstandthatWhirlpoolOverseasHoldingCorporation（WOHC）isplanning

toestablishajointventure,ShenzhenWhirlpoolRayboAir-conditionerIndustrial

CompanyLimited（Raybo）,withShenzhenPetrochemicalHoldingsCompany

Limited（SPHCL）locatedinShenzhen,thePeople'

sRepublicofChina（hePRC）.

ThecapitalofRayboamountsto[]and75%and25%ofwhichwillbe

contributedbyWOHCandSPHCLrespectively.

Raybowillbeengagedintheproduction[andtrading]ofair-conditionersafterits

formationprobablyin[December1995]andwillhasabout[]employees.

Thefactorysite,equipmentandstaffpersonnelwillmainlybetransferredfromthe

existingfactoryownedbySPHCL（heFactory）.

ThefinancialreportingsystempresentlyinusebytheFactoryisnotconsistentwith

theWOHC'

srequirement.Withaviewtoimplementinganuniqueandeffective

managementandfinancialcontrolsoverRaybointhefuture,WOHCisexploring

waystoimproveandupgradethefinancialreportingsystemofRaybotoreachits

requirements.

Inthisconnection,weunderstandthatyouneedassistancefromaconsultanttoassist

inthedevelopmentandimplementationoffinancialreportingsystemforRaybo.
