(2)_________(PLACENAME)businessdayspriortoeachChangeDateforsettlementinimmediatelyavailablefundsbymajortopcreditqualitybanksinthe_________(PLACENAME)InterbankMarketadjustedforreservesbydividingthatrateby1.00minustheLIBORReserve.TheLIBORBaseRateshallberoundedtothenexthigher1/16thof1%unlesstheBorrowerhashedgedLIBORwithaninterestrateswapwiththeLenderinwhicheventLIBORshallberoundedfive(5)decimalplacesassetforthinthe1991ISDADefinitionspublishedbytheInternationalSwapandDerivativesAssociation,Inc.LIBORReserveisthemaximumpercentagereserverequirement(roundedtothenexthighest1/16thof1%)ineffectforanydaytheprincipalbalanceofthisNoteisoutstandingundertheFederalReserveBoard’sRegulationDforEuro-CurrencyLiabilitiesasdefinedtherein.Innoevent,however,shallanyadjustmentorLIBORReserveexceedtheBorrower’sproratashareofLender’stotalreserverequirementforallofitsEuro-CurrencyLiabilities.TheLIBORBaseRateisoneofseveralinterestratebasesusedbyLender,andisnotnecessarilythelowestormostfavorablerateofinterestofferedbyLender.
PAYMENTSOFPRINCIPALANDINTEREST:
Beginningon_________,_________,_________(M,D,Y),andcontinuingonthefifth(5th)dayofeachmonththereafteruntilthisNoteshallbepaidinfull,monthlypaymentsof(i)allaccruedbutunpaidinterestattheinterestrateprovidedabove,plus(ii)principalintheamountof$,_________shallbedueandpayable.On_________,_________,_________(M,D,Y),thisNoteshallbefullypaidinafinalballoonpaymentandthethenremainingprincipalbalanceshallbepaidinfull,togetherwithallinterestaccruedthereon.
TheBorroweragreestopayalatechargeequalto5%ofeachpaymentofprincipaland/orinterestwhichisnotpaidwithin10daysofthedateonwhichitisdue.AtLENDER’Soption,theinterestrateshallbecomethehighestrateallowedbythelawofthestateofLENDER’SofficeassetforthhereincommencingwithandcontinuingforsolongastheloanoranyportionthereofisinDefault(ashereinafterdefined).Further,uponBORROWER’SDefaultandwhereLENDERdeemsitnecessaryorpropertoemployanattorneytoenforcecollectionofanyunpaidbalanceortootherwiseprotectitsinterestshereunder;
thenBORROWERagreestopayLENDER’Sreasonableattorneys’fees(includingappellatecosts,ifany)andcollectioncosts.Liabilityforreasonableattorneys’feesandcostsshallexistwhetherornotanysuitorproceedingiscommenced.
Interestiscomputedonthebasisofa360dayyearfortheactualnumberofdaysintheinterestperiod(Actual/360computation)unlessindicatedbelow.
BORROWERHEREBYFURTHERWARRANTS,COVENANTS,ANDAGREES,ASFOLLOWS:
Anythingcontainedhereintothecontrarynotwithstanding,ifforanyreasontheeffectiverateofinterestonthisNoteshouldexceedthemaximumlawfulrate,theeffectiverateshallbedeemedreducedtoandshallbesuchmaximumlawfulrate,andanysumsofinterestwhichhavebeencollectedinexcessofsuchmaximumlawfulrateshallbeappliedasacreditagainsttheunpaidbalanceduehereunder.
LENDER’SActual/360or365/360computationdeterminestheannualeffectiveinterestyieldbytakingthestated(nominal)interestrateforayear’speriodandthendividingsaidrateby360todeterminethedailyperiodicratetobeappliedforeachdayintheinterestperiod.Applicationofsuchcomputationproducesanannualizedeffectiveinterestrateexceedingthatofthenominalrate.
AtLENDER’Soption,anyrepaymentsofthisNote,otherthanbyU.S.currency,willnotbecreditedtotheoutstandingloanbalanceuntilLENDERreceivescollectedfunds.
Intheeventanyprovision(s)ofthisinstrumentshallbeleftblankorincomplete,BORROWERherebyauthorizesandempowersLENDERtosupplyandcompletethenecessaryinformationasaministerialtaskconsistentwiththeunderstandingbetweentheparties.
BORROWERwarrantsthatBORROWERdoesnothaveeitherarecordorreputationforviolatingLawsoftheUnitedStatesorofanyStaterelatingtoliquor(asreferredtoin18U.S.C.A.3617,etseq.)ornarcoticsand/oranycommercialcrimes.
ThecollateralpledgedbyBORROWERtosecurethisNote(hereinafterreferredtoastheCOLLATERAL)SHALL,ATALLTIMES,BEATBORROWER’Srisk.Theloss,injurytoordestructionofCOLLATERALshallnotreleaseBORROWERfrompaymentorotherperformancehereof.BORROWERagreestoobtainandkeepinforcePhysicalDamageand/orPropertyDamageInsuranceonsaidCOLLATERALandanyotherinsurancerequiredbyLENDER.SuchinsuranceistobeinformandamountssatisfactorytoLENDER,withthesamepayabletoLENDER.AllsuchpoliciesshallprovidefortendayswrittenminimumcancellationnoticetoLENDER.BORROWERshallfurnishtoLENDERtheoriginalpoliciesorcertificateorotherevidencesatisfactorytoLENDERofcompliancewiththeforegoingprovisions.LENDERisauthorized,butnotobligated,topurchaseanyorallofsaidinsuranceorsingleinterestinsuranceprotectingonlyitssecurityinterest,allatBORROWER’Sexpense.Insuchevent,BORROWERagreestoreimburseLENDERforthecostofsuchinsurancetotheextentthatthesameisnotincludedintheprincipalamountsofthisNote.
BORROWERherebyassignstoLENDERtheproceedsofallsuchinsurancetotheextentoftheunpaidbalancehereunder,anddirectsanyinsurertomakepaymentsdirectlytoLENDER.BORROWERfurtherherebygrantstoLENDERitsPowerofAttorney,whichshallbeirrevocableforsolongasanyamountisunpaidhereunder.SaidPowerofAttorneygivesLENDERthesolerighttofileProofofLossand/oranyotherformsrequiredtocollectfromanyinsureranyamountduefromanyloss,damageordestructionoftheCOLLATERAL;
toagreetoandbindBORROWERastotheamountofsaidrecovery;
todesignatePayee(s)ofsuchrecovery;
tograntreleasestopayor-insurersfortheirliability;
tograntsubrogationrightstoanysuchpayor-insurer,toindorseanysettlementcheckordraft.BORROWERfurtheragreesnottoexerciseanyoftheforegoingpowersgrantedtoLENDER,withouttheLENDER’Swrittenconsent.Intheeventofanydefaulthereunder,LENDERisauthorizedinitssolediscretiontocancelanyinsuranceandcreditanypremiumrefundagainsttheunpaidbalancedueonBORROWER’SOBLIGATIONS.
If,withrespecttoanysecuritypledgedhereunder,astockdividendisdeclaredoranystocksplit-upmadeorrighttosubscribeisissued,allcertificatesforthesharesrepresentingsuchstockdividendorstocksplit-uprighttosubscribewillbeimmediatelydelivered,dulyindorsedtotheLENDERasadditionalCOLLATERALsecurity.
If,atanytime,theCOLLATERALshallbedeemedunsatisfactorytoandbyLENDER,orintheeventLENDERshallotherwisedeemitself,itssecurityinterests,itsCOLLATERALorsaiddebtunsafeorinsecure,thenandondemandofLENDER,BORROWERshallimmediatelyfurnishsuchfurtherCOLLATERALormakesuchpaymentonsaidaccountaswillbesatisfactorytoLENDERtobeheldbysaidLENDERasiforiginallypledgedhereunder.
Atitsoption,LENDERmaydischargetaxes,liens,securityinterestsorotherencumbrancesatanytimeleviedorplacedonsaidCOLLATERAL,maypayforinsuranceandforthemaintenanceandpreservationofsame.BORROWERagreestoreimburseLENDER,ondemand,foranysuchpaymentmade,oranysuchexpenseincurredbyLENDERpursuanttotheforegoingauthorization.UntilDefault,ashereinafterdefined,BORROWERshallhavetherighttoretainpossessionoftheCOLLATERAL,unlessotherwiseagreedbythepartieshereto,andtouseinanylawfulmannernotinconsistentwiththisNoteandtheLOANAGREEMENTandwithanypolicyofinsurancethereon.BORROWERshallbeliableforalldocumentaryandintangible
