madeon1stDayofDecember,2010byandbetween,A,acorporationdulyorganizedandexistingunderthelawsofTheGovernmentofB,withofficeatC(hereinaftercalled“Buyer”),andDacorporationdulyorganizedandexistingunderthelawsofTheGovernmentof_E,havingitsplaceofbusinessatG(hereinaftercalled“Seller”)
WITNESSETH
WHEREAS,Buyerdesirestopurchase,andSelleriswillingtoselltoBuyer,theproductsorserviceswhicharesetforthinArticle2hereof(hereinaftercalledthe“Products”)uponthetermsandconditionswhicharehereinaftersetforth.
NOWTHEREFORE,inconsiderationofthepremisesandthemutualcovenantshereincontained,thepartiesheretoherebyagreeasfollows;
ARTICLE1.DEFINITIONS
InthisAgreement,unlessthecontextotherwiserequires:
1.1.“IncomingInspection”shallmeanthetestsetoutinthePurchaseOrderorotherrelateddocumentattachedheretotoestablishwhethertheProductsmeetthetestcriteria
pertainingtothemintherelevantPurchaseOrder.
1.2.“ConfidentialInformation”shallmeananyandallinformationowned,created,orpossessed
bythedisclosingpartythatthedisclosingpartydesirestoprotectasconfidentialagainstunrestricteddisclosureorimpropercompetitiveuse,including,butnotlimitedto,discoveries,ideas,concepts,know-how,techniques,designs,specifications,drawings,blueprints,tracings,diagrams,models,samples,flowcharts,data,computerprogramsanddocumentation,disks,diskettes,tapes,marketingplans,customernames,lists,orproposals,patentapplications,businessinformation,strategicanddevelopmentplans,employeelists,businessmanuals,technicalorfinancialinformation,orsketches,whetherconveyedascommunicationsordatainoral,written,graphic,orelectromagneticformorotherwise,andallotherinformationwhichmaybedisclosedbythedisclosingpartyortowhichthereceivingpartymaybeprovidedaccessbythedisclosingpartyorothersinaccordancewiththisAgreement,whichisnotgenerallyavailabletothepublicandallConfidentialInformationshallbeclearlyidentifiedasconfidential.
1.3.“Delivery”shallmeandeliveryoftheProductinthePurchaseOrder.
1.4.“Defect”shallmeanany(i)reproducibledefectsinanyProductswhichcauseitnottofunctioninconformancewiththeSpecifications,and(ii)SoftwaremiscodingwhichresultsintheSoftwarefailingtofunctioninconformancewiththeSpecifications,ifsuchfailureisreproducible.
1.5.“Product”shallmeanthetangibleproductsspecifiedinthePurchaseOrder.
1.6.“PurchaseOrder”shallmeanBuyer’sdocumentsettingouttheProducts,PriceandanyfurtherdetailconcerningdeliverytoBuyer.
1.7.“QualityProblem”shallmeananynegligenceofSellerthatcausesthedefectintheProducts,thelinestoppageinBuyer’smanufacturingprocess,claimsfromBuyer’sendcustomers.
1.8.“Service”shallmeantheworkthatSellerperformsforBuyerasdescribedinthePurchaseOrder.
1.9."
Specifications"
shallmeantheengineering,operationaland/orfunctionaldescriptions,detailsandrequirementsfortheProduct,assetforthinthePurchaseOrderasthesamemaybemodifiedasprovidedherein.
ARTICLE2.PRODUCTS
2.1.Sellershallprovidetheproductorservice(“Product”)toBuyerasspecifiedintherelevantPurchaseOrderassetforthinAppendixA.attachedheretoandmadeaparthereof.
2.2.Priortothestartofactualtransaction,BuyerandSelleragreetodiscussandreachanagreementonthenameoftheProducts,partsnumber,specifications,unitprice,deliveryleadtime,orderplanning,minimumorderquantity,minimumdeliveryquantity,placeofdelivery,etc.inaccordancewiththePurchaseOrder.
2.3.ThetermsandconditionsofthePurchaseOrdershallcontroltotheextentofanyconflictbetweenthetermsandconditionshereinandthoseinthePurchaseOrder.
ARTICLE3.QUALITYASSURANCE
3.1.EngineeringorProcessChanges
3.1.1.Sellershallnotchangeitsproductionconditionsduringthefirstsix(6)monthsafterissuanceofthePurchaseOrder.
Ifthereisaspecialreasonforchanging,SellershallindicatetoandobtainapprovalfromBuyerregardingthemajorchangewhichmayincludeallprocesschanges,sourcingchanges,designchanges,componentsteppingchanges,geographicalrelocationofmanufacturingsite,drawingchangesorprocessstepdiscontinuancethataffecttheagreedspecifications,themechanicalformorfit,thepackaging,theenvironmentalcompatibility,thelife,thereliabilityorthequalityofProducts.
3.1.2.WhenSellerhasmadeanychangeswithoutpriorapprovalfromBuyeranditcausesanyfailureinBuyer’sproductionormarketingprocess,Buyershallbeentitledtoclaimreimbursement,replacementorscreeningtoSeller.Thespecificamountofcompensationshallbedeterminedbymutualnegotiationbetween
