Outsidedirectorsaresupposedtoserveashelpful,yetlessbiased,advisersonafirm’sboard.Havingmadetheirwealthandtheirreputationselsewhere,theypresumablyhaveenoughindependencetodisagreewiththechiefexecutive’sproposals.Ifthesky,andthesharepriceisfalling,outsidedirectorsshouldbeabletogiveadvicebasedonhavingweatheredtheirowncrises.

TheresearchersfromOhioUniversityusedadatabasehatcoveredmorethan10,000firmsandmorethan64,000differentdirectorsbetween1989and2004.Thentheysimplycheckedwhichdirectorsstayedfromoneproxystatementtothenext.Themostlikelyreasonfordepartingaboardwasage,sotheresearchersconcentratedonthose“surprise”disappearancesbydirectorsundertheageof70.Theyfountthatafterasurprisedeparture,theprobabilitythat
