OfChina.Ifothercoverageoranadditionalinsuranceamountisrequired,thebuyersmusthaveconsentofthesellersbeforeshipment,andtheadditionalpremiumisbebornebythebuyers.
(10)CommodityInspection:
ItisagreedthattheCertificateofQualityandWeightissuedbytheStateGeneralAdministrationforQualitySupervisionandInspectionandQuarantineofP.R.Chinaattheportofshipmentshallbetakenasthebasisofdelivery.ThebuyersshallhavetherighttoreinspectthequalityandweightofthecargowiththereinspectionfeebornebytheBuyersthemselves.Ifthequalityorweightbefoundnotinconformitywiththatofthecontract,theBuyersareentitledtolodgeaclaimwiththesurveyreportsissuedbyarecognizedsurveyorapprovedbytheSellers.theclaim,ifany,shallbelodgedwithin60daysafterarrivalofthecargoattheportorplaceofdestination.
(11)DiscrepancyandClaim:
AnyclaimbytheBuyersonthegoodsshippedshallbefiledwithin30daysafterthearrivalofthegoodsattheportofdestinationandsupportedbyasurveyreportissuedbyasurveyorapprovedbytheSellers.ClaimsinrespecttomatterswithintheresponsibilityoftheinsurancecompanyoroftheshippingcompanywillnotbeconsideredorentertainedbytheSellers.
(12)ForceMajor:
IfshipmentofthecontractedgodsispreventedordelayedinwholeorinpartduetoForceMajor,theSellersshallnotbeliablefornon-shipmentorlateshipmentofthegoodsunderthiscontract.However,theSellersshallnotifytheBuyersbyfaxorE-mailandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythechinaCouncilforthePromotionofInternationalTradeattestingsucheventorevents.BeyondthetimeofthedeliveryspecifiedinthiscontractasForceMajeureexcepted,theSellershallindemnifythefor0.1%oftheCIFvalueofthegoodsforeachcalendardayofdeliverydelay,butthetotalamountofpenaltyshallnotexceed15%ofthetotalcontract.
(13)Arbitration:
AlldisputesarisingoutoftheperformanceorrelatingtothisContractshallbesettledamicablythroughnegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade,forarbitrationinaccordancewithitsProvisionalRulesofProcedure.Theawardofthearbitrationisfinalandbindinguponparties.
