4Grantandreservations

4.1ThePrincipalgrantstotheDistributortheRights

4.2ThePrincipalagreesnottoappointanyotherpersontoactasitsdistributoroftheProductsintheTerritoryduringtheTerm

4.3WithoutprejudicetotheremainingprovisionsofthisAgreementthePrincipalreservestherighttovarythePriceoftheProductssubjectcurrentmarketpricesatthetimeofreceivinganorderfromtheDistributor

5Principal'

ThePrincipalagreeswiththeDistributorthroughouttheTerm:

5.1Soleandexclusivedistributor

NeitheritselfnorthroughanyagentorotherdistributorlawfullyactingforitdirectlyorindirectlytoinfringetheRights

5.2Supportandinformation

TosupporttheDistributorinitseffortstopromotetheBusinessandsalesoftheProductsandinparticularatitsownexpense

5.2.1tosupplytrialsamplesoftheProductsuponrequestfromtheDistributor

5.2.2toprovideandpromptlyupdateinformationabouttheProducts

5.3Indemnity

ToindemnifyandkeepindemnifiedtheDistributorfromandagainstanyandalllossdamageorliabilitywhethercriminalorcivilsufferedandlegalfeesandcostsincurredbytheDistributorinthecourseofconductingtheBusinessandresultingfrom:

5.3.1anyact,neglectordefaultofthePrincipal,thePrincipal’sagentortheiragents,employees,licenseesorcustomers

5.3.2anysuccessfulclaimbyanythirdpartyalleginglibelorslanderinrespectofanymatterarisingfromthesupplyoftheProductsortheconductoftheBusinessintheTerritoryprovidedthatsuchliabilityhasnotbeenincurredbytheDistributorthroughanydefaultincarryingoutthetermsofthisAgreement

5.4DeliveryofProducts

SubjecttoavailabilitytosupplytotheDistributororthecustomersoftheDistributorintheTerritorytheProductsinaccordancewithordersreceivedfromtheDistributorwhich:

5.4.1complyinallrespectswithrelevantgovernmentalorotherregulationsintheTerritory

5.4.2areofmerchantablequality

5.4.3conformtosampleandspecificationlimits

5.4.4areatpricesnotifiedtotheDistributorbythePrincipalonacasetocasebasis

5.4.5aredeliveredwithallreasonabledispatchasprovidedinthespecificsalescontract

5.5ExtensionofTerm

ToextendtheTermforonefurtherperiodoftwoyearswithoutbreakincontinuityprovidedthattheDistributor:

5.5.1hasproperlyobservedandperformeditsobligationsunderthisAgreementthroughouttheTerm

5.5.2servesanoticeonthePrincipalrequiringsuchextensionnotlaterthan30daysbeforetheExpiryDate

5.5.3acceptsthatthetermsofthisAgreementshallapplytoanyextensionoftheTermunderthisclause

5.6ExtensionofTerritory

5.6.1TogivetotheDistributornotlessthan60days'

writtenpriornoticeofthePrincipal'

sintentiontoappointanypersonotherthantheDistributorandofthetermsofsuchappointment:

5.6.1.1toselltheProductsorgoodssimilartotheProducts

5.6.1.2inanyplacesadjoiningtheperimeteroftheTerritory

5.6.2SuchnoticemaybetreatedbytheDistributorasanofferofanequivalentappointmentandbeforeitsexpirytheDistributormaygivewrittennoticetothePrincipalthatitwilltakeupsuchappointmentonsuchterms

5.6.3Nottooffertoanyotherpersontermsmorefavourablethanthosecontainedinthenoticewithin90daysoftheexpiryofthenotice

5.7ExtensionofProducts

ToaddtotheProductsthegoodsregularlyproducedbythePrincipaland/ortradedbythePrincipal’sagentprovidedthattheDistributor:

5.7.1hasproperlyobservedandperformeditsobligationsunderthisAgreementsofar

5.7.2hasachievedtheMinimumAnnualPerformancesofar

5.7.3executesanannextothisAgreementinrespectoftheaddition

5.8Noassignment

NottoassignthebenefitofthisAgreementwithoutthe
