ThefollowingarticleshavebeendiscussedandagreeduponbetweenPartyA（standsfor…）andPartyB（standsforUniversityofAlberta）:

ThescopeofsupplyforthisContractisPartyBhelpsPartyAtobuildapackerrubberforstagedfracturingtool（requiredtechnicalspecificationisattachedinthetechnicalindex）.PartyAentrustsPartyBtoresearchanddeveloptechniqueproposalofapackerrubberforstagedfracturingtool.Thefollowingarticlesarereachedandabidedbythebothparties.

Article1:

Definitions

1.1Techniqueproposalofapackerrubberforstagedfracturingtool（hereinafterreferredtoas“theSolution”）shallmeanalltherequiredtechniquestoconstructthegeneralideawhichwillcommittheattachedtechnicalindexrequirementsinattachment.TheSolutionshallincludealltechnicaldetailsofalldesigningschemesandexperimentalverificationforkeyparameters.

shallmeanallthenecessarydocumentstodesigntheSolutionandalltheverificationdocumentsthatPartyBwilluseindesigningtheSolution.

D”shallmeanresearchanddevelopment.

Contents&

ScopesofContract

2.1TherequirementsoftheContractSolution

2.1.1TechnicalContent:

（a）Designtechnicalproposal;

（b）Keyfeaturesverification;

（c）Detailedtechnicalrequirementsseetechnicalindexattachment.

2.2Theobligationsofbothparties

2.2.1PartyBshallsubmittheR&

DplantoPartyAwithintwomonthsafterthisContractcomesintoeffect.

2.2.2Withtheconfirmationofthebothparties,withinthevalidityoftheContract,PartyAshalldesignateMr.…asPartyA’sprojectcontactperson.PartyBshallappointMr.…asPartyB’sprojectcontactperson.Ifanychangesofthecontactpersonoccur,onepartyshallinformtheotherpartybasedonwrittenmaterialsinduetime.Ifonepartyfailstopromptlyinformtheotherparty,itshallbeheldresponsibleforanyinfluenceordamagecausedbytheuntimelynotificationduringtheperformanceoftheContract.

2.3Delivery

PartyBshalldelivertheContractSolutiontoPartyAbeforeNovember1st2012,whichshallbeinaccordancewiththecontentsasspecifiedinthetechnicalindexofInternalOrderNo:

UAlberta-2012-11oftheattachmentoftheContract.

2.4Assessment&

Acceptance

Confirmedbythebothparties,PartyAshalladoptthesignedstandardsandmethodstoexamineandaccepttheContractSolutionbyPartyB.

2.4.1ToensurethattheContractSolutionsuppliedbyPartyBiscorrect,reliableandadvanced，PartyAandBshalljointlyperformtheassessmentandacceptanceofthetechnicalSolutionandcoreparametersinaccordancewiththeprovisionsofitems2.1-2.3oftheContractandtechniqueattachment.IfthetechnicalSolutionarequalified,bothpartiesshalljointlysignacertificateofacceptanceintwocopies,oneforeachparty.

2.4.2IftheSolutionisnotabletomeettherequirementsoftheContract,bothpartiesshallholdfriendlydiscussionstoanalyzethereasonsandtakemeasurestocorrectanydefectandprepareforthesecondassessmentandacceptanceoftheContractSolution,andthesecondassessmentshallbedeliveredtoPartyAafter120daysofthedateofDelivery.IftheSolutionarestillnotqualifiedafterthesecondassessmentandacceptanceandtheresponsibilityliesinPartyB,PartyBshallberesponsibleforallthelossesthuscaused,PartyAshallhavetherighttoterminatetheContractandraiseaclaimagainstPartyBaccordingtoArticle6；

IftheresponsibilityliesinPartyA,bothpartiesshallmutuallydiscussthefurth
