TheSellerobtainedbythemeansofgrantthelanduserightofthelandparcelC.G.Y.[2001]Z.No.1131locatedwithintheplanningredlineofGroups7,8and9ofBaihuaVillage,QingyangDistrict.The[LandUseRightGrantContractNo.][LandUseRightAllocationApprovalNo.][AllocatedLandUseRightTransferApprovalNo.]isC.G.T.[1994]C.R.H.T.No.104.
Thegrantedlandparcelcoversanareaof29,314.88squaremetersandisplannedtobeusedforresidence.ThelanduserightisvalidfromSeptember2,2001toSeptember2,2064.
TheSeller,withdulyobtainedapproval,constructedonthelandparcelacommoditybuildingknownas[presentname][×temporaryname]SpringGardenYinxinglin.TheplanningpermitforconstructionworksNo.isC.G.J.Z.[2002]No.1111anditsconstructionpermitNo.is510100************01.

ThecommodityhousepurchasedbytheBuyer(the“CommodityHouse”,thefloorplanandthenumberofwhicharesetoutinSchedule1hereto)is:

Article4PricingMethodandPurchasePrice
ThepurchasepriceoftheCommodityHouseiscalculated,asagreedbytheSellerandtheBuyer,inthesecondofthemannerslistedbelow:
(1)onthebasisofthegrossfloorarea.TheunitpriceofthisCommodityHouseis×persquaremeteranditstotalpriceis×Only.
(2)onthebasisofthesaleablearea.TheunitpriceofthisCommodityHouseisRMB4,894persquaremeteranditstotalpriceisRMBOneMillionTwoHundredandSeventeenThousandNineHundredandSeventyOnly.
(3)byset(unit).ThetotalpriceoftheCommodityHouseis×Only.

Article5AreaConfirmationandSettlementofAreaDiscrepancy
Byvirtueofthepricingmethodagreedbybothparties,itisprovidedinthisclausethattheareashallbeconfirmedandtheareadiscrepancyshallbesettledbasedonthe[×grossfloorarea][saleablearea](the“Area”).
Thisclauseisnotapplicableifbothpartieschoosetocalculatethepricebyset.
IfanydiscrepancyarisesbetweentheAreaagreedinthisContractandthatregisteredinthetitledeed,thelattershallprevail.
IfthereisanydiscrepancybetweentheAreaasagreedinthisContractandthatregisteredinthetitledeedfollowingthedeliveryoftheCommodityHouse,bothpartiesagreetosettlethediscrepancyinthesecondmanner:
(1)bothpartiesagreethat:

(2)bothpartiesagreetosettlethediscrepancybythefollowingprinciples:
a.iftheratiooftheabsolutedifferenceislowerthan3%(inclusive),thehousepriceshallbecalculatedbasedontheactualarea;and
b.iftheratiooftheabsolutedifferenceexceeds3%,theBuyershallhavetherighttorefund.
IncasethattheBuyerrequiresrefund,theSellershallreturntheactuallypaidamounttotheBuyerwithinthirty(30)daysfollowingthedateofapplicationforrefundbytheBuyer,andshallalsopayinterestattheinterestratepublishedbythePeople'sBankofChinaandapplicabletothedemanddepositinthesameperiod.
IncasethattheBuyerdoesnotrequirerefund,andifthearearegisteredinthedeedislargerthanthatagreedinthisContract,theBuyershallpayupforthedifferenceifthedifferenceratioisbelow3%(inclusive);ifthedifferenceratioexceeds3%,theSellershallpayforthedifferencefortheportionexceeding3%,whilethetitletotheCommodityHouseshallbelongtotheBuyer.IfthearearegisteredinthedeedissmallerthanthatagreedinthisContract,theSellershallreturnthedifferencetotheBuyeriftheabsolutedifferenceratioisbelow3%(inclusive);iftheabsolutedifferenceratioexceeds3%,theSellershallpaytotheBuyertwiceasmuchasthedifferencefortheportionexceeding3%.

Iftheareadifferenceisresultedfromchangesofthedesignandbothpartieschoosenottoterminatethecontract,asupplementaryagreementshallbeexecuted.
Article6PaymentMethodandTerm
TheBuyershallmakepaymentasscheduledinthethirdmethod:
(1)lump-sumpayment

Article7Buyer’sLiabilityforOverduePayment
IftheBuyerfailstopaythepurchasepricewithinthespecifiedtimelimit,bothpartiesagreetoresorttothefirstmethod:
(1)Differentwaysofsettlementapplydependingonthenumberofdaysoverdue(noaccumulation)
a.ifthenumberofdaysoverdueissmallerthanthirty(30),theBuyershallpayliquidateddamagesequivalentto0.021%oftheamountoverduetotheSelleronadailybasisfromthedayfollowingtheduedateasprovidedinthisContracttothedatewhentheamountoverdueisactuallypaidinfullbytheBuyer,andtheperformanceofthisContractshallcontinue;
b.ifthenumberofdaysoverdueisgreaterthanthirty(30),theSellershallhavetherighttoterminatethisContract.IncaseoftheSeller’sterminationofthisContract,theBuyershallpayliquidateddamagesequivalentto10%oftheaccumulatedamountoverduetotheSeller.IftheSelleragreestocontinuetheperformanceofthisContract,thisContractmaybefurtherperformeduponconsentoftheSellerandtheBuyershallpayliquidateddamagesequivalentto0.021%(nolessthantheratiostipulatedinArticle7
(1)(a))oftheamountoverduetotheSelleronadailybasisfromthedayfollowingtheduedateforpaymentasprovidedinthisContracttothedatewhentheamountoverdueisactuallypaidinfullbytheBuyer.
TheamountoverduehereinreferstothedifferencebetweentheduepaymentasagreedinArticle6hereofandtheamountthatisactuallypaidinthatinstallment.Ifthepaymentismadebyinstallments,theamountoverduehereinshallrefertothedifferencebetweentheamountdueforaninstallmentandtheamountthatisactuallypaidinthatinstallment.

Article8DeadlineofDelivery
TheSellershall,inaccordancewithrelevantprovisionsofthecentralgovernmentandthelocalpeople’sgovernment,delivertheCommodityHousewhichmeetsthefifthconditionbelowandisconsistentwithrelevantprovisionsofthisContracttotheBuyerpriortoJuly30,2003:
(1)theCommodityHousehaspassedtheacceptancecheck;
(2)theCommodityHousehaspassedtheintegratedacceptancecheck;
(3)theCommodityHousehaspassedthephasedintegratedacceptancecheck;
(4)theCommodityHousehasbeenapprovedfordeliveryanduse;or
(5)theCommodityHousehaspassedthequalityinspectionandacceptancecheck(therelevantacceptanceformalitiesarecompletedwithin120days)andaphotocopyofrelevantcertificationverifiedtobeidenticalwiththeoriginalhasbeendeliveredtotheBuyer.
