COMPUTERSOFTWARELICENSINGAGREEMENT

　　WholeDoc.

　　Thiscontractmadeasofthis___________day，byandbetween___________，aChineseenterpriselegalpersondulyorganizedandregisteredunder thelawsofthePeople’sRepublicofChinaonbehalfof__________，a Chineseentitydulyorganizedand registered under the laws of the People’sRepublic of China （both of the foregoing parties are  hereinaftercollectivelyreferredtoas“Buyer”） and ______________， a corporationorganizedandexistingunderthelawsof___________（“Seller”）asfollows：

　　1.Theagreementbetweentheparties（“Contract”）consistsofthe termsandconditionssetforthhereinandthefollowing schedules incorporatedbyreference：

　　AnnexA  SystemComponents

　　AnnexB  DeliveryandInstallationTimetable

　　AnnexC  PriceandPaymentTerms

　　AnnexD  ProductDescriptionandSpecifications

　　AnnexE  Seller‘sSoftwareLicenseAgreement

　　AnnexF  End-userSoftwaresublicenseAgreement

　　2.Definitions

　　The following terms shall have the following meanings in thisContract：

　　（a）Commercial___________system.（sketch）

　　（b）Consumer_____________system.（sketch）

　　（c）ControlComputer：

　　3.ProvisionofTheSystem

　　Sellershall provide the System in accordance with the ProductDescriptionandSpecifications（AnnexD） and Delivery and InstallationTimetable（AnnexB）incorporatedhereinandBuyershallpayfortheSysteminaccordancewiththePriceand Payment Terms （Annex C） incorporatedherein.Inaddition，Sellerwillprovidethe_________SystemtotheBuyerinaccordancewithAnnexC.Fortheavoidanceofdoubt，theterm “System”asusedinthisContractshallsolelyrefer to the Seller’s __________system.

　　4.Payment

　　（a）Infullconsiderationforprovidingthe System and all relateditemstobeprovidedunderthisContract，Buyershallpay to Seller theamountsetforthinAnnexCasthepurchasepricefortheSystem.

　　（b）PaymentsshallbemadeinaccordancewithAnnexC.

　　5.DeliveryandInstallation

　　（a）Deliveryofthe System will be made in accordance with thedeliveryschedulesetforthinAnnexB.Shippingchargesarespecified inAnnexC.Buyershallhavetheright to specify the carrier and shallinstructSeller of its choice in writing. In the absence of suchinstructions，Sellerwillselectthecarrier，butshallnottherebyassumeanyliabilityinconnection with shipment， nor shall the carrier beconsideredtheagentofSeller.Unlessrequestedby Buyer， Seller shallhavenoobligationtoobtaininsuranceforBuyerorassisttheBuyer withanyshippingclaims.

　　（b）TheSellershall，immediatelyuponthecompletionof the loadingofthegoods，advisetheBuyerbycable/telexoftheloadingofthegoods，thecontractnumber，commodity，quantity，invoicedvalueandgrossweight.

　　（c）Selleror its designated service provider shall install the_________SystematBuyer’sdesignatedfacilityinthe People’s RepublicofChina.InstallationchargesarespecifiedinAnnexC. Buyer shall beresponsiblefortimelycompletion，in accordance with the InstallationTimetableherein（AnnexB），of any necessary on-site preparations andmodificationsofBuyer’sfacilitiesbasedonthespecificationsset forthintheSitePreparationGuidelinespreviously provided to Buyer. Buyershallprovideadditionaltestequipmentandresources（including but notlimitedtofloorspace， power outlets， interconnecting cables， racks，satellitefacilitiesandthelike），ifneeded，inaccordancewiththeSitePreparationguidelines.Buyershallhavetheresponsibilityforand shallpayforallsuchfacilities，preparations，equipment，resources， licensesandpermitsrequiredthereof.

　　6.CompliancewithExportControlLawsoftheSeller’sCountry

　　（a）Selleragreestoapplyfor all _____________ Government exportlicenses， permits and approvals required for the exportation  from___________toChinaoftheproductsandtechnology to be purchased byBuyerfromSeller.Intheeventthat， despite Seller’s best efforts，Sellerisunabletoobtainanyand all license， permits and approvalsneededtolawfullyexportsuchproductsandtechnologyfrom__________ toChina，thisContractisimmediatelyterminated，theSellerand Buyer areexcusedfromperformance，andeachPartyagreestohold the other Partyharmless.

　　（b）Buyerhereby undertakes to comply with the export laws andregulationsof__________andagreesthat，withoutobtainingthenecessarylicenseofapprovalfromtheGovernment， Buyer will not knowingly （i）

　　export，directlyorindirectly，any origin technical data or softwareacquiredfromSeller，oranydirectproductofthattechnicaldata，toanycountryforwhichtheGovernmentoranyagency thereof at the time ofexportrequiresanexportlicenseorothergovernmentalapproval；or （ii）

　　discloseanyorigintechnicaldataorsoftwareacquiredfromSellertoanynationalofanycountryforwhichtheGovernment or any agency thereofrequiresanexportlicenseorothergovernmentalapproval.

　　（c）Within__________monthsof the signing of this contract， theSeller agrees to inform the Buyer of the status of the Seller’sapplicationfortheGovernment export licenses， permits and approvalsrequiredfortheexportationfrom__________toChinaofthe products andtechnologytobepurchasedbyBuyerfromSeller.

　　7.TitleandRiskofLoss

　　TheitemspurchasedbytheBuyershallbedelivered C.I.F. _________inaccordancewithINCOTERMS1990.Therefore，therisk of loss for theitemspurchasedbytheBuyershallbebornebytheSelleruntilthe itemsaredeliveredtotheexportcarrier.AfterdeliveryoftheitemspurchasedbytheBuyertotheexportcarrier，thetitleandrisk of loss for theitemspurchasedbytheBuyershallpasstotheBuyer.

　　8.AcceptanceTestsandAcceptance

　　（a）Acceptancetestingofthe System shall be in accordance withSeller’sAcceptanceTest Procedure. Seller or its designated serviceprovidershallconducttheacceptancetestsinaccordancewith said TestProcedure.Ifanysuchtestis not Successfully Completed （as definedbelow），Selleroritsdesignatedserviceprovidershallevaluatethe testandmakeanyadjustmentsorcorrectionsoftheSystemas will result inperformanceoftheSysteminaccordance with the Specifications. Buyershallbegivenreasonablepriornoticeofthe commencement of， and thereasonableopportunitytoobserve，allsuchtests.

　　（b）Theterm“SuccessfulCompletion”，whenusedinthisContract withrespecttoanytest，meanssuccessfulcompletionofsuchtest as definedintheparticulartestprocedureandallreferences to test denote thetestsinSeller’sAcceptanceTestProcedure.

　　（c）AcceptanceoftheSystem（“Acceptance”）forpurposes of Annex Cshallbedeemed to have occurred when all tests set forth in theAcceptanceTestProcedureforthesystemat Buyer’s facility have beenSuccessfullycompleted.

　　（d）Sellerrepresentsandwarrantsthatitwill deliver to Buyer acomplete，correctandvalidsystem，capableofaccomplishingthetechnicaltargets specified in Product  Description  and  Specifications，  asdemonstratedbySuccessfulCompletionofthe Acceptance testing of theSystem.SuccessfulCompletionshallbedeemedasconclusiveproofthattheSystemiscomplete，correctandvalid，andcapable of accomplishing thetechnicaltargetssetforthintheSpecifications.

　　9.ShipmentinPlaceandQualifiedAcceptance

　　（a）IntheeventthattheSystemorany part thereof is ready forshipmentorinstallationinaccordancewiththedatessetforthinAnnexBandsuchshipmentorinstallationisdelayedmorethan_________ calendardayspursuanttoBuyer’srequestorbecauseBuyerisunabletoprovidethenecessary facilities， test equipment or resources for  receipt  orinstallationoftheSystem，Sellermay，atSeller’soption， notify BuyerthattheSystemoranypartthereofisbeingtreated as though actuallyshipped，deliveredandinstalled（“ShippedinPlace”）。

Inaddition， BuyershallreimburseSellerforallstorage or other expenses which Sellerincursbyreasonofsuchdelay.

　　（b）__________daysfollowingnoticeofShipmentinPlaceSellershallbeentitledtoinvoiceBuyerinaccordance with the payment terms setforthinAnnexChereto（i）foronehundredpercentofthepurchase priceforcommercial__________systemShippedinPlace，and（ii） with respecttoSystems，theamountthatwouldhavebeenduehad the System actuallybeenshipped，withthebalancetobeinvoiceduponAcceptance.

　　（c）QualifiedacceptancebyBuyeroftheSystemoranyportionthereof（“QualifiedAcceptance”）shalloccuratanytime，eitherbefore or afterthescheduledshipmentorinstallationdatessetforthinAnnexB，

　　i）upondeterminationby Buyer， and written notification toSeller，thattheSystem，issuitabletocommencetheoperationsfor whichBuyerintendstouseit；or

　　ii）thattheSystemhascommencedtheoperationsforwhichBuyerintendstouseit.

　　（d）QualifiedAcceptanceshallhavethesameconsequencesasthosesetforthinSection8（b）aboveexceptthattheamountdueforSystems shallbethedifferencebetweentheamountpaidtodateand_________percentoftheamountthatwouldhavebeendueuponAcceptance，withthe balance tobeinvoiceduponAcceptance.

　　（e）NeitherShipmentinPlacenorQualifiedAcceptance shall relieveSellerf
